THE PROPOSED ISSUANCE OF SENIOR NOTES IN US DOLLAR CURRENCY BY APL REALTY HOLDINGS PTE. LTD.
We hereby act for and on behalf of the company submit the following Facts Material Facts or Material Report Information:
1. Date of Event: May 22nd, 2017
2. Type of Material Information or Facts:
The proposed issuance of senior notes in U.S. Dollar currency ("Bonds") by APL Realty Holdings Pte. Ltd., a company incorporated under the laws of the Republic of Singapore which is a wholly owned subsidiary of the Company ("APL Realty"). The bonds will be secured by corporate guarantee from the Company and certain subsidiaries of the Company, namely PT Agung Kencana Sukses, PT Agung Pesona Unggul, PT Graha Tunas Selaras, PT Griya Agung Sukses, PT Karya Pratama Propertindo, PT Pesona Agung Lestari, PT Central Tata Makmur, PT Podomoro Bangun Abadi, PT Podomoro Central Sejahtera, PT Podomoro Sukses Lestari, PT Buana Surya Makmur, PT Tiara Metropolitan Indah, PT Karya Gemilang Perkasa and PT Jaladri Kartika Pakci.
3. Description of Material Information or Facts:
Referring to OJK Regulation No.31 / POJK.04 / 2015 on Disclosure of Information or Material Facts by Issuers or Public Companies and Indonesia Stock Exchange Regulation No.I-E on Obligation of Information Submission, the Company hereby notifies that:
- In connection with the proposed issuance of Bonds, the Company on May 22nd, 2017 has initiated a roadshow process to seek foreign investors interested in purchasing the Bonds.

than 50% of the Company's equity based on the Company's Financial Statement as of December 31, 2016 audited by KAP Satrio Bing Eny & Rekan as Public Accountant of the Company, therefore the above-mentioned transaction is a Material Transaction as regulated In Bapepam and LK Regulation no. IX.E.2 on Material Transactions and Amendments to Principal Business Activities, Attachment of Decision of the Chairman of Capital Market and Financial Institution Supervisory Agency Number: Kep-614 / BL / 2011 ("Rule No. IX.E.2"). In relation thereto, the Company will perform the obligation to announce the execution of the transaction in accordance with the provisions of applicable OJK regulations, including Rule No. IX.E.2 no later than 2 (two) working days after the agreement relating to the issuance of Bonds above is signed by the Company.
