MEMORANDUM SALING PENGERTIAN AN TARA

PEMERINTAH REPUBLIK INDONESIA DAN

PEMERINTAH REPUBLIK MOZAMBIK TENTANG

KERJASAMA ILMIAH DAN TEKNOLOGI

Pemerintah Republik Indonesia dan Pemerintah Republik Mozambik (yang selanjutnya disebut sebagai "Para Pihak");

Mengakui pentingnya ilmu pengetahuan, teknologi, dan inovasi dalam pembangunan ekonomi nasional dan peningkatan standar kehidupan sosial-ekonomi di negara masing-masing;

Menimbang bahwa pengembangan hubungan di bidang ilmu pengetahuan dan teknologi wajib saling menguntungkan bagi kedua negara;

Berkeinginan untuk mempererat kerja sama antara kedua negara, khususnya di bidang ilmu pengetahuan dan teknologi;

Menimbang lebih lanjut bahwa kerja sama tersebut akan meningkatkan hubungan persahabatan yang ada diantara kedua negara;

Merujuk pada Perjanjian antara Pemerintah Republik Indonesia dan Pemerintah Republik Mozambik Tentang Kerjasama Ekonomi dan Teknik yang ditandatangani di Jakarta tanggal 12 Nopember 1997;

Menyesuaikan dengan peraturan-peraturan dan regulasi yang berlaku di kedua negara.

TELAH MENYETUJUI KETENTUAN-KETENTUAN SEBAGAI BERIKUT:

PASAL 1 TUJUAN

Tujuan dari Memorandum Saling Pengertian ini adalah untuk m,eningkatkan kerja sama di bidang ilmu pengetahuan dan teknologi antara Para Pihak dengan berdasarkan pada persamaan hak dan saling menguntungkan.

PASAL 2

BIDANG KERJASAMA

Para Pihak wajib bekerja sama dalam bidang-bidang prioritas berikut dengan mempertimbangkan kebutuhan dan kemampuan masing-masing negara:

a) pertanian dan pangan, termasuk bioteknologi; b) kesehatan dan obat-obatan, termasuk bioteknologi; c) energi, termasuk energi terbarukan dan energi alternatif;

d) teknologi informasi dan komunikasi, termasuk infrastruktur data spasial; e) transportasi;

f) material maju, termasuk nanoteknologi;

g) teknologi dirgantara dan apliikasinya, termasuk penginderaan jauh; h) pusat ilmu pengetahuan;

i) kawasan ilmu pengetahuan dan teknologi;

j) ilmu pengetahuan, teknologi, inovasi dan kebijakan;

k) sistem peringatan dini multi bencana untuk bencana alam;

I) bidang lain dari kerjasama ilmiah dan teknologi yang disepakati bersama.

PASAL3

BENTUK-BENTUK KERJASAMA

1. Para Pihak wajib mendorong dan memfasilitasi kerja sama melalui sarana yang tepat, meliputi:

a) pertukaran informasi ilmiah dan teknis; b) pertukaran ilmuwan dan ahli-ahli teknik;

c) pendidikan, pelatihan dan/atau lokakarya pengembangan kapasitas bagi ilmuwan dan ahli-ahli teknik;

d) pertukaran pengalaman praktik terbaik yang berkaitan dengan ilmu pengetahuan dan teknologi;

e) penyelenggaraan s,eminar-seminar bersama dan pertemuan-pertemuan; f) pelaksanaan proyek-proyek penelitian bersama;

g) pengembangan hubungan dan kerja sama antara instansi pemerintah, universitas, pusat penelitian, lembaga, perusahaan-perusahaan sektor swasta dan entitas lainnya dari kedua negara; dan

h) bentuk-bentuk lain dari kerja sama ilmiah dan teknologi yang dapat disepakati bersama.

2. Kerja sama dalam rangka Memorandum Saling Pengertian ini wajib didasarkan pada kesamaan tanggungjawab dan kontribusi serta keuntungan yang adil, sesuai dengan kekuatan dan sumberdaya ilmiah dan teknologi yang dimiliki oleh masing-masing Pihak.

PASAL4 BADAN PELAKSANA

Untuk pelasanaan Memorandum Saling Pengertian ini, Para Pihak menunjuk kementerian-kementerian di bawah ini:

1. Kementerian Riset dan Teknologi untuk Pemerintah Republik Indonesia; 2. Kementerian llmu Pengetahuan dan Teknologi untuk Pemerintah Republik

Mozambik.

PASAL 5 KEL.OMPOK KERJA

1. Para Pihak wajib membentuk suatu Kelompok Kerja untuk memantau dan meninjau pelaksanaan kerjasama-kerjasama dalam kerangka Memorandum Saling Pengertian ini.

disepakati bersama di Indonesia ataupun di Mozambik secara bergantian. 3. Kelompok kerja ini akan bertanggung jawab untuk:

a. menganalisa pelaksanaan program-program kerjasama sebagaimana disepakati bersama oleh para Pihak .(yang disetujui kedua belah pihak); b. menyerahkan proposal mengenai pengembangan lebih lanjut dan perbaikan

dari bentuk kerjasama;

c. merekomendasikan kemungkinan pemecahan masalah yang timbul dari pelaksanaan kerjasama.

PASAL 6

P

ELAKSANAAN

1. Para Pihak dapat mendorong, memfasilitasi dan apabila diperlukan, mengoordinasikan penge1mbangan hubungan-hubungan dan kerja sama antara instansi-instansi pemerintah, universitas-universitas, pusat-pusat penelitian dan lembaga-lembaga dan entitas-entitas lain yang disepakati bersama oleh kedua negara.

2. Pengaturan-pengaturan pelaksanaan yang dibuat oleh instansi-instansi pemerintah atau yang ditunjuk oleh para Pihak wajib meliputi, sebagaimana layaknya, topik-topik kerja sama di bidang ilmu pengetahuan dan teknologi, bentuk-bentuk kerja sama, kewajiban-kewajiban dan prosedur-prosedur untuk pengalihan dan penggunaan peralatan dan dana, sumberdaya genetik dan pengetahuan tradisional yang terkait, Perjanjian Alih Material (MTAs), kemungkinan perlunya penghentian sementara kegiatan-kegiatan dan isu-isu yang terkait lainnya. Penetapan dari pengaturan pelaksanaan tersebut harus sesuai dengan hukum, perundang-undangan dan prosedur-prosedur yang berlaku di kedua belah Pihak. Kecuali Para Pihak atau yang ditunjuk menyetujui lain, ketentuan-ketentuan dalam Memorandum Saling Pengertian ini wajib berlaku bagi pengaturan pelaksana.an manapun.

3. Setelah disetujui kedua Pihak, ilmuwan-ilmuwan, tenaga-tenaga ahli teknis, instansi-instansi pemerintah dan lembaga-lembaga dari negara ketiga atau organisasi-organisasi internas.ional, dapat diundang untuk berpartisipasi atas biaya sendiri kecuali disepakati lain, dalam proyek-proyek dan progr

am-program yang diselenggarakan dalam rangka Memorandum Saling Pengertian ini dan pengaturan-pengaturan pelaksanaannya.

PASAL 7

PENGATURAN K.EUANGAN

Para Pihak akan menanggung biaya-biaya yang diperlukan yang terkait dengan kegiatan-kegiatan kerjasama dibawah Memorandum Saling Pengertian ini berdasarkan asas kesetaraan dan saling menguntungkan dan sesuai dengan ketersedian aset-aset yang dimiliki.

PASAL 8

PARTISIPASI PIHAK KETIGA

1. Kedua Pihak dapat bersama-sama memutuskan untuk melibatkan pihak-pihak ketiga bagi pendanaan dan pelaksanaan program-program dan proyek-proyek yang akan dilaksanakan di dalam kerangka Memorandum Saling Pengertian ini.

2. Para Pihak akan mendukung keterlibatan organisasi-organisasi penelitian ilmiah dan teknologi, badan-badan usaha dan badan-badan lainnya yang terkait dari kedua negara dalam program-program dan proyek-proyek ilmiah dan teknologi internasional yang bersifat multilateral

3. Berdasarkan persetujuan Para Pihak, ilmuwan, tenaga ahli dan badan-badan pemerintah dan institusi dari negara ketiga atau organisasi internasional dapat berpartisipasi pada proyek dan program yang dilaksanakan dalam kerangka Memorandum Saling Pengertian ini dengan biaya yang ditanggung sendiri ataupun berdasarkan kesepakatan.

PASAL 9

PERJANJIAN ALIH MATERIAL

Dengan mempertimbangkan undang-undang dan peraturan-peraturan yang berlaku dari Para Pihak, material penelitian yang digunakan dalam

kerjasama dalam rangka Memorandum Saling Pengertian ini dapat, berdasarkan kesepakatan para pihak yang berpatisipasi, dialihkan dengan menggunakan Perjanjian Alih Material (MTAs) yang sesuai, pada kerjasama-kerjasama tertentu.

PASAL10 KETERBUKAAN

Kegiatan-kegiatan kerjasama dalam rangka Memorandum Saling Pengertian ini wajib dilakukan dengan memperhatikan keterbukaan. Setiap pihak harus memberikan akses kepada Pihak lainnya secara tepat waktu, dan informasi mengenai, hasil-hasil dari kegiatan-kegiatan bersama, sesuai dengan kewajiban yang ditetapkan dalam Memorandum Saling Pengertian ini.

PASAL 11

HAK KEKAYAAN INTELEKTUAL

1. Setiap Hak Kekayaan lntelektual (HKI) yang dibawa oleh salah satu Pihak untuk pelaksanaan kegiatan-kegiatan dalam kerangka Mlemorandum Saling Pengertian ini, akan tetap menjadi milik Pihak tersebut. Namun, Pihak tersebut harus memastikan bahwa HKI tersebut tidak bersumber dari pelanggaran hak-hak pihak ketiga manapun. Selanjutnya Pihak ters,ebut harus bertanggungjawab, bila ada gugatan yang diajukan oleh Pihak ketiga atas kepemilikan, dan legalitas penggunaan HKI yang dibawa oleh Pihak yang disebutkan sebelumnya, dalam implementasi kegiatan kerjasama dalam kerangka Memorandum Saling Pengertian ini.

2. Setiap HKI, data dan informasi yang dihasilkan dari kegiatan riset yang dilaksanakan dalam kerangka Memorandum Saling Pengertian ini, akan dimiliki bersama oleh para Pihak, dan para Pihak akan diizinkan menggunakannya untuk kepentingan-kepentingan non-komersial bebas dari royalti. Bila HKI, data dan informasi yang dihasilkan dari kegiatan kerjasama di dalam kerangka Memorandum Saling Pengertian ini, digunakan untuk kepentingan komersial oleh salah satu Pihak, Pihak yang lainnya berhak atas

pembagian royalti yang diperoleh dari pemanfaatan HKI tersebut berdasarkan prinsip kontribusi yang seimbang. Pada kasus seperti itu, obyek dari kegiatan riset yang dilaksanakan di dalam kerangka Memorandum Saling Pengertian ini akan menjadi bagian kontribusi Pihak darimana obyek tersebut berasal. Nilai dari obyek tersebut, sebagai bagian kontribusi akan diukur dengan memperhatikan faktor-faktor berikut:

a. kelangkaan obyek (semakin langka obyek tersebut, maka akan semakin bernilai);

b. nilai komersial dari hasil riset (semakin tinggi nilai komersialnya maka akan semakin tinggi nilainya sebagai bagian kontribusi)

3. Pemanfaatan objek dari kegiatan riset dan hasil temuannya, dalam kerangka Memorandum Saling Pengertian inidi luar wilayah teritorial Republik Indonesia dan Republik Mozambik, oleh salah satu Pihak, hanya dapat dilakukan dengan persetujuan tertulis Pihak lainnya.

4. Bilamana salah satu Pihak berkeinginan mengungkapkan data dan/atau informasi rahasia yang bersumber dari kegi.atan 1kerjasama di dalam kerangka Memorandum Saling Pengertian ini kepada Pihak ketiga.. Pihak yang menggunakan data tersebut sebelumnya sudah harus memiliki persetujuan dari Pihak lainnya sebelum data tersebut diungkapkan.

5. Bilamana salah satu Pihak membutuhkan kerjasama dari pihak lain (diluar Republik Indonesia dan Republik Mozambik) untuk tindakan komersial yang menggunakan HKI yang dihasilkan dari Memorandum Saling Pengertian ini, Pihak tersebut akan memberikan preferensi utama untuk kerjasama kepada Pihak lain dalam Memorandum Saling Pengertian ini, yang akan dilepaskan bila Pihak lain tidak mampu berpatisipasi berdasarkan asas kesetaraan dan saling menguntungkan.

6. Bilamana salah satu Pihak membutuhkan kerjasama dengan Pihak lain diluar Republik Indonesia dan Republik Mozambik untuk dukungan pendanaan, Pihak tersebut harus berkonsultasi dengan Pihak lainnya mengenai segala bentuk implikasi yang mungkin timbul, terutama pada HKI yang mungkin tercipta selama pelaksanaan Memorandum Saling Pengertian ini.

PASAL12

SUMBER DAYA GENETIK DAN PENGETAHUAN TRADISI,ONAL TERKAIT

Akses terhadap sumber daya genetik dan pengetahuan tradisional terkait, termasuk dalam hal koleksi, konservasi dan pertukaran sumberdaya genetika dan pengetahuan tradisional terkait dalam rangka Memorandum Saling Pengertian ini dapat menjadi bahan negosiasi dalam perjanjian. Negosiasi, tersebut harus mempertimbangkan peraturan dan regulasi yang berlaku di Republik Indonesia dan Republik Mozambik.

PASAL13 AMANDEMEN

MemorandUim Saling Pengertian ini dapat diamandemen sewaktu-waktu dengan kesepakatan tertulis oleh Para P,ihak. Amandemen ini mulai berlaku sesuai dengan PASAL 17 (Pemberlakuan, Durasi and Penghentian) dan menjadi bagian yang tidak terpisahkan dari Memorandum Saling Penge'rtian ini.

PASAL14

PENYELESAIAN SENGKETA

Setiap sengketa antara Para Pihak yang timbul dari penafsiran atau pelaksanaan Memorandum Saling Pengertian ini wajib diselesaikan secara damai melalui konsultasi atau perundingan antara Para Pihak.

PASAL15

PEMBATASAN KEGIATAN PERSONIL

Para pihak wajib memastikan bahwa m.asing-masing personil yang terlibat dalam kegiatan di dalam kerangka Memorandum Saling Pengertian ini akan menghargai kemerdekaan politis, kedaulat.an dan integritas teritorial dari negara tuan rumah, memiliki kewajiban untuk tidak turut campur dalam perkara internal negara tuan

rumah dan menghindari segala bentuk kegiatan yang tidak konsisten dengan maksud dan tujuan dari Memorandum Saling Pengertian ini.

PASAL16 CAKUPAN MEDIS

Pihak atau entitas terkait yang mengirimkan personil harus memastikan semua

personil yang berkunjung ke negara yang tercakup dalam Memorandum Saling1

Pengertian ini memiliki sumber daya yang dibutuhkan atau terdapat mekanisme

untuk membiayai semua pengeluaran bila terjadi penyakit atau cedera mendadak pada personil yang dimaksud.

PASAL17

PEMBERLAKUAN, DURASI DAN PENGHENTIAN

a) Memorandum Saling Pengertian ini mulai berlaku pada tanggal

penandatanganannya.

b) Memorandum Saling Pengertian ini berlaku untuk jangka waktu lima (5) tahun dan diperpanjang untuk jangka waktu lima (5) tahun berikutnya, kecuali salah satu Pihak me,mberitahukan secara tertulis kepada Pihak lain tentang niatnya untuk mengakhiri Memorandum Saling Pengertian ini sekurang-kurangnya 6 (enam) bulan sebelum waktu berakhirnya Memorandum Saling Pengertian ini. c) Pengakhiran Memorandum Saling Pengertian ini tidak akan mempengaruhi

validitas dan masa berlaku setiap pengaturan khusus, proyek atau program yang dibuat dibawah Memorandum Saling Pengertian ini hingga selesainya pengaturan khusus, proyek dan program yang dimaksud.

DENGAN DISAKSIKAN, yang bertanda tangan dibawah ini, telah menandatangani Memorandum Saling Pengertian ini.

DIBUAT di Jakarta, 14 September 2011, da~am bahasa lndones.ia, Portugis dan lnggris. Semua naskah memiliki kekuatan hukum yang sama. Dalam hal terjadi perbedaan penafsiran pada Memorandum Saling Pengertian ini, maka naskah dalam bahasa lnggris yang akan berlaku.

PREAMBULO

0 Governo da Republica de Moc;ambique e o Governo da Republica da Indonesia, ( adiante design ados por "as Partes'');

Reconhecendo

a

importancia da Ciencia, Tecnologia e Inovac;ao no desenvolvimento das suas economias nacionais e na melhoria do seu padrao de vida s6cio-econ6mico;

Considerando que o desenvolvimento das suas relac;oes cientfficas e tecnol6gicas serao de interesse mutuo para ambos paises;

Desejando fortalecer a cooperac;ao entre os dois pafses, nomeadamente nas areas da Ciencia, Tecnologia e Inovac;ao;

Considerando ainda que tal cooperac;ao promovera o desenvolvimento das relac;oes de amizade existentes entre os dois paises;

Referindo ao Acordo entre o Governo da Republica de Moc;ambique eo Governo da Republica da Indonesia sobre a Cooperac;ao Econ6mica e Tecnica assinado no dia 12 de Novembro de 1997 em Jacarta;

Tendo em conta as leis e regulamentos em vigor nos seus respectivos pafses;

Acordam o seguinte:

ARTIGO 10 OBJECTO

0 objecto do presente Memoranda de Entendimento e de promover a cooperac;ao no dominic da Ciencia e Tecnologia entre as Partes, numa base de igualdade e beneficia mutuo.

ARTIGO 20

AREAS DE COOPERA(;AO

Tendo em conta as necessidades e capacidades dos respectivos paises, as Partes irao cooperar nas seguintes areas prioritarias:

(a) Agricultura e alimentac;ao, incluindo a biotecnologia; (b) Saude e medicina, incluindo a biotecnologia;

(c) Energia incluindo a energia alternativa e renovavel;

(d) Tecnologias de informac;ao e comunicac;ao, incluindo a

estrutura espacial de dados; (e) Transporte;

(f) Material avan<_;ado, incluindo nanotecnologia; (g) Tecnologia espacial, incluindo

remote sensing;

(h) Centro de Ciencia;

(i) Parque de ciencia e tecnologia;

(j) Ciencia, tecnologia, inova<_;ao e pollticas;

(k) Sistema de alerta multirrisco para desastres naturais; (I) Outras areas de coopera<_;ao acordadas por ambas Partes.

MODALIDADES DE COOPERA~AO

1. As Partes encorajarao e facilitarao a coopera<_;ao atraves de meios apropriados, incluindo;

(a) Troca de informa<_;ao cientffica e tecnologica; (b) Troca de cientistas e peritos em tecnologia;

(c) Educa<_;ao, forma<_;ao e/ou workshops de capacita<_;ao de cientistas e peritos em tecnologias;

(d) Troca de boas praticas relativas a ciencia e tecnologia; (e) Realiza<_;ao de seminaries e reunioes conjuntas;

(f) Projectos conjuntos de investiga<_;ao;

(g) Estabelecimento de contactos directos e coopera<_;ao entre as agendas governamentais, universidades, centros de pesquisa, institui<_;oes, empresas privadas, e outras entidades dos dois pafses; e

(h) Outras formas coopera<_;ao cientlfica e tecnologica a serem acordadas mutuamente.

2. A Coopera<_;ao no presente Memoranda de Entendimento basear-se-a na partilha equitativa de responsabilidades, contribui<_;oes e beneflcios, em propor<_;ao com os recursos e potencial cientifico e tecnol6gico de cada Parte.

ARTIGO 40

AGENCIA DE IMPLEMENTA~AO

Para a implementa<_;ao deste Memoranda de Entendimento, as Partes designam os seguintes Ministerios:

1. Pelo Governo da Republica da Indonesia: 0 Ministerio da Investiga<_;ao e Tecnologia;

2. Pelo Governo da Republica de Mo<_;ambique: 0 Ministerio da Ciencia e Tecnologia.

GRUPO DE TRABALHO

1. As Partes devem estabelecer urn Grupo de Trabalho (adiante designado "GT") para monitorar e rever a implementac;ao da cooperac;ao no quadro deste Memoranda de Entendimento.

2. 0 GT reunir-se-a anualmente ou em perfodo mutuamente acordado, alternativamente, na Indonesia e em Moc;ambique.

3. 0 GT sera responsavel por:

a) Analisar e implementar os programas de cooperac;ao mutuamente acordados; b) Sub meter propostas sabre o desenvolvimento e melhoria das formas de

cooperac;ao;

c) Recomendar possfveis formas para superar as dificuldades nas atividades de cooperac;ao.

ARTIGO 50 IMPLEMENTAtAO

1. As Partes deverao encorajar, facilitar e quando necessaria, coordenar o desenvolvimento de contactos directos e cooperac;ao entre as agencias governamentais, universidades, centros de investigac;ao, instituic;oes, e outras entidades em func;ao do que for acordo entre os dois pafses.

2. As formas de implementac;ao acordadas pelas agencias governamentais ou outras indicadas pelas Partes poderao cobrir, caso seja adequado, t6picos de cooperac;ao na area da ciencia e tecnologia, meios de cooperac;ao, obrigac;oes e procedimentos para o uso e transferencia de equipamento e fundos, recursos geneticos e conhecimento tradicional associado, Acordos de Transferencia de Material (MTAs), potencial necessidade de cessac;ao das actividades, e outros assuntos relevantes. A conclusao das referidas formas de implementac;ao devera estar em consonancia

com as leis, regulamentos e procedimentos de ambas Partes. Salvo as Partes ou seus representantes acordem o contrario, os termos do presente Memoranda de Entendimento aplicar-se-ao a quaisquer formas de implementac;;ao.

3. Com a aprovac;;ao por ambas as Partes, os cientistas, peritos em tecnologia, as agencias governamentais e instituic;;oes de outros pafses, ou organizac;;oes internacionais poderao ser convidados a participar,

a

sua propria conta, salvo acordado em contrario, em projectos e programas a serem levados a cabo nos termos do presente Memoranda de Entendimento e suas formas de implementac;;ao.

ARTIGO 70

QUESTOES FINANCEIRAS

As partes irao suportar as despesas decorrentes das actividades de cooperac;;ao no ambito do presente Memoranda de Entendimento, baseando-se no prindpio da igualdade e reciprocidade de acordo com a disponibilidade de recursos financeiros/ activo~

PARTICIPA(;AO DE TERCEIRAS PARTES

1. Ambas Partes poderao conjuntamente decidir solicitar a participac;;ao de terceiros no financiamento e implementac;;ao dos programas e projectos que serao levados a cabo no ambito do presente Memoranda de Entendimento. 2. Ambas Partes financiarao a participac;;ao das organizac;;oes cientfficas e

tecnologicas, empresas e outras entidades interessadas dos dois pafses em programas e projectos multilaterais e internacionais cientfficos e tecnologicos.

3. ACORDOS DE TRANSFERENCIA DE MATERIAL

Tendo em conta as leis e regulamentos aplicaveis as Partes, materiais de investiga<;ao usados na colabora<;ao nos termos do presente Memoranda de Entendimento poderao ser transferidos recorrendo a Acordos de Transferencia de Materiais (MTAs), conforme seja adequado nas colabora<;oes particulares.

ARTIGO 100 TRANSPARENCIA

As actividades de coopera<;ao no ambito do presente Memoranda de Entendimento serao desenvolvidas de forma transparente. Cada Parte devera fornecer a outra urn acesso atempado a informa<;ao, aos resultados das actividades de coopera<;ao, consistentes com as obriga<;oes estabelecidas no presente Memoranda de Entendimento.

ARTIGO 11o

DIREITOS DE PROPRIEDADE INTELECTUAL

1. Qualquer direito de propriedade intelectual (IPR) trazido por uma das Partes para a implementa<;ao das actividades nos termos do presente Memoranda de Entendimento continuara a ser propriedade dessa Parte. Contudo, tal Parte indemnizara para que o IPR nao resulte em viola<;ao dos direitos legltimos de qualquer terceira Parte. Alem disso, tal Parte sera responsavel por qualquer queixa feita pela terceira Parte sabre o direito de propriedade e legalidade de uso do IPR que e trazido pela Parte acima mencionada para a implementa<;ao das actividades de coopera<;ao nos termos do Memoranda de Entendimento. 2. Qualquer IRP, dados e informa<;ao resultantes das actividades de investiga<;ao

desenvolvidas nos termos do Memoranda de Entendimento deverao ser propriedade conjunta das Partes, e as Partes serao permitidas a usar tal propriedade para fins nao-comerciais, isentos de direitos de autor. Caso o IPR, os dados e a informa<;ao resultante das actividades de coopera<;ao nos termos do presente Memoranda de Entendimento sejam usados para fins comerciais por uma Parte, a outra tera o direito de cobrar os direitos de autor obtidos na explora<;ao de tal propriedade na base do prindpio da contribui<;ao equitativa. Nesse caso, o objecto das actividades de investiga<;ao desenvolvidas nos termos do presente Memoranda de Entendimento devera constituir contribui<;ao da Parte da qual o objecto deriva. 0 valor do objecto como parte da contribui<;ao sera medido tendo em conta os seguintes factores:

(a) A escassez do objecto (quanta mais raro foro objecto, mais alto sera o seu valor);

(b) 0 valor comercial do resultado da investiga<;ao (quanta mais alto foro seu valor comercial, mais valor tera ainda como parte da contribui<;ao)

3. A utilizac;ao do objecto das actividades de investigac;ao e seus respectivos resultados nos termos do presente Memoranda de Entendimento fora dos territories da Republica da Indonesia e da Republica de Moc;ambique por uma das Partes devera ser feita mediante uma previa aprovac;ao par escrito da outra Parte, dependendo de cada caso.

4. Se uma das Partes desejar revelar dados e/ou informac;ao confidencial resultante das actividades de cooperac;ao nos termos do presente Memoranda de Entendimento

consentimento da outra Parte antes de qualquer revelac;ao ser feita.

5. Sempre que uma das Partes deseje a cooperac;ao da outra parte fora da Republica de Indonesia e da Republica de Moc;ambique para qualquer IPR resultante de entendimento comercial coberto pelo presente Memoranda de Entendimento, esta Parte devera dar primeira preferencia de cooperac;ao

outra Parte nos termos do presente Memoranda de Entendimento, que sera prescindido, caso a outra Parte esteja incapacitada de participar de forma benefica e mutua.

6. Sempre que uma das Partes deseje a cooperac;ao da outra parte fora da Republica de Indonesia e da Republica de Moc;ambique para qualquer apoio financeiro, uma das Partes devera consultar

a

outra sabre quaisquer implicac;6es, especialmente sabre o IPR que possa surgir na implementac;ao do presente Memoranda de Entendimento.

ARTIGO 12o

RECURSOS GENETICOS E CONHECIMENTO TRADICIONAL ASSOCIADO

0 acesso aos recursos geneticos e ao conhecimento tradicional associado, incluindo a sua recolha, preservac;ao e troca de recursos geneticos e conhecimento tradicional associado nos termos do presente Memoranda de Entendimento sera sujeito

negociac;ao ou objecto desta. Tais negociac;6es deverao ter em conta a lei aplicavel e regulamentos da Republica da Indonesia e da Republica de Moc;ambique.

ARTIGO 13o EMENDA

Este Memoranda de Entendimento podera ser emendado a qualquer momenta mediante urn consentimento mutua das partes atraves da troca de Notas. A emenda entrara em vigor em conformidade com o disposto no artigo 17 (sabre a entrada em vigor, vigencia e termino) e sera parte integrante do presente Memoranda de Entendimento.

ENTRADA EM VIGOR, DURA(;AO E TERMINO

1. 0 presente Memoranda devera entrar em vigor na data da sua assinatura. 2. 0 presente Memoranda estara em vigor por urn periodo de cinco (5) anos,

e daf em diante sera automaticamente renovavel por igual e sucessivo periodo, salvo se uma das Partes comunique a outra, por escrito, a inten<_;ao de terminar, ,por via diplomatica com seis (6) meses de antecedencia da data do seu termino.

3. 0 termino do presente Memoranda de Entendimento nao afectara o cumprimento de qualquer actividade, projecto ejou programas que tenham sido acordados antes da data do termino deste Memoranda de Entendimento.

MEMORANDUM OF UNDERSTANDING BETWEEN

THE GOVERNMENT OF TI-lE REPUBLIC OF INDONESIA AND

THE GOVERNMENT OF THE REPUBLIC OF MOZAMB.IQUE ON

SCIENTIFIC AND TECHNOLO,GICAL COOPERATION

The Government of the Republic of Indonesia and The Government of the Republic of Mozambique, (hereinafter referred to as "the Parties");

Recognizing the importance of Science, Technology, and Innovation in the development of their national econom,ies and in the improvement of their socio-economic standard of life;

Considering that the development of scientific and technological relations shall be of mutual benefit to both countries;

Desiring to strengthen cooperation between the two countries, particularly in the fields of science, technology, and innovation;

Considering further that such cooperation will promote the development of existing friendly re.lations between the two countries;

Referring to the Agreement between the Government of the Republic of Indonesia and the Government of the Republic of Mozambique on Economic and Technical Cooperation signed in Jakarta on 12 November 1997;

HAVE AGREED ON THE FOLLOWING PROVISIONS:

ARTICLE 1 OBJECTIVE

The objective of the present Memorandum of Understanding is to promote cooperation in the fields of science and technology between the Parties on the basis of equality and mutual benefit.

ARTICLE 2

AREAS OF COOPERATION

The Parties shall cooperate in the following priority areas taking into consideration each country's needs and capabilities:

a) agriculture and food including biotechnology; b) health and medicine including biotechnology; c) energy including renewable and alternative energy;

d) information and communication technology, including spatial data infrastructure;

e) transportation;

f) advanced material including nanotechnology;

g) space techno'logy and applications including remote sensing; h) science center;

i) science and technology park;

j) science, technology, innovation and policy;

k) multi hazard early warning system for natural disaster; I) other areas of cooperation agreed by both Parties.

ARTICl E 3

MEANS OF COOPERATION

1. The Parties shall encourage and facilitate cooperation through appropriate means including:

b. exchanges of scientists and technical experts;

c. education, training and/or capacity building workshops of scientists and technical experts;

d. exchanges of best practices related to science and technology; e. the convening of joint seminars and meetings;

f. the conduct of joint research projects;

g. the development of direct contacts and cooperation between government agencies, universities, research centers, institutions, private sector companies, and other entities of the two countries; and

h. other forms of scientific and technological cooperation as may be mutually agreed upon.

2. Cooperation under this Memorandum of Understanding shall be based on

shared responsibilities and equitable contributions and benefits, commensurate with the Parties' respective scientific and technological

strengths and resources.

ARTICLE 4

IMPLEMENTI:NG AGENCY

For implementation of this Memorandum of Understanding, the Parties designate the following Ministries:

1. For the Government of the Republic of Indonesia: Ministry of Research and Technology;

2. For the Government of the Republic of Mozambique: Ministry of Science and Technology.

ARTICLE 5

THE WORKING GROUP

1. The Parties shall establish a Working Group (hereinafter referred to as "WG") to monitor and review the implementation of the cooperation under this Memorandum of Understanding.

2. The WG shall meet annually or at a time as mutually agreed, alternatively in Indonesia and Mozambique.

3. The WG will be responsible for:

a. analyzing the implementation of the cooperation programs as mutually agreed;

b. submitting of proposals on the further development and improvement of cooperation forms;

c. recommending possible ways for overcoming difficulties arising out of the cooperation activities.

ARTICLE 6

IMPLEMENTATION

1. The Parties may encourage, facilitate, and, where appropriate coordinate, the development of direct contacts and cooperation between government agencies, universities, research centers, institutions, and other entities as mutually agreed by the two countries.

2. The implementing arrangements concluded by government agencies or other designees of the Parties may cover, as appropriate, topics of cooperation in science and technology, means of cooperation, obligations and procedures for transfer and use of equipment and funds, genetic resources and associated traditional knowledge, Material Transfer Agreements (MTAs), the potential need for the temporary cessation of activities, and other relevant issues. The conclusion of those implementing arrangements shall be in accordance with prevailing laws, regulations and procedures of both Parties. Unless the Parties or their designees agree otherwise, the terms of this Memorandum of Understanding shall apply to any implementing arrangements.

3. Upon approval by both Parties, scientists, technical experts, governmental agencies and institutions of third countries, or international organizations may be invited to participate, at their own expense unless otherwise agreed, in projects and programs being carried out under this Mlemorandum of Understanding and its implementing arrangements.

ARTICLE 7

FINANCIAL ARRANGEMENTS

The Parties shall bear the expenses incurred in connection with the cooperative activities under this Memorandum of Understanding on the basis of the principle of equality and reciprocity and in accordance with the availibility of assets.

ARTICLE 8

THIRD PARTIES PARTICIPATION

1. Both Parties may jointly decide to request the participation of the third parties in the financing and implementation of the programs and projects which will be carried out within the framework of this Memorandum of Understanding.

2. Both Parties will support the participation of scientific and technological research organizations, enterprises and other concerned entities from the two countries in international multilateral scientific and technological programs and projects.

3. Upon approval by both Parties, scientists, technical experts, governmental agencies and institutions of third countries, or international organizations may be invited to participate, at their own expense unless otherwise agreed, in projects and programs being carried out under this Memorandum of Understanding and its implementing arrangements.

ARTICLE 9

MATERIAL TRANSFER AGREEMENT

Taking into account the applicable laws and regulations of the Parties, research materials used in the collaborations under this Memorandum of Understanding may be transferred using Material Transfer Agreement (MTAs) as appropriate in the particular collaborations.

ARTICLE 10 TRANSPARENCY

Cooperative activities under this Memorandum of Understanding shall be conducted with due regard for transparency. Each Party should provide the other Party with timely access to, and information about, the results of cooperative activities, consistent with the obligations set forth in this Memorandum of Understanding.

ARTICLE 11

INTELLECTUAL PROPERTY RIGHTS

1. Any Intellectual Property Right (IPR) brought by one of the Parties for the implementation of activities under this Memorandum of Understanding shall remain the property of that Party. However, that Party shall indemnify that the IPR is not resulted from the infringement of any third Party's legitimate rights. Further that Party shall be liable for any claim made by third Party on the ownership and legality of the use of the IPR which is brought in by the aforementioned Party for the implementation of the cooperation activities under this Memorandum of Understanding.

2. Any IPR, data and information resulting from research activities conducted under this 'Memorandum of Understanding shall be jointly owned by the Parties, and the Parties shall be allowed to use such property for non-commercial purposes free of royalty. Should the IPR, data and information resulted from the cooperation activities under this Mermorandum of Understanding be used for commercial purpos,es by one Party, the other Party shall be entitled to the royalties obtained from the exploitation of such property on the basis of the principle of equitable contribution. In such case, the object of the research activities conducted under this Memorandum of Understanding shall constitute a part of contribution of the Party from which the object derives. The value of the object as part of contribution will be measured by taking into account the following factors:

a. The scarcity of the object (the rarer the object is, the higher its value will be);

b. The commercial value of the result of the research (the higher its commercial value is, the higher its worth as part of the contribution will be).

3. The utilization of the object of the research activities and their findings under this Memorandum of Understanding outside the territories of the Republic of Indonesia and the Republic of Mozambique by one of the Parties shall have to g.et prior written approval from the other Party on a case by case basis. 4. If either Party wishes to disclose confidential data and/or information

resulted from cooperation activities under this Memorandum of Understanding to any third Party, the disclosing Party must obtain prior consent from the other Party before any disclosure can be made.

5. Whenever either Party requires the cooperation of another party outside the Republic of Indonesia and the Republic of Mozambique for any commercial undertaking resulted IPR covered by this Memorandum of Understanding this Party shall give first preference of the cooperation to the other Party under this Memorandum of Understanding, which will be waived, if the other Party is unable to participate in a mutually beneficiary manner.

6. Whenever either Party requires the cooperation of another Party outside the Republic of Indonesia and the Republic of Mozambique for any financial support, either Party shall consult to the other party of any implications, especially on the IPR that may arise under the implementation of this Memorandum of Understanding.

ARTICLE 12

GENETIC RESOURCES AND ASSOCIATED TRADITIONAL KNOWLEDGE

Access to genetic resources and associated traditional knowledge including their collection, conservation and exchange of genetic resources and associated traditional knowledge under this Memorandum of Understanding may be subject to or the subject of negotiations in arrangements. Such negotiations should take into account the applicable laws and regulations of the Republic of Indonesia and the Republic of Mozambique.

ARTICLE 13 AMENDMENT

This Memorandum of Understanding may be amended at any time by mutual written consent of the Parties. The amendment shall enter into force in accordance with the provision of Article

17

(Entry into force, Duration and Termination) and shall form an integral part of this 1Memorandum of Understanding.

ARTICLE 14

SETTLEMENT OF DISPUTES

Any dispute between the Parties arising out of the interpretation or implementation of this Memorandum of Understanding shall be settled am1icably through consultations or negotiations between the Parties.

ARTICLE 15

LIMITATION OF ACTIVITIES ,OF PERSONNEL

The Parties shall ensure that their personnel engaged in the activities related to this Memorandum of Understanding shall respect political independence, sovereignty, and territorial integrity of host country, shall have a duty not interfere in internal affairs of the host country and will avoid any activities inconsistetn with the purposes and objectives of this Memorandum of Understanding.

ARTICLE 16 MEDICAL COVERAGE

The sending party or cooperating entities shall ensure that all personnel visiting the other country within the ambit of the present Memorandum of Understanding have the necessary resources, or that appropriate mechanisms are in place to cover all expenses in the event of sudden illness or injury.

ARTICLE 17

ENTRY INTO FORCE, DURATION AND TERMINATION

1. This Memorandum of Understanding shall enter into force on the date of its signing.

2. This Memorandum of Understanding shall remain in force for a period of five (5) years and shall be extended consecutively for another period of 5 (five) years thereafter, unless either Party notifies in writing of its intention to terminate this Memorandum of Understanding at least 6 (six) months prior to the expiration of this Memorandum of Understanding.

3. The termination of this Memorandum of Understanding shall not affect the

validity and duration of any specific arrangement, project or program made under this Memorandum of Understanding until the completion of such specific arrangement, project and program.

IN WITNESS WHEREOF, the undersigned, have signed this Memorandum of Understanding.

DONE in duplicate, at Jakarta on September 14, 2011 in Indonesian, Portuguese and English languages. All texts being equally authentic. In the case of any divergence in interpretation, the English text shall prevail.
