This DEED OF ASSIGNMENT is made pursuant to UKM Intellectual Property Policy.
The Employee
And
UKM UNIVERSITI KEBANGSAAN MALAYSIA , an institute of higher learning established under the University Colleges Act 1971 having its registered address at 43600 Bangi, Selangor, Malaysia.
1.0 DEFINITIONS
Any term which is not defined in this Deed shall take the definition provided in UKM IP Policy.
If any inconsistency exists between any term defined in this Deed and terms defined in the UKM IP Policy, the terms defined herein shall prevail.
(a) “Effective date” means the date of the Employee’s official appointment with UKM:
(b) “IP Policy” means UKM Intellectual Property Policy
(d) “IP” means Intellectual Property defined in Clause 2.5 of UKM IP Policy 2.0 IP ASSIGNMENT
(a) In consideration of RM1.00, the Employee absolutely assigns to UKM from the effective date, free from encumbrances, all rights, title and interest in IP:
(i) has been or will be created by the Employee in course of their employment at UKM;
(ii) is created, developed or otherwise generated using the facilities, materials, funds or other resources owned by UKM;
(iii) is commissioned or created under direct request of UKM;
(iv) is created pursuant to any agreement with an Associate;
or
(v) in respect of Teaching Materials or courseware (lecture notes, video recording, broadcast, audio visual or other digital recordings.
(b) The Employee agrees to do all things reasonably requested by UKM, at UKM’s expense, to enable UKM or its assignee to obtain and/or commercialize the IPR assigned under this Deed.
(c) The Employee shall not deal with the IP in a manner which is inconsistent with the provisions of this Deed, without written authorization from UKM.

3.0 IP LICENCE – COPYRIGHT
The Employee may have acquired legitimate rights/copyright in certain works created or authored in relation to scholarly books, academic articles, conference papers and presentations, thesis and dissertations, popular non-fictions, novels, poems and works of fine art, and grants UKM a non- exclusive perpetual licence, and free from royalty to use and reproduce those works in any manner UKM deems fit and does not conflict with the Employee’s legitimate rights or otherwise.
4.0 REPRESENTATIONS AND WARRANTIES The Employee represents and warrants that:
(a) the Employee is an “Employee” as defined by the IP Policy;
(b) it has all the necessary rights and licences (including rights to sub-licence) in the IP to allow UKM to assert its rights pursuant to this IP assignment;
(c) it has the rights and power to enter into, perform and observe his/her obligations under this Deed;
(d) the IP does not and will not infringe the IPR of any third party;
(e) it is not involved in any commercial activities that might conflict with UKM commercialization of the IP;
(f) it shall immediately inform UKM if it becomes involved in any commercial activities that might conflict with UKM commercialization of the IP
5.0 CONFIDENTIALITY
The Employee will preserve complete confidentiality of all information (regardless of its form) relating to the IP, or any other information designated to be confidential by UKM or relating to intellectual property, drawings, samples, know-how and/or data in any form, the current or prospective activities or business of UKM, including the terms of this Deed and the terms of any document, or other notice between the parties relating to this Deed.
6.0 INDEMNITY
The Employee shall indemnify UKM, its Employees or representatives against any loss suffered or incurred by UKM including a third party claims against UKM, its Employees or representatives arising from a breach of this Deed by the Employee.
7.0 ALTERATION
Any alteration of this Deed shall be invalid unless in writing and signed by both Parties.
8.0 NO WAIVER
No rights under this Deed will be deemed as waived except where the waiver is in writing and is signed by the UKM. Any failure by UKM to enforce any clause of this Deed or any forbearance, delay or indulgence granted by UKM to the Employee, shall not be construed as a waiver of UKM

rights under this Deed.
9.0 GOVERNING LAW
This Deed shall be governed and construed in accordance with the laws of Malaysia and the parties agree to the jurisdiction of the courts in Malaysia.
10.0 TERM AND TERMINATION
This Deed is binding from the Effective Date and continue in force throughout the Employee’s employment with UKM, unless mutually terminated for any reason.
