Kementerian Energi dan Sumber Daya Mineral Republik Indonesia dan Kementerian lndustri dan Perdagangan Republik Sosialis Viet Nam (selanjutnya secara masing-1 masing disebut sebagai "Pihak" dan secara bersama-sama disebut sebagai "Para j Pihak");

strategis di sektor energi, terutama di bidang batubara antara Para Pihak;

MERUJUK pada Memorandum Saling Pengertian antara Kementerian Energi dan

Sumber Daya Mineral Republik Indonesia dan Kementerian lndustri dan Perdagangan Republik Sosialis Viet Nam tentang Kerja Sarna Sektor Energi dan Sumber Daya I

Mineral yang ditandatangani pada tanggal 28 Juni 2013; I

MENGAKUI pentingnya dan manfaat dari hubungan kerja sama jangka panjang dan !

proyek-proyek ekonomi bersama untuk kepentingan bersama seluruh rakyat;

!

MENYAT AKAN adanya kemitraan strategis dan hubungan yang sating !

menguntungkan antara kedua negara;

SESUAI DENGAN hukum dan perundang-undangan yang berlaku di negara masing-i .

TELAH MENYETUJUI hal - hal sebagai berikut: PASAL1 TUJUAN

Tujuan dari Memorandum Saling Pengertian ini (selanjutnya disebut "MSP") yaitu memberikan landasan kerja sama kelembagaan guna memfasiltasi dan mendorong kerja sama bilateral di bidang batubara, berdasarkan asas persamaan dan saling menguntungkan.

PASAL2

BIDANG KERJA SAMA

Bidang kerja sama antara Para Pihak mencakup, namun tidak terbatas pada hal-hal berikut:

1. Mempromosikan kegiatan bisnis dan investasi di bidang batubara;

2. Mendukung dan memfasilitasi kerja sama antara perusahaan-perusahaan dan entitas publik dari kedua belah Pihak;

3. Saling bertukar dan memperbaharui informasi terutama terkait hukum, kebijakan, peraturan, program, dan pedoman praktik terbaik;

4. Pembentukan proyek bersama terkait kerja sama sains dan teknis dengan fokus di bidang batubara;

5. Meningkatkan pengembangan kapasitas melalui kerja sama di bidang pelatihan dan pendidikan;

6. Seminar bersama, pelatihan, dan konferensi terkait batubara, yang melibatkan partisipasi pemerintah, entitas publik, badan penelitian, dan sektor swasta;

7. Bidang-bidang lain yang dapat disepakati Para Pihak.

PASAL3

LEMBAGA PELAKSANA Lembaga Pelaksana untuk kerja sama ini adalah:

1. Untuk Kementerian Energi dan Sumber Daya Mineral Republik Indonesia: Direktorat Jenderal Mineral dan Batubara.

2. Untuk Kementerian lndustri dan Perdagangan Republik Sosialis Viet Nam: Departemen Minyak, Gas Bumi, dan Batubara.

i-PASAL4 KELOMPOK KERJA

Untuk tujuan diskusi dan implementasi berbagai isu yang berkaitan dengan MSP ini, Para Pihak dapat membentuk Kelompok Kerja.

2. Kelompok yang terdiri dari perwakilan Para Pihak, dapat melakukan pertemuan secara berkala pada tanggal yang ditetapkan bersama oleh Para Pihak secara bergantian di Indonesia dan VietNam. Setiap Pihak akan menanggung biaya yang berkaitan dengan partisipasi masing-masing dalam pertemuan Kelompok Kerja tersebut.

PASAL 5 IMPLEMENTASI

Para Pihak harus menentukan area kerja sama yang spesifik dan kegiatan-kegiatan terkait melalui persetujuan bersama. Seluruh kegiatan dibawah pelaksanaan MSP ini akan diimplementasikan berdasarkan ketersediaan biaya dan personil masing-masing Pihak.

PASAL6

HAK KEKA YAAN INTELEKTUAL

1. Setiap Pihak harus melindungi Hak Kekayaan lntelektual dari Pihak lainnya sesuai dengan kesepakatan internasional yang disetujui Para Pihak dan sesuai hukum serta peraturan perundang-undangan yang berlaku di negara masing-masing. 2. Setiap kekayaan intelektual yang dihasilkan dari pelaksanaan MSP ini diatur lebih

lanjut dalam pengaturan terpisah sesuai dengan hukum dan peraturan perundang-undangan yang berlaku di masing-masing negara.

3. Pengaturan terpisah sebagaimana dimaksud dalam ayat 2 Pasal ini mengatur antara lain Hak Kekayaan lntelektual yang dimiliki bersama, Hak Kekayaan lntelektual yang dimiliki sendiri dan pemindahan Hak Kekayaan tntelektual kepada Pihak ketiga.

PASAL 7 KERAHASIAAN

Para Pihak harus memastikan bahwa data dan informasi yang diberikan atau dibagikan bersama, yang dilakukan berdasarkan MSP ini tidak akan dialihkan atau diberikan kepada Pihak Ketiga tanpa persetujuan tertulis dari Para Pihak.

PASAL8 AMANDEMEN

MSP ini dapat diamandemen berdasarkan kesepakatan tertulis Para Pihak. Amandemen dimaksud akan menjadi bagian yang tidak terpisahkan dari MSP ini dan akan mulai berlaku sejak tanggal yang ditentukan Para Pihak.

PASAL9

PENYELESAIAN PERBEDAAN

Setiap perbedaan pendapat yang timbul terkait dengan penafsiran dari pelaksanaan

MSP ini akan diselesaikan secara mufakat melalui konsultasi atau negosiasi

berdasarkan asas saling pengertian dan itikad baik antara Para Pihak.

PASAL10

MULAI BERLAKU, MASA BERLAKU, DAN PENGAKHIRAN

1. MSP ini akan mulai berlaku sejak tanggal penandatanganan.

2. MSP ini akan tetap berlaku untuk jangka waktu 5 (lima) tahun dan dapat diperpanjang untuk jangka waktu 5 (lima) tahun berikutnya melalui kesepakatan

bersama Para Pihak.

3. Salah satu Pihak dapat mengakhiri MSP ini setiap saat dengan menyampaikan

pemberitahuan tertulis kepada Pihak lainnya selambat-lambatnya 3 (tiga) bulan

sebelum tanggal pengakhiran yang diinginkan.

4. Pengakhiran MSP ini tidak akan mempengaruhi keabsahan dan periode kegiatan

yang sedang berjalan dalam rangka pelaksanaan MSP ini, kecuali disepakati lain oleh Para Pihak.

SEBAGAI BUKTI, yang bertanda tangan di bawah ini telah menandatangani MSP ini.

MEMORANDUM OF UNDERSTANDING BETWEEN

THE MINISTRY OF ENERGY AND MINERAL RESOURCES OF THE REPUBLIC OF INDONESIA

AND

THE MINISTRY OF INDUSTRY AND TRADE

OF THE SOCIALIST REPUBLIC OF VIET NAM ON

COOPERATION IN THE FIELD OF COAL

The Ministry of Energy and Mineral Resources of the Republic of Indonesia and The Ministry of Industry and Trade of the Socialist Republic of Viet Nam (hereinafter referred to individually as "Party" and collectively as "the Parties");

DESIRING to enhance cooperation and establish a strategic partnership in energy sector, especially in the field of coal between the Parties;

REFERRING to the Memorandum of Understanding between the Ministry of Energy and Mineral Resources of the Republic of Indonesia and the Ministry of Industry and

Trade of the Socialist Republic of Viet Nam on Cooperation in Energy and Mineral

Resources Sectors signed on 28 June 2013 in Jakarta;

RECOGNIZING the importance and benefits from long-term cooperative relationship and joint economic projects for the mutual benefit of their people;

ACKNOWLEDGING the strategic partnership and mutually beneficial relations between the two countries;

PURSUANT to the prevailing laws and regulations of their respective countries; _I i

HAVE REACHED the following understandings:

Article 1

Objective

The objective of this Memorandum of Understanding (hereinafter referred to "MoU")

is to establish a cooperative institutional framework to enhance bilateral cooperation

in the field of coal, on the basis of equality and mutual benefit.

Article 2

Areas of Cooperation

The areas of cooperation between the Parties may include, but not limited to the

following areas:

1. Promotion of trade and investment on coal;

2. Encouragement and facilitation of cooperation between enterprises and public entities of both Parties;

3. Exchange and update regularly of information particularly in relation with laws,

regulations, policies, programs and best practice guidelines;

4. Establishment of joint projects on scientific and technical cooperation with a

focus on coal;

5. Capacity building, through cooperation in training and education;

6. Joint seminars, workshops, and conferences on coal, involving participation of

the government, public entities, research bodies and the private sector;

7. Any other form of cooperation as mutually agreed by the Parties.

Article 3 Executing Agencies

Executing agencies for this cooperation shall be:

1. For the Ministry of Energy and Mineral Resources of the Republic Indonesia:

Directorate General of Mineral and Coal.

2. For the Ministry of Industry and Trade of the Socialist Republic of VietNam:

Article 4 Working Group

1. For the purpose of discussions and implementation of various issues pertaining

to this MoU the Parties may set up a Working Group.

2. The Working Group, consisting of the representatives of the Parties, may meet

periodically on mutually determined dates by the Parties alternately in Indonesia

and VietNam. Each Party will cover its expenses relating to its participation in

the meetings of Working Group.

Article 5

Implementation

The Parties shall determine specific area of cooperation and its related activities by

mutual consent. The activities as provided by the present MoU will be implemented

according to the availability of funds and personel of the respective Parties.

Article 6

Intellectual Property Rights

1. Each Party shall protect Intellectual Property Rights of the other Party in

accordance with international agreements to which the. Parties are a party to and

prevailing laws and regulations of their respective country;

2. Any intellectual property resulted from the implementation of this MoU shall be

further regulated in a separate arrangement in accordance with prevailing laws

and regulations of their respective countries.

3. The separate arrangement as mentioned in paragraph 2 of this Article shall

stipulate inter alia the jointly owned Intellectual Property Rights, individually

owned Intellectual Property Rights and the transfer of Intellectual Property Rights

to any third Parties.

The Parties shall ensure that the technical data and information mutually provided

or shared, carried out under this MoU are not transferred or supplied to a Third Party

without prior written consent of the Parties.

Article 8 Amendment

I

This MoU may be amended by mutual written consent of the Parties. Such

ame.1dment shall form an intsgral part cf this MoU and will come into effect on such ;

date as may be determined by the Parties.

Article 9

Settlement of Diffarenc~s

I

Any differences arising i:1 relation to the interpretation of implementation of this MoU !

shall be settled amicably by consultation or negotiation on the basis of mutual

understanding and goodw~ll between the Parties.

Article 10 i I
