Kernenterian Energi dan Sumber Dayn Mineral Republik Indonesia dan Kcmcnterian Penninyakan Republik Irak (sdanjutnya ｾ｡ｲ｡＠ individual disebut sebagai "PlhakH _dan

ｍｅｾｇａｋｕｉ＠ keinginan kedua ncgara unluk meningkatkan hubungan bilateral ke tingk.al yang lebih tinggi dan mcmbangun Kcmitraan Stratcgis BaTU antara mereka;

M[MPERHATIKAN pcluang peningk.atan kerja sarna ekonomi dan komersial antara kcdua negara khususnya di sektor minyak dan gas;

MENY ADAR! pentingnya dan manfaat dari hubungan kerja sama jangka panjang dan proyek-proyck ekooomi bersama untuk kepentingan rakyat kedua ncgara;

BERKlt:INGINAN untuk mcmperluas dan memperdalam Icbih !anjut hubungan persalmbatan dan hubungan saling mcnguntungkan antum kedua !legara:

L Para Pihak wajib bekerjasama dengan tujmm meningkatkan dan membangun hubungan abadi di bidang energi dan sumber daya mineral sesuai dengan hukum dan perundang-undangan yang berlaku di ncgara masing-masing. Bidang Kerja Salna antara Para Pihak meliputi namun tidak tidak terbatas pada mang Jingkup scbagai berikut:

a. Kerja sarna di bidang kegiatan hulu dan hilir sena infrastruktur;

b. Mendorong dan mempromosikan investasi dan kerja sarna secara langsung antara para Pihak atau melalui perusahaan afiliasi dan anak perusahaan;

c. Mempromosikan dialog dan konsultasi antal1l semu a pihak teruit dalarn hal berbagi informasij

d. MeningkatkaD kerja sarna pernbangunan kapasitas tennasuk rnendorong kerja sarna yang Jebih erat antara pusat-pusal penelilian dan pelatihan serta mengintensilkan killljungan tirnbal balik anlara para pejabat;

e. Alih !eknologi rnelalui pelaksanaan kegiatan penelitian dan pengernbangan lerapan scrta instalasi fasilitas demonstrasi, dan

f. Bidang lain yang rnungkin disepakati

secara

tertuJis oleh para Pihak meJalui instrurnen-instrumen hukum apapun, termasuk program-program pengernbangan

masyarakat.

2. Pelaksanaan bidang kerja

1. Untuk tujuan diskllsi dan pelaksanaan berbagai rnacarn isu terhil ､ｾｮｧ｡ｮ＠ ｍｾｲｮｯｲｮｮ､ｬｬｭ＠ Saling Pengertian ini, Para Pihak akan membentuk KeJompok Berswna.

2. Kelompok Kerja Bersama yang terdir; dari perwakilan para Pihak dapat bertemu secara berkala pada tanggal SOlSlIa; yang diinginkan para Pihak steara bergantian di Indonesia dan Irak. Tiap Pihak wajib menanggung biaya rnasing-masing !eriait pan;sipasi pada pertemuan KeJompok Kerja Bersama.

Ha k Alas Kekayaan Inlelekl ua l

I. Ma.ing-masing pihak wajib melindungi Hak alas Kekayaan Intel ektual Pihak lainnya di dal:un wilayahnya berdasarkan pc rundang-undangan yang berlaku di negara masing-masing.

2. Dalam hal pengaturan khusus, program-program alaU proyck tenentu ｭｾｮｧｨ｡ ＾ｩ ｬｫ｡ｮ＠

kekayaan inldektual, para Pihak wajib mengikulsenakan pcngatunm lerpisah ｾｳｵ｡ｩ＠ pcraturHl1-pcraturan yang berlaku pada negara masing-masing.

Kerahasiaan

1.

Masing-masing pihak wajib menjalankan untuk memperhatikan kerahasiaan dan rahasia dokumel1, infonnasi dan data lain yang diterima alau dibcrikan kepada Pihak lainnya selama periode pelaksanaan Memorandum Saling Pengertian ini atau perjanjian_ perjanjian lainnya yang dibuat menurul Memorandum Saling Pengcrtian ini.

2. Para Pihak sepaka\ bahwa ketenluan dalam pasal ini akan terus mengikat antara para Pihak ｭｾＬｫｩｰｵｮ＠ Memonmdum Saling Pcngertian ini dihentikan.

3.

Ketentuan-ketentuan dalam pasal ini tidak boleh merugikan hukum

dan

peraluran yang berlaku pOOa para Pihak.

Pemhatasa n Akli-'itas Per50 nil

Setiap

orang yang lerJibat dalam kegiatan terXait dengan Memorandum Saling Pengenian ini wajib menghonnati kcmandirian politik, kcdaulatan, dan imegritas wilayah negara tuan rumah, dan wajib menghindari kcgiatan yang tidak konsislen dengan maksud dan lujuan Memorandum

Saling

Pengertian

ini.

Pasal II

Pcnyelesaia n PcriJedaan

Seliar perbedaan-perbedaan yang timbul tcrlmit dengan pcnafsiran dari pelaksanaan Memorandum Saling Pengerlian ini wajib diselesaikan &ceara Jamai melalui konsultasi atau perundingan atas da>ar 'ikap saling memahami dan nial baik anlara para Pihak.

pemberitahuRIl. s.ecara tertulis, kepada Pihak lainnya mengenai niatnya unluk mengakhiri Memorandum Saling Pengertian ini, melalui pemberilahuan 90 hari sebellUllnya.

The Ministry of Energy and Mineral Resoul'\:es of the Republic of Indonesia and The

of Oi l of the Repub lic of Iraq (hereinafter individually referred to as -Party' and

collectively referred to as "the Parties"):

ACKNOWLEDGI:-IG the desire on part of both countries to raise bilateral re lat ionship to a higher level and establish a New Strateg ic Pannership between them;

l'IOTlNG the opportunities for enhanced eoonomic and commercial cooperation between both countries particularly in the oil and gas:

RECOGNIZING the importance and benefit from long-term cooperative relationship and joint c<:onomic projects for the mutual benefit of their people;

DE SIRDIG to broaden and deepen further the friendly relations and murnaHy beneficial links between the lwo countries:

REFERRING to the Basic Agreement between the Government of the Republic of Indonesia and the G\lvemment of the Republic of ltilq on Economic, Scientific and Technical Cooperation signed in Jakarta on 24 January 19%:

PURSUA:-IT to the prevailing laws and regulations of the ir respective countries;

HAVE Rt<:ACllED the fo ll owinll understandings:

Article 2

Areas of Cooperation

l. 'The Partics shnll cooperate with an objectivc to enhance nnd build enduring tics in the energy and mineral resources in oonfonnity with their domestic laws and regulatioll5. The areas of cooperation behveen the Parties may include but not limited to the following areas:

a. Cooperation in the areas of upstream and downstream activities nnd infrastructure;

b. Encourage and promote investment and cooperation directly botwoen the Parties or through their affiliated companies and their subsidiaries;

c. Promote dialogue and consultations among

all

concerned parties with regard to sharing infonnation;

d. EnhanC<' <;apacity-building cooperation including forging closer cooperation bet"",,"

research and training centers and intensifying mutual visits among omcials;

e. Technology ｴｲ｡ｮｳｦｾｲ＠ through conduct of applied research and development activities and installation of demonstration facHitic.; nnd

f. Other ｡ｲ･｡ｾ＠ as may be agreed upon in writing by the Parties through any legal instruments, including community development programs.

2.

Implementation of the above areas shall be discussed further by the Parties.

Article 3 Executing Age nt)'

Executing Agencies for this cooperation shall be:

I. For the Ministry of Energy and Mineral Re>ources onhe Republic of Indonesia: Director General of Oil and Gas;

2.

For the Ministry of Oil of the Republic of Iraq: Diroctor General of Midland Oil Company.

Article 4 Joint Working Grou p

I. For the purpose of discussions and implementation of various issues pertaining of this Memorandum of Understanding tnc Partie' may set up a Joint Working Group.

2. The Joint Working Group, consisting of the representatives of the Parties, may lTK'et periodically on mutually detennined dates by the Parties alternately in Indonesia and Iraq. Each Party shall cover its expenses relating to as participatiGn in the meetings of Joint Working Group.

Intellectual Property Rights

L Each Party shall protect, within its territory, Intellectual Property Rights of the other Party in accordance with the domestic law in force in their respective country,

2. In case specifIC arrangement, programs, or project may result in intelloxtual property, the Parties shall include separate arrangement in accoroance with their respective regulations.

Article 6 Confidentia li ty

L Each Party shaH undertake to observe the confi(kntiality and secrecy of documents, infonnation and other data received or supplied to the other party during the period of the implementation of this Memorandum of Under.;tanding or any other agreements made pursuant to the Memorandum of Understanding.

2, The Parties agree that the provision of this Article shall continlle to be binding !J<,tween

the Parties notwithstanding the termination of this Memorandum of Understanding. J, 'Ine provision of this Article shalloot prejudice the prevailing law, and regulations ofthe

Parties.

Article 7 Limitation of Personnel ａ｣ｴｩｶｩｴｩ･ｾ＠

Any persons engaged in activities related to this Memorandum of Understanding shall rcsped political independence, sovereignty, and territorial integrity of the host country, and shall avoid any activities inconsistent with the purposes and objectives ofthh Memorandum of Understanding.

Article 8 Settlement ｯｲ ｄｩｦｦ･ｲ ･ｮ｣ｾＵ＠

Any differences arising in relation to the interpretation of Implementation of this \1emorandum of Understanding shall be settled amicably by consultation or negotiation on the basis ofmutuat understanding and goodwill between the Parties.

Article 9 Amendment

This Memorandum of Understanding may be amended by mutual written consent of the

Enfry into Force, Duration and Termination

1. This Memorandum of Understanding shall enter into force on the day of its signing and

shall remain in force for 5 (five) years unless either party gives notice

in

writing to the

other Party of its intention to tenninate this Memorandum of Understanding with 90

(ninety) days pdor notice.

2. The tcnnination of thi:o Memorandum of Understanding shall not affect the completion of

cooperation acdvhies initiated while this Memorandum of Understanding is in effect,

unless otherwise mumally determined in writing

by

the Parties.
