S hare holders who are entitled to atte nd or be re pres ente d in the Meeting are the s hareholders whos e names are reg is tered, s c ript or s c riptles s , in the C ompany’s R eg is ter of S hareholders and s hare holde rs of the C ompany s hares at the s ub-s ec urities ac c ount of the P T K us todian S entral E fek Indones ia ( Indones ia ’s C entral S ec urities D e pos itory) on the c los ing date of trading in the Indones ia ’s S toc k E xc hang e at 4 pm on Ma y 5th 2014 ( rec ording date) .
P urs uant to the Indones ian F inanc ial S ervic e A uthority R eg ulation Number 32/P O J K .04/2014 c onc erning the P lanning & Implementation of G eneral Meeting of S hare holders for the P ublic /L is ted C ompany and A rtic le 11.8 A rtic le of A s s oc iation of the C ompany, a ny propos al ra is ed by S hareholders will be ac c omodated in the Me eting’s ag enda, if:
a. S uc h propos al is rais ed by 1 ( one) or more s hareholders , who jointly repres ent 1/20 ( one per twentieth) or more from the total number of all s hares with leg itimate voting rights is s ued by the C ompany;
b. It is s e nt in written to and rec eived by the B oard of D irec tors of the C ompany at leas t 7 ( s even) da ys prior to the Invitation of the Meeting ; c . T he propos al mus t:
- F orm part of the ag e nda that requires dec is ion from the Me eting ; - be made in good faith;
- c ons ider the interes t of the C ompany
- inc lude the reas on a nd materials of the propos ed ag enda of the Meeting ;
- not be c ontrary to the laws and the prevailing re gulations .
T he Invitation of the Mee ting will be publis he d on May 6th, 2014 through advertis ement in 1 ( one) daily ne ws paper with national c irc ulation and on the webs ite of the C ompany and als o the webs ite of Indones ian S toc k E xc hang e.
