management of an artificial insemination program (the "Al Program"), (ii) Upgrade the AI.J?rngram Production Value Chain to improve the quality of frozen semen produced, (iii) Improve livestock productivity through genetic improvement of local breeds, and (iv) Develop an effective Distribution Network/System to distribute the quality of frozen semen products to tbe end user (farmers) (hereinafter refened to as the "Project").

2. This MOU constitutes the total commitment between the Pa11ies and supersedes all prior

correspondence or ｣ｯｮＱＱｮ｜ｵＱｩ｣ｾｩｯｮＮ＠

ARTICLE-It SCOPE OF THE PROJECT

l. The Project will work in areas, namely:

(a) Strei1gtheni11g .tl1e lnstitutional Capacity orthe Management of' Al Program; (b) Upgrading of Al Program Production Value Chain;

(c) Improvement ofLivestQCk Pro\!uctivify;

(d) Improving th.e Distribution Network/System of Frozen Semen products.

ARTICLE-Ill OBLIGATIONS OF THE PARTIES

I. Contribution of the Government oflndonesla

The. Government of Indonesia, through SNAIC, shall provide:

(a) Training on Institutional Management of Artificial Insemination (Al) Program for the senior officials ofKSRILP. The training is aimed at enabling KSRILP officials to acquire the necessary knowledge and skills, which includes the best practices and lessons learnt from SNAIC's experience and the critical building blocks needed lo better plan, closign and manage an Al program for the Kyrgyz Republic;

(b) ｾ･ｲｩ･ｳ＠ of teclmical trainings in lndonesia for a total up to 78 (seventy eight) KSRILP technicians in order to upgrade their skills and knowledge in the various aspects of animal reproduction (i.e. AI, pregnancy diagnose, frozen semen handling, bull management and animal feed preservation);

(c) Supervision and necessary assistance by SNAlC experts in the Kyrgyz Republic (i.e technical assistance on AI management, breeding, feeding and rearing ｭ｡ｮ｡ｧ･ｭ･ｮｾ＠

progeny testing program,.recording system and breeding program, and workshop on semen production and quality) to further consolidate arid strengthen the capacity of the personnel

in KSRlLP to meet acceptable international standards;

(d) The equipment, if needed, to equip the training for the KSRJLP;

(e) The facilitation and assistance on logistical and administrative procedures (arranging visa eto.) for KSRILP participants; and

(t) Provide its portion of the costs mentioned in Annex-I! hereof.

2. Contribution ofthe Kyrgyz Government

The Kyrgyz Government. through KSRILP, shall:

(a) Provide the required KSRILP participants to attend trainings in the Reverse Linkage

Project;

(b) Provide supporting equipment (i.e semen evaluation, extender, and establishment of sperm bank);

(c) Purchase an agreed amou1il of frozen semen products from SNAIC as stated in Annex 3, as pait of the initiative to complement and accelerate the development of high quality livestock in the Country. Th.ese frozen semen products will be compatible to the local environmental conditions and breeds iii the Kyrgyz Republic;

(d) Facilitate and provide assistance on logistical and administrative procedures (an-anging visa etc.) for SNAIC experts;

(e)· Provide its po1tio11 of the costs mentioned in Anne>C-Jl hereof.

3 Contrib11ti911 of' the 'Rank

The Bank shall, in accordance with the IDB rules and procedures and as indicated in Annex II, provide funding for the following nctivities:

(a) The orgaiiization of High Level Meetings and Workshops;

(b) The equipments (i.e semen collecting, semen processing, and bull management) to support the artificial insemination prograin production value chain. The equipment will be proctlrcd according to SNAIC recommendation;

(c) Facilitate the comparative study between SNAJC andKSRlLP in the area of agriculture with special emphasis on how to support the national livestock development in the Kyrgyz Republic through an effective Al Program, ;

(d) The teclmical assistance activities on frozen semen handling and production;

(e) Training activities on re1m1duction disorder control in Indonesia for total up to 10 KSRILP technicians.

4 PJ"ojcct.Monitoring and Evaluation

The logical framework as indicated in Annex l will be refen-ed to in the project monitoring and evaluation exercise.

Two SNAIC expc11s and one officer from the Republic of Indonesia, Ministry of Agriculture, (the "Project Monitoring and Evaluation Team") will go to the Kyrgyz Republic to monitor the progress of project implementation and evaluate the effectiveness and identify mitigation activities, if necessary, to ensi1re the objectives of the Project are met. This activity will be done in coordination with stakeholders from KSR.ll,P and from the Ministry of Agriculture of the Kyrgyz Republic.

The "Project Monitoring Team" will provide the Steering Committee, as defined in Article-VI, quarterly reports on the implementation status of the Project.

ARTICLE-IV PROJECT COST AND FINANCING

I. Total cost for\his project is USS l,370,000 (UNIT£D .STATES DOLLAR ONE MILLION AND Tlll,lEE .HlfflDRED SEVENTY. THOUSAND). The contribution amount of each party as indicated iii Annex-IT.

2. Each of the Parties undertakes to disburse their respective contributio.ns in accordance with the Cost

and Financing S<J1ednle and th• Detailed Budget R•timate attached herewith as Annex-II and IH

respectively.

3. The other arrangements concerning the details of final1cing and plans of activities separately will be ma(je in a suppo1ting documents of th ls arrangement.

ARTICLE-V PROCUREMENT AND DISBURSEMENT

L TI1e Bank's contribution will be disbursed ·as. follows:

ARTICLJ!:-VISTEERING COMMITTEE

I. A .steering committee composed of representatives from the Kyrgyz Republic, the Republic of Indonesia (Government of Indonesia and the Na.tional Coordination Team of South-South and Triangular) and the Bank will be establis.hed. It will meet every six months to review the progress, compare the expected results and propose corrective actions whenever necessary. The committee will receive quartel'ly repo1ts from Project Monitoring and Evaluation Team on !he status of the

. implementation .of the project.

ARTicLE-VII DURATION OF THE PROJECT

I. The Project. will be implemented over a period of 2 (Two) years starting from the date of first disbursement. The detailed work plan of the project is shown in the Annexes IV and V.

ARTICLE-VIII OTHER PROVISIONS

l. Methods of Cooperation

(a) The patties shall keep each other informed of, and if necessaiy, consult each other on issues and developments that, in their opinion, give rise to possibilities of cooperation under this Memorandum of Understanding.

(b)The Parties shall consult eac:h other to detennine the appropriate i1nple.mentation procedure and

ensm·e a coherent and efficient approach in the implementation of their respective activities in accordance witl1 the detailed planned activities as specified in Annex-I.

2. Miscellaneous

(a)lt is hereby acknowledged and agreed by the Parties that, for the duration of the Project, and afte1· the termination of this Memorandum of Understanding. no Patty shall either disclose or use in any way whatsoever any confidential information or material exchanged or available to . that Party, nor make public statements on behalf of the other Party, nor claim to represent the

otl1er Party, except in specific cases where express agreement is given in writing.

(b) Either Party shall not, without the writtetl consent of the other Party, assign their respective commitJnents under this Memorandum of Understanding.

(c) The Parties shall amicably resolve any conflict arising from interpretation or implementation of this Memol'8ndum of Understanding through consullalion and due considel'8tion to the mutually beneficial attainmell! of the purpose hereof,

3. Amendments

The provisions of th.is Memorandutil of Understanding may be amended at any time by an

instnunent in writing and after the mutual agreement between the Parties.

4. Suspension ofConbibutions and Termination of this Memorandum ofUndentn11dl11g The Party and/or The Parties may suspend its contributions if:

(a) the other Party fails to fulfil obligations arising out of this Memorandum ofUnderstand.ing or out of a1Tangements in respect of this Memorondnm ofllnrlerst•nding, 01·

(b )circumstances arise which preclude, or place in considerable jeopardy, the objective of the Pl'Oject described in Article-! above.
