MEMORANDUM OF UNDERSTANDING BETWEEN

THE STATE MINISTRY OF RESEARCH AND TECHNOLOGY OF INDONESIA AND

THE DEPARTMENT OF EDUCATION, SCIENCE AND TRAINING OF AUSTRALIA

FOR

AGENCY COLLABORATION IN SCIENCE AND INNOVATION, RESEARCH AND TECHNOLOGY

The Indonesian State Ministry of Research and Technology and the Australian Department of Education, Science and Training (hereinafter called the "Parties"):

RECOGNISING that the Government of the Republic of Indonesia and the Government of the Commonwealth of Australia have concluded a Treaty for Cooperation in Scientific Research and Technological Development, signed at Jakarta on the 1 l t h day of July 2005 (the "Agreement"); and

DESIRING to promote the close and friendly relations existing between Indonesia and Australia;

CONSlDERING their common interest to promote and coordinate collaborative activities in the fields of science and innovation, research and technology, for mutual benefit, between relevant agencies in Indonesia and Australia;

HAVE REACHED THE FOLLOWING UNDERSTANDINGS:

GENERAL PROVISIONS

1. This Memorandum provides for arrangements by the State Ministry of Research and Technology ("RISTEK) and the Department of Education, Science and Training ("DEST") for Agency Collaboration in Science and Innovation, Research and Technology between Australia and Indonesia (SIRTAI). Agencies covered by this agreement are at Annex 1.

3. This Memorandum will be finalised pursuant to and be subject to the provisions of the Agreement, including the definition of terms therein.

OBJECTIVES

4. Within the provisions of the Agreement, this Memorandum will:

(a) promote cooperation between the Republic of Indonesia and the Commonwealth of Australia in the fields of science and innovation, research and technology for mutual benefit;

(b) provide, where deemed necessary, means to select, coordinate and assist the development of proposals for Joint Cooperative Activities; and

(c) encourage increased collaboration by supporting scientific and technological meetings, workshops, and symposia of mutual interest whereby researchers in Indonesian and Australian agencies, universities, enterprises, laboratories and other research centres will have opportunities to discuss co-operation in the performance of scientific and technological research and exchange research information on science and technology.

MEANS FOR ENGAGEMENT

5 . A Joint Working Group in Science and Innovation, Research and Technology

(JWG-SIRTAI) will, inter-alia:

(a) be responsible for the implementation of this Memorandum;

(b) produce a joint annual report to both Ministers, covering existing cooperation in science and innovation, research and technology, and as required for discussion at the Australia/Indonesia Ministerial Forum; and

(c) carry out any other functions jointly decided by the Parties. 6. The Joint Working Group will comprise:

(a) from Indonesia, representatives from RTSTEK, National Research Council and non-departmental research agencies, as nominated by RISTEK; and

(b) from Australia, representatives from DEST and other relevant organisations, as nominated by DEST.

7. The Joint Working Group will meet (a) annually, unless decided otherwise; (b) alternately in Indonesia and Australia; and

8. The purpose of the Joint Working Group meetings will, inter-alia, be to: (a) identify priority areas within which Cooperative Activities may be

advanced;

(b) assist in the implementation of Cooperative Activities; (c) monitor and collect the progress of Cooperative Activities; (d) finalise the joint annual report;

(e) identify any issues impeding collaborative activities;

(f) assist in settlement of any disputes between cooperating agencies; (g) discuss additional issues agreed by the Joint Working Group; and (h) amend Annex 1 as required.

9. Each Party will designate an Executive Officer who will: (a) support the work of the Joint Working Group;

(b) be responsible for maintenance of networks for communication and information exchange in science and technology between the Parties; and; (c) where deemed necessary, coordinate and assist in the development of

proposals for Cooperative Activities.

IIV-COUNTRY CONSULTATION ARRANGEMENTS

10. The Parties will consider and implement liaison arrangements with relevant organisations and individuals in their respective countries that aid in achieving the objectives of this Memorandum.

FIIVAIVCIAL SUPPORT

11. The Parties will bear their own costs in relation to the implementation of this memorandum.

12. Financial arrangements for Cooperative Activities initiated under this Memorandum will be determined by the Joint Working Group.

INTELLECTUAL PROPERTY

DISPUTES

14. Any disputes, controversies or differences as to the implementation of this Memorandum will be resolved by prompt and friendly consultations between the Parties.

DATE OF EFFECT, AMENDMENT AND REVOCATION 15. This Memorandum will come into effect on the date of signature.

16. This Memorandum may be amended by mutual written consent of the Parties at the request of either Party. Any amendments will become effective upon written notification between the Parties.

17. This Memorandum may be revoked by either Party giving written notice to the other of its intention to terminate it, in which case it will terminate ninety days after the date of the notice of termination. Such revocation will not terminate any ongoing activity prior to the full execution, unless the Parties mutually decide to terminate that ongoing activity.
