Companies pay dividends to reward their shareholders for their investment in the company while providing some degree of security for a company's financial well-being. The stock price is basically the present value of all expected future dividends, so when a company pays dividends, the company's stock price falls. A company's EPS increases when the company buys back shares (earnings are distributed among fewer outstanding shares).

If a company fears a takeover by a foreigner, it will buy back shares to ensure its majority ownership of the company so that a foreigner cannot take over the company through the market. Merck uses the purchase method instead of par value to account for these treasury shares. The purchase method means that Merck will record the value of this treasury stock at the value for which these shares were purchased in the open market.
