Call to Order
Chairman, Larry Case called the Board of Trustees meeting to order at 8:32 a.m. Eastern Standard Time.
Seating of New Board Members
Chairman, Larry Case declared John Adent, Greg Curlin, Frank Dry and Levy Randolph duly seated on the board.
Self introductions were made.
Approval of Minutes
MOTION: Moved by Ray Nash seconded by Brian Myers and passed to approve the National FFA Foundation Board of Trustees’ August 2009 Minutes.
Standards of Service and Conduct Receipt Forms Forms were signed and returned to Pam Holbert.
Ratification of National FFA Sponsors Board Executive Council
Vern Hawkins, Melody Alford, John Adent, Jeff Simmons and Mark Timm
MOTION: Moved by Curt Lucas seconded by Alan Spencer and passed to ratify Vern Hawkins, Melody Alford, John Adent, Jeff Simmons and Mark Timm as members of the National FFA Sponsors Board Executive Council.
National FFA Foundation Financial Report & Investment Results – Marion Fletcher MOTION: Moved by Bryan Garton seconded by Levy Randolph and passed to
approve the 2010 National FFA Foundation budget as presented.
Board Members, Vern Hawkins, Frank Dry and John Adent were connected via conference call.
Jennifer Schuessler, FFA Foundation Controller joined via conference call and was introduced to the board by Dennis Sargent.
Appointment of the 2010 Foundation Audit Committee – Larry Case
Vern Hawkins, Marion Fletcher, Melody Alford and Levy Randolph were appointed to the 2010 Foundation Audit Committee.
Foundation Office and Fundraising Update – Dennis Sargent
MOTION: Moved by Marion Fletcher seconded by Joel Larsen and passed to authorize the National FFA Executive Secretary and one other officer of the Board of Trustees to sign the Corporate Resolution for FFA Foundation Investments managed by Oxford which authorized the Executive Director, Dennis C. Sargent and the Controller, Jennifer Schuessler to sell, assign, transfer and/or deliver any and all stocks, bonds or other securities now or hereafter registered in the name of the National FFA Foundation.

The motion to approve funds for the new Foundation Fundraising Process and Systems was approved in December.
Funding Requests by AERO Group
MOTION: Moved by Levy Randolph seconded by Frank Dry and passed to accept AgrowKnowledge of Cedar Rapids, Iowa, a member of the National Council for
Agricultural Education, as an organization for which the National FFA Foundation via a Memorandum of Understanding will secure support for AgrowKnowledge special projects and programs, with the understanding that no financial resources will be distributed unless first secured from a sponsor or donor.
Foundation African Engagement Experience – Dwight Armstrong
Motion: Moved by Joel Larsen seconded by Greg Curlin and passed to approve the FFA African Engagement Experience as a special project for which the National FFA Foundation can seek funding. This is a project for collegiate students who are FFA members or former FFA members, especially those studying agriculture. The National FFA Organization Board of Directors approved this project on December 16, 2009. The proposal is on the board web page.
NAAE Executive Director, Jay Jackman, expressed thanks to the FFA Foundation for their good work on funding special projects for AERO groups.
Kent Schescke, Strategic Partnerships Lead, updated the board on the National FFA Commemorative Coin Act. The National FFA Commemorative Coin Act (U.S. Senate Bill, S.1553 and U.S. House of Representatives Bill, H.3464) will seek a U.S. minted commemorative coin honoring the 85th anniversary of the National FFA Organization in 2012.
Understanding Mission Based Policies – Tom Dormody
MOTION: Moved by Joel Larsen seconded by Alan Spencer and passed to approve the revised Articles of Incorporation for the National FFA Foundation, Inc. as published and distributed with an effective date of January 1, 2011.
MOTION: Moved by Joel Larsen seconded by Greg Curlin to approve the revised Bylaws for the National FFA Foundation, Inc. as published and distributed with an effective date of January 1, 2011.
AMENDMENT: Moved by Brian Myers seconded by Rob Calvin and passed to delete under Article III, Board of Trustees, number 4. Qualifications Voting Trustees may not simultaneously serve as voting trustees or directors of any organization the Corporation supports, with the sole exception of the President of the Corporation who is the National Advisor of the National FFA Organization.
AMENDMENT: Moved by Ray Nash seconded by Greg Curlin that the National Council for Agricultural Education recommend to the National FFA Foundation Board of Trustees that:
1. the Board of Trustees position for the National FFA Advisor be ex-officio without vote;
2. the Board of Trustees position for the National FFA President be ex-officio without vote;
3. and the President of the National FFA Foundation Board of Trustees be elected by the Board of Trustees from among the voting members of the Board of Trustees.
Motion fails.
AMENDMENT: Moved by John Rakestraw seconded by Jim Barbee and passed to make the National Treasurer position and National Executive Secretary position voting members on the board. Note: Marion Fletcher and Steve A. Brown did not vote.
MOTION AS AMENDED: Moved by Joel Larsen seconded by Greg Curlin and passed to approve main motion as amended.
Lunch
Election of Trustees’ Executive Committee – Larry Case
Nominating Committee Members Joel Larsen, Levy Randolph and Rob Calvin recommended that Wilbur Chancellor, State Supervisor, Alan Spencer, Executive
Secretary, Brian Myers, AAAE Representative and Ray Nash, NAAE Representative serve on the Trustees’ Executive Committee.
MOTION: Moved by Jim Barbee seconded by John Rakestraw and passed to cease nominations and elect Wilbur Chancellor, State Supervisor, Alan Spencer, Executive Secretary, Brian Myers, AAAE Representative and Ray Nash, NAAE Representative to serve on the Trustees’ Executive Committee.
By board consensus without objection, Brian Myers was elected Vice President of the Trustees’ Executive Committee.
Future Meeting Dates – Steve A. Brown

Sam Atherton announced that Jim Barbee was the National Alumni Council’s latest New Life Member.
National FFA President, Levy Randolph, thanked the board for their dedication and service.
Retiring Trustees Rob Calvin and Joel Larsen agreed that serving was challenging, rewarding and above all an honor.
Chairman, Larry Case, thanked everyone for their service.
