SCHEDULE AND PROCEDURE FOR DISTRIBUTION
OF INTERIM CASH DIVIDENDS FOR FINANCIAL YEAR 2019
In accordance with the Resolu�on of the Annual General Mee�ng of Shareholders of PT Bank Central Asia Tbk (the “Company”) dated 11 April 2019
and Decision of the Board of Directors of the Company as evident in Decision Le�er of the Board of Directors No. 191/SK/DIR/2019 dated 27 November 2019 and the approval of the Board of Commissioners of the Company as evident in Decision Le�er of the Board of Commissioners No.
182/SK/KOM/2019 dated 27 November 2019, it is hereby no�fied to all the shareholders of the Company that the Company is going to pay out interim cash dividends of Rp100.00 (one hundred rupiah) per share for the financial year 2019 (for the period of 1 January 2019 to 30 September 2019).
The schedule and procedure for the distribu�on of interim cash dividends for the financial year 2019 are as follows:
Interim cash dividends will be paid out to the shareholders of record as listed on the Company’s Register of shareholders as at 9 December 2019, 16.15 Western Indonesia Time (record date).
For the shareholder whose shares are placed in the collec�ve custody of PT Kustodian Sentral Efek Indonesia (“KSEI”), the interim cash dividends will be distributed by KSEI on 20 December 2019 through the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account. A confirma�on of the proceeds from the interim cash dividends payment will be provided by KSEI to the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account. Furthermore, the shareholder will also obtain informa�on on the distribu�on of the interim cash dividends from the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account.
However, for the shareholder whose shares are not placed in the collec�ve custody of KSEI (holder of shares with physical cer�ficates), the interim cash dividends will be directly transferred to the bank account of the relevant shareholder.
The interim cash dividends payable to the shareholder will be subject to income tax withholding in accordance with the prevailing tax law.
If the shareholder is a juris�c person with a Resident Taxpayer status and has not provided its Taxpayer Iden�fica�on Number (Nomor Pokok Wajib Pajak, NPWP) to the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account, such shareholder is required to provide its NPWP to KSEI through the Securi�es Company and/or Custodian Bank with which the shareholder has opened a securi�es account, no later than 9 December 2019, 16.15 Western Indonesia Time. If the shareholder fails to provide its NPWP within the prescribed �me frame, the interim cash dividends payment will be subject to withholding for income tax under Ar�cle 23 of the Tax Law (PPh Pasal 23) at the rate of 30%.
A shareholder who is a Non-Resident Taxpayer from a country with which the Republic of Indonesia has entered into a Double Taxa�on Agreement (DTA) or Tax Treaty may benefit from a lower rate of withholding tax (at the rate as agreed in the DTA), being less than the normal rate of 20% provided that such shareholder meets the requirements s�pulated in Regula�on of the Directorate General of Taxes number PER-25/PJ/2018 dated 21 November 2018 on the Procedure for the Implementa�on of DTAs, i.e. filing with KSEI the Non-Resident Taxpayer’s Cer�ficate of Domicile (CoD) in the form of the original DGT Form (or a copy thereof if accompanied by a copy of the Cer�ficate of Domicile of Non-Resident Taxpayer receipt), which has been duly and accurately completed and signed and has been cer�fied by the competent officer in the country of the counterparty (if not available, such document may be subs�tuted with the Cer�ficate of Residence (CoR) in English language) in accordance with the provisions laid down by KSEI. However, if during the year 2019, the Non-Resident Taxpayer has conducted a transac�on and has provided the Taxpayer in Indonesia with the original DGT Form accompanied by the CoR, the CoD in the form of the DGT Form may be subs�tuted with a so� copy of the CoD Receipt which has been registered on the eCoD official website. If the shareholder fails to provide such document within the �me frame s�pulated by KSEI, then the interim cash dividends payable to such Non-Resident Taxpayer will be subject to withholding for income tax under Ar�cle 26 of the Tax Law (PPh Pasal 26) at the maximum rate imposed by law, i.e 20%.
For the shareholder whose shares are placed in the collec�ve custody of KSEI, the withholding tax cer�ficate in respect of the income tax on the interim cash dividends can be collected at the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account. For any holder of shares with physical cer�ficates, the withholding tax cer�ficate in respect of the income tax on the interim cash dividends can be collected at the Securi�es Administra�on Bureau of the Company, namely PT RAYA SAHAM REGISTRA, Gedung Plaza Sentral, Lt. 2, Jl. The Securi�es Company and/or the Custodian Bank that keeps the electronic records of the Company’s shares that are placed in the collec�ve custody of KSEI are kindly requested to provide the shareholder’s data and any documents showing their tax status to KSEI within a period of 1 (one) day a�er the record date or as otherwise s�pulated by KSEI.
In the event of any tax issues in the future or any claim in rela�on to the interim cash dividends that have been paid out to and received by the shareholder whose shares are placed in the collec�ve custody of KSEI, such shareholder is required to se�le such issues or claim with the Securi�es Company and/or the Custodian Bank with which the shareholder has opened a securi�es account.
This announcement serves as an official no�fica�on from the Company. The Company does not issue any other specific no�ce to the shareholders.
