WHEREAS

A.

llUM

is

an

established university

which

strives

to

enhance and

strengthen its

academic

excellence and has taken

various initiatives

to

complement

its

educational excellence.

llUM

has

entered into various collaborative

arrangements

with

other parties

to

intensify its research excellence.

B. UMY is established higher learning institutional

which

incorporates modern

sciences

and knowledge with

lslamic

Shariah. The Parties are desirous of enter;ng into

this

Memorandum of Agreement

to

declare

their

respective intention

and to establish a basis for cooperation and

collaboration between the Parties upon the term as contained herein.

I{AVE REACHED AN AGREEMENT as follows:

STUDENT EXCHANGE

Student exchange

shall be on a

one-to-one basis.

The

normal period shall be in one semester. ln principle, each university may

send up to 3 (three) students for that determined

period consecutively.

Every

effort

shall be made

to

keep the exchange in balance each

year. The

absence

of

exchange

during any

academic

year

is

possible and does not nullify this agreement.

Students may sit in any course offered by the host institutions

for which they have the pre-requisite preparation, subject to

availability of space in the course requested.

Each participant in

the

exchange shall be treated accordingly as

the students of the host institutions and

will

be expected to abide by rules and regulations of the host university.

The host university may

allow

and facilitate

the

participants in taking part in any students'cultural and educational activities.

The host university may provide

accommodation

and

other facilities for the participants during the program.

CTAUSE 2 DURATION

This agreement shall operate from the date of signing

for

5 years

and may be

subjected

to

revision

or modification by

mutual

agreement.

This agreement

shall is

automatically renewable

on the

same terms and conditions every 5 years unless

written

notification is

given by

either

institution

at

least

three

(3) months prior

to

the determination date.

Notwithstanding

the

above,

either

institution may terminate the Agreement by giving written notice of no less than 6 months.

CLAUSE 3

SELECTION CRITERIA

The

exchange

program is open to qualified

undergraduate students who have completed at least one year

of

undergraduate study.

ln the

special cases, application

from

graduate students may be considered within the term of this agreement.

Participating students normally

shall be

selected

by the

home

institution on the basis of academic merit and

suitability undertaking its normal admission procedures.

lf the

receiving

institution

rejects any application,

the

sending institution may nominate additional application for considered.

cLAUSES 4

STUDENT OBLIGATIONS

The obligations of the participant students shall be jointly

determined by the institutions, consistent with the

following

princjples:

Exchange students are responsible

to

pay any related expenses

to

their home institution.

Exchange students are responsible for their own transportation

to

the host institution.

3.

Exchange students are responsible

for

their own financial support which includes living

a4{

personal expenses. The host institution

bears no responsibility

for

providing funds

to

an exchange student expect for accommodation and other facilities.

4.

Exchange students shall abide by the laws of host country.

CTAUSE 5

Each

institution

shall provide exchange students

with a

contact

person

who will

.be responsible

for

assisting students

with

the arrangement of the program and other welfare issues.

A pre-departure information package shall be sent

to

all incoming exchange students, which may include advice on the transfer from

the

nearest major

airport to

campus

and other

information

to

facilities a student's arrival on campus.

The obligation of each institution under this

agreement are limited

to the

exchange participant only

and do not

extend

to

spouses or dependents.

.1. To the extent appropriate in the institution's judgment, and to the extent consistent with the institution's policies and procedure and applicable laws, each

institution

may use reasonable

efforts to

assist its participa nts.

CTAUSE 6

ACADEMIC COOPERATION

It

is

the

intention

of both

institutions

to

promote and encourage a broad range

of

academic cooperation outside

the

student exchange arrangements

specified in this

agreement.

The scope of

these activities may include:

of mutual interest

2. Allowing publication

of

articles

or

research reports

written

by

staff of

each party

to this

Agreement

in its

Academic Journal reciprocally.

3. Sharing of experience in innovative teaching, development of an

international curriculum and course design.

4.

Exchange academic materials, which are made available by both

pa rties.

5.

Exchange of staff (faculty) and scholars.

6.

Sponsoring cooperative seminars, workshops and

other academic meetings on matters of mutual interest

6.1,The term under which these cooperative endeavors shall be conducted and shall be determined by mutual consultation

as need and opportunities arise

6.2. Proposals

for

collaborative work may be submitted through liaison officers specified by institutions.

lt is

intended

that

approved projects may be included as Addenda

to

this Memorandum of Agreement.

6.3.The

final

approval

of

any

project

is subject

to the

written approval of both institutions and shall be dependent, in part, upon the availability ofguaranteed support funds.

CLAUSE 7 NO AGENCY

Nothing contained herein is to be constituted a joint

venture partnership

or formal

business organization

any kind

between the Parties or so to constitute either Party as the agent of the other.

CLAUSE 8 SUSPENSIION

Each Party reserves

the

right

for

reason

of

national security, national interest, public order or public health

to

suspend temporarily, either in

whole or in part, the implementation of this Memorandum of

Understanding

which

suspension shall

take effect

immediately after

notification

has

been

given

to the other

Party

through

diplomatic channel.

CLAUSE 10 CONFIDENTIATITY

1. Each

Party will

undertake

to

observe

the confidentiality

and secrecy

of

document, information and

other

data received from

of supplied to, the other party during the period of

the

implementation of this Memorandum of Agreement or any other agreement made pursuant to this Memorandum of Agreement.

2.

ln accordance

to

paragraph L above, the documents, information and data herein should not be disclosed by a party (the Disclosing party)

to the other

Party (the receiving party) prior

to, or

after, the execution of the Memorandum of Agreement. The document, information and data relating

to

technical, business, marketing,

policy, know-how, planning, project

management

and

other

documents, information, data and/or solutions in any

form,

information or data which is written

as confidential

or by

its nature intended

to

be for the knowledge of the Receiving party or if disseminated orally it is considered in confidentiality.

3.

Both Parties agree

that

the provisions of this article

will

continue

to be binding between the parties notwithstanding

the termination of this Memorandum of Agreement.

crAUsE 11

PROTECTION OF INTELECTUAT PROPERTY RIGHTS

1. The protect;on

of

intellectual property rights shall be enforced in

conformity with the respective national laws, rules and regulation

Parties and

with other

international agreement signed by both Parties.

The use

of the

name, logo

andlor

official emblem

of

any

of

the Parties on any publication, document

and/or

paper is prohibited without the prior written approval of either party.

Notwithstanding anything

in

paragraph j. above,

the

intellectual property rights in respect

of

any technological development, and any products and services development, carried ouU

CLAUSE 12 NOTICE

Any communication under this Memorandum of Agreement shall be in

writing in the English and delivered by registered mail to the address or sent

to

electronic mail address or facsimile number

of

the

UNtVERStTAs MUHAMMADIYAH YOGYAKARTA, INDONESIA, as the case may be, shown below or

to

such

other address or electronic mail address or facsimile number as either

party may have notified the sender and shall,

unless otherwise provided herein, be deemed

to

be duly given

or

made when delivered

to the

recipient

at

such address or electronic mail address or facsimile
