read and construed aspart of this Agreement, viz:
(a) The Bids Form and
the
Price Schedule submitted by the Bidder (b) the Schedule of Requirements(c)
the Terms of Reference(d) the General Conditions of the Contract (e) the Special Conditions of the Contract
(f)
the Supplements to the Bid Documents; and (g)the
Entity's Notification Award;3. In
considerationof the
paymentsto be made by the Entity to the Supplier
ashereinafter mentioned,

Supplier hereby covenantswith the
Entityto
provide the goods and services andto
remedy defectstherein in
conformityin all
respects with the provisions of the Contract.4.

ARTICLE 2 CONTRACT WORK
2.1 The contract shall
includethe
assignment/deploymentof
qualified/licensed security guards/personnelat all times within an
agreedschedule, in all the
premises and facilities covered in the assigned area.2.2
The contract shall include among others assistanceto
BuISU employees, students andvisitors,
inspectionof
guards, investigation and reportingof
irregularities,if
necessary, and other servicesin
relation to the works performed, provided however,that
the same services, will not in any mannerinterfere
with the operation of the BulSU.ARTICLE
3RESPONSIBILITIES OF THE AGENCY
3,1
The AGENCYshall
providethe
BUISUwith
qualified, licensedand
uniformed security guardsin
accordancewith
R.A. No.5487
as amended,in a
number as may be required by the BUISU from time to time,3.2
To providethe
security guards onduty with
new firearms and equipmentin
accordancewith the
standardsof the BuISU and as set forth by the
Revised Rulesand
RegulationsImplementing
RepublicAct No. 5487t as
amended.That the
AGENCYshall provide
aduplicate
copy of
license registeredunder its
namefor
eachfirearm being
issuedto
the Security Guards upon signing of this Contract.3.3
To provide and make available tothe
BulSU, security guards on a 24-hour basis divided into three(3)
shifts, at eight (B) hours per shift.3.4
The AGENCYshall not be
responsibleor
liable where lossor
damageis
dueto
forcemajeure or due solely to the fault or
negligenceof the BuISU or its duly
authorized representative.3'5 The
AGENCYshall exercise extraordinary care and diligence in carrying out
its obligation under this contract and to the best interest of the BulSU.3,6
The AGENCY shall not, duringthe
period ofthis
Contract or anytime thereafter, use ordisclose to any person or entity, any and all information, derogatory or
otherwise,concerning the affairs and activities of
the
BuISU which the members of the security force ofthe
herein AGENCYmay
have acquiredby
reasonof his
assignmentto the
premises of BulSU,3.7
The AGENCV guarantees absolute non-occurrence of anyform of
mass action, protest, mass leave, or strike by its security personnel within premises.3'B The
AGENCYshall seek first the approval of the BuISU before
implementing the assignment/deployment of securityguards. It
shall assumefull
responsibility onthe
proper and efficient performance of duties by the security guards employed by it.3,9
The AGENCY shall assumefull
responsibilityto
restituteor
paythe
BuISUfor
any loss or damage dueto theft,
robbery, pilferage, and trespass whichthe
BuISU may suffer duringthe
assignedwatch hours of detailed security guards
providedthat it shall have
been established after due investigation by the BuISU and the AGENCY and an independent party who shall bejointly
appointed by the BuISU and the AGENCY,that
said loss or damage wasprincipally due to the
negligenceor fault of the guards. The
AGENCYshall
assume no responsibilityor liability
where such loss is dueto:
1) force majeure orto
fortuitous events,2)
lossof any
property belongingto
BuISU whichare
kept under lock and koys, andin
tho custodyof
BuISU's authorized employeesfor
physicaland proper
recording, storage, and safeguarding, and 3)for
loss of pocketable items or valuables.€

4.1 In

4.2
Payment ofthe
service rendered by the AGENCY shall be ona
monthly reimbursement basis. Monthly paymentsshall
be madeonly
uponthe
presentation bythe
AGENCyof
the Sworn Statementand
proofthat
paymentof
salaries, benefits (duplicate signed payrolls or pay slipsto
be attached) accruingto
the employees were paid pursuantto
tlre itemization inArticle
4.1
above and upon presentation of a certificateof
performance issued bythe
BuISU subjectto
usual auditing and accounting rules andregulations.
Said payment shall be paidin
checkwithin thirty (30)
daysafter
receiptof the billing statement by the BulSU.
That BUISUshall not be held liable or
answerablefor
non-payment,in
caseof any
salaries, benefitsor
compensationof the
samekind
accruingto
each deployed Security guards so long asthe
latter has beenfaithful
in settling all the amounts or accounts due and payable to the AGENCY.ARTICLE 5 AGENCY'S PERSONNEL
5,1
All security guards must undergothe
necessary screening required bythe BulSU.
The AGENCY,at
its own expense/ shall causeall
its security personnel assigned tothe
BuISU to undergo drugtest at
least oncea year in
any accredited PNP Drug TestingCenter,
Result thereof shall be furnished tothe BulSU.
The AGENCY shall provideat
its own expense, the uniforms and identification cards of all its security guards,5.2
BUISUshall
havethe right to select,
refuseor
changeany security guard,
security supervisor or detachment commander priorto
his assignmentto
the BulSU.5.3
When the exigencies of the service require, the BUISU shall have the rightto
increase or decreasethe
number of guards deployed in its premises by giving priorwritten
notice thereof to the AGENCY.5.4
BUISU reservesthe right to
requestfor the
immediate replacementof any
security guard assigned underthis
Contract who, in the judgement ofthe
BulSU, is found wanting inqualification, competence, honesty,
or integrity, or
whose continued presenceor
services may prejudice the interest ofthe
BulSU.5.5 In the
eventthat no
replacementof
absentor
relieved security guardsis
made,it
is agreed uponthat a
corresponding proportionate deductionfrom the
billingsof the
AGENCY shall be affected.5.6
The AGENCY shall submitto the
BUISUtwice a
month,a list of
security guards withtheir
assignedpost for
purposesof monitoring shift
rotationsand controlling
issuance ofDuty
Passes, and shall ensurestrict
compliance bythe
security guardswith the
safety and security rules and regulations of the BulSU, including the proper useof
Duty Passes.5.7 The
AGENCYshall conduct
orientation/seminarsfor the guards
assignedat
the University, periodically, or as may be deemed necessary bythe
BuISU or the AGENCY.5,8 it
is hereby agreed uponthat the
BuISU shall assume actual supervision over security guardsin
coordinationwith the
AGENCY'S supervisoror
detachment commander assigned thereat.5.9 The discipline and administration of the guards shall conform to the rules
and regulations ofthe
Office of Security Services andthe
BulSU, as well as pertinent laws, rules andregulations.
Upon loss of confidence andwithout
liability whatsoeverto the
BulSU, anyof the
guards provided bythe
AGENCY may be changed immediately upon requestto
that effect by theformer to the latter.
Likewise,the
AGENCY, asthe
employerof the
security personnel assignedat
BulSU, maypull out
any security guards assignedto BulSU, at
anytime, with a valid
reason,with due
investigationand
process,for
disciplinary purposes or anyother
reasonin the
exerciseof the
employer-employee relationship,for the
bettermentof the
security servicesfor
BulSU.Infraction,
resultingfrom
due process and investigation, by the AGENCY or its personnel shall be penalized in accordance with existing laws.5.10
The AGENCY hereby authorizedthe
BUISUto
deduct automatically from the former'smonthly
billing any andall
fine/penalties imposedfor
violationsor
offenses incurred by the AGENCYwithin the
billing period, pendingthe
investigationof the
incident andwill
only bereleased
to
the AGENCY if foundto

REPRESENTATION AN D WARRANTIES
7.1
The AGENCY hereby representsand
warrants that:a. It
hasall the
requisite power/authority
and capacityto
enterinto this
Contract andto
perform its undertakings and obligations under the terms and conditions hereof.b. The
executionand
performanceof this contract
doesnot and will not violate
any provisionof
law, ordinance, executive orderor
administrative orderor
decreeof
any court or governmentauthority/
or any provision of a contract, agreement, instrument or transaction to which he is orwill
be a party.'c. It
shallnot
bring any unreasonableor
unfounded actionor suit
intendedto stifle,
to prevent delay, stop or otherwise interferewith
the exercise bythe
BuISU of anyoi
its rights and privileges under the Contract.It has taken all the
necessaryand proper
governmentaland/or legal action,
and securedall
necessary and proper approvals, clearances, permits and authorization for the execution and performance of this Contract.It has not given or
promisedto give any
money,gift or benefit to any official
or employee ofthe
BUISUto
obtain/procure this Contract,ARTICLE B
NO EMPLOYER-EM PLOYEE RELATIONSHIP
B'1 It is hereby agreed and
understoodthat the
AGENCYis and shall remain
an independent AGENCYand there shall no
employer-employeerelationship between
the BulSU, on one hand, and the AGENCYor
his securityguards,
onthe other hand.
Hence,the
BUISUshall not in
anyway
be liablenor
responsiblefor any
personalinjury,
includingdeath or
damageto property
sustainedor
causeto or any of tlre security
guardsof
theAGENCY. The AGENCY shall at all-time be directly
responsibteand liable for
the enforcement of, and compliance with all existing laws, rules and regulations, particularly with respectto
any andall
claims brought by its security guards under applicable Iabor and social legislation.d

8.2
The AGENCY shall holdthe
BuISU freefrom
any liability arisingfrom
causesof
action,or
claims which may befiled by its
security guardsby
reasonof their
ernploymentwith
the AGENCYpursuant to this
contractor
underthe
provisionsof the
Labor Code,the
Social Security Act, and all other laws, rules and regulations now in force or which hereafter maybe enacted.8.3 In the
eventthat the
BuISUis
impleadedin any
actionor
case,the
BuISUshall
beauthorized to withhold from the
AGENCY's collectible accountssuch amount as
would reasonably approximatethe claims of security guards against the AGENCy. The
saidamount shall
answerfor judgments against the
AGENCYin
casethe same is levied
or executed against BulSU,ARTICLE 9 EFFECTIVITY
9.L
This Security Service Contract shall be efl"ective for a period of twelve(12)
months fromJune L, 2OL9 to May 3L,
2O2O andif
no notice of termination is received by the AGENCy uponthe
lapse of the said twelve(12)
monthsperiod.
this Contract is deemed renewed on amonthly basis but not to
exceedan aggregate
perioclof six (6) months as per
GppBResolution No. 003-2006 dated 11 March 2006, subject to ttre result of the
actual performance evaluationand the
issuanceof
certificateof
satisfactory performanceby
the BUISU and subject to the availability of funds and the requirementsof

9.2
Notwithstandingany
provisionto the contrary, the BuISU shall have the right
toterminate or
rescindthis contract for
causeor for'any violation by the
AGENCVof
any provisionof this
contractwithout the
need ofjudicial
interventionby giving at
leastthirty
(30) calendar dayswritten
notice which shall be final and binding on both parties.9.3
Withinthirty (30)
daysafter
terminationor
rescissionof this
contract,the
parties shall settletheir
respective accountabilities asof the
dateof
terminationor
rescission, includingthe
refundof
any andall
advances made, plus legal interestfrom the
dateof
receiptof
the amount/s soadvanced. In
case of disagreement asto
the accountabilities, the dispute shall be submitted to court for adjudication.ARTICLE 10 INSPECTION
10,1 The
BUISUor its duly
authorized representativeshall
havethe right to
inspect theguards assigned by the
AGENCYat any time in order to determine the quality
and acceptabilityof the
service being performedby the
guardsin the
proper safeguarding and protectionof
persons, places and properties covered bythe Contract.
A service vehicle withdriver shall be provided by the
AGENCYfor
inspectionand
emergency purposesfor
24 hou rs.ARTICLE 11
ORIENTATION AND SEMINAR
11.1
The AGENCY shall,in
accordancewith the
BuISU requirements, conduct orientation and seminartor
refresher coursesfor the
guards assignedin the
University, everysix
(6) months,or
asoften may
be deemed necessaryby
both parties. However, upon request by BulSU,or as may be
deemed necessary,the
AGENCYshall
arrangefor the trainings
and seminars on bomb detection and firearm handling and similar undertaking.ARTICLE 12 LOSSES AND DAMAGES
12.L The
AGENCYshall
assumefull
responsibilityfor any
lossor
damagedue to
theft, robbery, pilferage, and trespass whichthe
BuISU may suffer, duringduty
hoursof
detailed security guards providedthat it
shall have been established after due investigation,that
said loss or damage was principally due to the negligence orfault
of the guards.12.2
The AGENCY shall not be held responsible or liable where loss or damage is due to force majeure or fortuitous events, or due solely to the fault or negligence of the BulSU.ARTICLE 13
MISCELLAN EOUS PROVISIONS
13.1
Should the BUISU be constrainedto
resortto
court action in orderto
protectits
rights andinterest
hereunder,the
AGENCY shall paythe
BuISUan
amount equivalentto
twenty percent (2oo/o)of the total
sum claimedin the
complaint, as and by wayof
attorney's fees shallin
no case be less than TWENTY THOUSAND PESOS(P20,000.00).
Venueof
any court actions shall be in the City of Malolos, Bulacan,L3'2
Failure ofthe
BUISU at any timeto
enforce or demand performance of any or allol
theterms
and conditionsof this
Contract andother
related instrumentsof
contracts shallin
rroway be construed as
a
waiverof
such terms and conclitions, and shall not affectthe
validityor
enforceabilitythereof or the right of the
BUISUto
subsequently enforceor
demand of such terms and conditions.13.3 Any ambndhent,
alterations,or
modificationof this
Contractshall not
bevalid
and binding unless'anduntil
made in writing and signed by the parties hereto.13.4
The'AGENCYshall not
sub-contract, assignor transfer any or all of his rights
and obligations hereunder to anythird
party without the prior written consent of the BulSU.13.5 The Contract
of
Agreement, supplemental Bid Bulletins, Termsof
Reference shall formpart of this
Contract.In
caseof conflict
between those, stipulationsin this
Contract shall prevail.4

subcontract,transfer or
assignany or all of its rights
and obligations hereunder except upon presentment ofjustifiabie
causewith
concurring written consentof the
University President. However,in
such caseit
doesnot
relievethe
AGENCyof any liability or
obligation underthis contract.
TheAGENcy will be
responsiblefor
the acts, defaults, and negligence of any subcontractor, its agents, servants or workmen as fullyas if
these werethe
AGENCY'sown acts,
defaults,or
negligence,or
thoseof its
agents, servants or workmen.In
such case, subcontractors must submit the documentary requirements under this Contract and,as
required,by
BuISU and,further
complywith the eligibility criteria
specifiedin
this Agreement.In the event that any
subcontractoris found by BuISU to be
ineligible the subcontracting shall be disallowed.ARTICLE 14
RESOLUTION OF CONFLICTS
14.1 In the
eventof
any conflict arisingfrom the
Security Service Contract between the BUISU and the AGENCY,the
parties shall endeavorto
settletheir
conflicts amicably, failing which, the same shall be submitted to arbitration orto
a court of competent jurisdiction.14.2
Pre-Termination of Contract
BUISU
shall
conducta
surveyand
evaluatethe
performanceof the
AGENCyon
asemestral basis. The AGENCY
must
maintaina rating of
satisfactory levelor
higherin
the performanceof their
obligations otherwiseor failure to maintain the same
performance throughout the term of the contract based on the following set of performance Criteria as per GPBB Resolution No'24-2007,
Sec,5.4
of AnnexA,
