Resolution No. (1) of 2022 Reconstituting the

Board of Directors of the Dubai Chess and Culture Club¹

We, Mansoor bin Mohammed bin Rashid Al Maktoum, Chairman of the Dubai Sports Council,

After perusal of:

Law No. (11) of 2009 Concerning the Dubai Sports Council and its amendments;

Resolution No. (1) of 2020 Concerning Governance of Sports Clubs in the Emirate of Dubai;

Resolution No. (20) of 1981 Announcing the Establishment of the Dubai Chess Club;

Resolution No. (2) of 2018 Forming the Board of Directors of the Dubai Chess and Culture Club (the "DCCC"); and

The Resolution issued by the Board of Directors of the Dubai Sports Council on 2 June 2022, and

In accordance with the exigencies of public interest, Do hereby issue this Resolution.

Reconstitution of the Board of Directors Article (1)

a. Notwithstanding the provisions of the above-mentioned Resolution No. (1) of 2020, the Board of Directors of the Dubai Chess and Culture Club (the "Board of Directors") is hereby reconstituted as follows:

1. Mr. Khalid Ali bin Zayed, as chairman;

2. Mr. Najib Mohammed Saleh, as vice chairman;

3. Mr. Saeed Yousuf Shukri, as member;

4. Mrs. Amal Abdulaziz Al Aref, as member; and 5. Mr. Othman Mussa Abdullah, as member.

The Board of Directors is appointed for a renewable term of four (4) years.

b. Where the Board of Directors is not reconstituted upon expiry of the term of membership of the members mentioned in paragraph (a) of this Article, these members will continue to perform their duties until they are reappointed or replaced by new members.

Functions of Board of Directors Article (2)

a. The Board of Directors will operate under the directives of the Dubai Sports Council and will be governed by the legislation it issues and any other legislation in force in the Emirate.

b. The Board of Directors will conduct its business in accordance with the Charter of the DCCC and the regulations, bylaws, and resolutions issued by the Dubai Sports Council.

For the purpose of achieving its objectives, the Board of Directors will have the following duties and functions:

1. to complete the procedures for handover and takeover of duties from the previous board of directors, and provide the Dubai Sports Council with the handover and takeover report signed by both boards of directors;

2. to assign duties to the members of the Board of Directors to streamline and perform the daily work;

3. to follow up and supervise performance of the operations of the DCCC; and the entities and companies affiliated to, or supervised by, the DCCC;

4. to exercise the administrative and financial powers required for the governance of the work of the DCCC; and the entities and companies affiliated to, or supervised by, the DCCC (if any);

5. to represent the DCCC in its relations with third parties;

6. to issue the resolutions related to the human resources of the DCCC;

7. to form sub-committees and specialised work teams from amongst the members of the Board of Directors, or other persons, to assist it in performing its duties;

and

8. to perform any other duties assigned to it by the Dubai Sports Council with a view to enabling the Board of Directors to exercise its duties and powers under this Resolution.

Board of Directors Meetings Article (3)

1. The Board of Directors meetings will be held at least once a month at the time and venue determined by its chairman. Meetings of the Board of Directors will be valid if attended by the majority of its members.

2. Meetings of the Board of Directors will be documented in minutes signed by the members of the Board of Directors.

Periodic Reports Article (4)

The Board of Directors will submit to the Dubai Sports Council a periodic report on the outcomes of the work and accomplishments of the Board of Directors; its resolutions and recommendations; the challenges, difficulties, and obstacles that the Board of Directors faces; and the solutions it deems appropriate to address the same, in order for the Dubai Sports Council to take the appropriate action in this respect.

Repeals Article (5)

Any provision in any other resolution will be repealed to the extent that it contradicts the provisions of this Resolution.

Commencement and Publication Article (5)

This Resolution comes into force on the day on which it is issued, and will be published in the Official Gazette.
