Pada bulan Juli 2015, PT Mustika Candraguna (MCG), meningkatkan setoran modal sebesar Rp 1.500.000.000 yang disetor penuh oleh PT Sinar Mas Teladan (SMT). Selisih antara nilai investasi SMT di MCG sebelum dan sesudah penambahan modal disetor sebesar Rp 2.656.274.592. Bagian Perusahaan atas transaksi tersebut adalah sebesar 1.919.104.677 yang dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
In July 2015, PT Mustika Candraguna (MCG), increased its paid-up capital by Rp 1,500,000,000 which have been fully paid by PT Sinar Mas Teladan (SMT). The difference between the SMT’s interest in MCG before and after the increase amounting to Rp 2,656,274,592. The Company’s interest in relation to this transaction amounting to Rp 1,919,104,677 was recorded as “ Difference in Value Arising from Transactions with Non- controlling Interests”.
Pada bulan Desember 2015, PT Bumi Karawang Damai (BKD) meningkatkan modal disetor sebesar Rp 25.000.000 yang disetor penuh oleh Perusahaan. Transaksi ini meningkatkan persentase kepemilikan Perusahaan dalam BKD dari 96,00% menjadi 98,00%. Selisih antara nilai investasi Perusahaan di BKD sebelum dan sesudah penambahan modal disetor sebesar Rp 487.184 yang dibukukan sebagai pengurang pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
In December 2015, PT Bumi Karawang Damai (BKD) agreed to increase the paid-up capital amounting to Rp 25,000,000 which have been fully paid by Company. This transaction increased the ownership interest of Company in BKD from 96.00% to 98.00%. The difference between the purchase price and total net assets acquired by the Company in BKD amounted to Rp 487,184 and was recorded as reduction under “Difference in Value Arising from Transactions with Non-controlling Interests”. Pertiwi Tbk (DUTI) mengakuisi 0,59% kepemilikan saham PT Wijaya Pratama Raya (WPR) dari pihak ketiga dengan harga pembelian sebesar Rp 1.461.500.000. Transaksi ini meningkatkan persentase kepemilikan DUTI dalam WPR dari 64,25% menjadi 64,84%. Selisih antara nilai pembelian dengan jumlah aset bersih atas penyertaan saham DUTI di WPR adalah sebesar Rp 1.940.227.326. Bagian Perusahaan atas transaksi tersebut sebesar Rp 1.718.239.101 dicatat dan dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
On December 29, 2014, PT Duta Pertiwi Tbk (DUTI) acquired 0.59% ownership interest in PT Wijaya Pratama Raya (WPR) from a third party with purchase price of Rp 1,461,500,000. This transaction increased the ownership interest of DUTI in WPR from 64.25% to 64.84%. The difference between the purchase price and total net assets acquired by DUTI in WPR amounted to Rp 1,940,227,326. The Company’s interest in
relation to this transaction amounted to Rp 1,718,239,101 and was recorded under “Difference in Value Arising from Transactions with Non-controlling Interests”.
Pada bulan Desember 2014, Perusahaan membeli 4.226 lembar saham PT Sinar Mas Wisesa (SMW) dari pihak ketiga dengan harga pembelian sebesar Rp 4.226.000. Transaksi ini meningkatkan persentase kepemilikan Perusahaan dalam SMW dari 55,000% menjadi 55,003%. Selisih antara nilai pembelian dengan jumlah aset bersih atas penyertaan saham Perusahaan di SMW adalah sebesar Rp 13.333.663 dicatat dan dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
In December 2014, the Company purchased 4,226 shares of PT Sinar Mas Wisesa (SMW) from a third party with purchase price of Rp 4,226,000. This transaction increased the ownership interest of the Company in SMW from 55.000% to 55.003%. The difference between the purchase price and total net assets acquired by the Company in SMW amounted to Rp 13,333,663 and was recorded under “Difference in Value Arising from Transactions with Non-controlling Interests”.
Pada bulan November 2014, SMW meningkatkan modal disetor sebesar Rp 66.198.670.000 yang disetor penuh oleh Perusahaan dan PT Paraga Artamida (PAM), pemegang saham Perusahaan, masing-masing sebesar Rp 36.417.920.000 dan Rp 29.780.750.000. Selisih antara nilai investasi Perusahaan di SMW sebelum dan sesudah penambahan modal disetor sebesar Rp 9.834.832 yang dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
In November 2014, SMW increased its paid-up capital by Rp 66,198,670,000 which have been fully paid by the Company and PT Paraga Artamida (PAM), the Company’s stockholder, amounting to Rp 36,417,920,000 and Rp 29,780,750,000, respectively. The difference of Rp 9,834,832 between the Company’s interest in SMW before and after the increase in paid-up capital was recorded as “Difference in Value Arising from Transactions with Non-controlling Interests”.
Pada bulan November 2014, MCG meningkatkan modal disetor sebesar Rp 2.800.000.000 yang disetor penuh oleh SMT. Transaksi ini meningkatkan persentase kepemilikan SMT dalam MCG dari 70,97% menjadi 78,48%. Atas transaksi ini, SMT mengakui dan mencatat perubahan penyertaan pada MCG sebelum dan sesudah transaksi tersebut sebesar Rp 7.715.772.125. Bagian Perusahaan atas transaksi tersebut adalah sebesar Rp 5.574.489.339 yang dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.

This transaction increased further the ownership interest of SMT in MCG from 70.97% to 78.48%. Accordingly, SMT recognized and recorded the difference in its interest in MCG before and after this transaction amounting to Rp 7,715,772,125. The Company’s interest in relation to this transaction amounting to Rp 5,574,489,339 was recorded as “Difference in Value Arising from Transactions with Non- controlling Interests”.
Berdasarkan Surat Jual Beli Saham yang didokumentasikan dalam Akta No. 26 tanggal 10 September 2014 dari Jusuf Patrianto Tjahjono, S.H., M.H., notaris di Surabaya, para pemegang saham PT Sentra Selaras Phinisi (SSP) setuju untuk menjual 1 (satu) saham yang dimiliki pihak ketiga kepada Perusahaan. Transaksi ini mengakibatkan persentase kepemilikan langsung Perusahaan dalam SSP menjadi 0,01%. Selisih antara nilai pembelian dengan jumlah aset bersih atas penyertaan saham Perusahaan di SSP adalah sebesar Rp 778 dicatat dan dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
Based on Notarial Deed of Shares Sale and Purchase Agreement No. 26 dated September 10, 2014 of Jusuf Patrianto Tjahjono, S.H., M.H., a public notary in Surabaya, the shareholder of PT Sentra Selaras Phinisi (SSP) agreed to sell 1 (one) shares owned by a third party to the Company. This transaction increased the direct ownership interest of the Company in SSP to 0.01%. The difference between the purchase price and total net assets acquired by the Company in SSP amounted to Rp 778 and was recorded under “Difference in Value Arising from Transactions with Non-controlling Interests”.
Pada bulan Februari 2014, MCG meningkatkan modal disetor sebesar Rp 2.200.000.000 yang disetor penuh oleh SMT. Transaksi ini meningkatkan persentase kepemilikan SMT dalam MCG dari 60,00% menjadi 70,97%. Atas transaksi ini, SMT mengakui dan mencatat perubahan penyertaan pada MCG sebelum dan sesudah transaksi tersebut sebesar Rp 11.446.655.479. Bagian Perusahaan atas transaksi tersebut adalah sebesar Rp 8.269.977.119 yang dibukukan pada akun “Selisih Nilai Transaksi dengan Kepentingan Nonpengendali”.
In February 2014, MCG increased its paid-up capital by Rp 2,200,000,000 which have been fully paid by SMT. This transaction increased the ownership interest of SMT in MCG from 60.00% to 70.97%. Accordingly, SMT recognized and recorded the difference in its interest in MCG before and after this transaction amounting to Rp 11,446,655,479. The Company’s interest in relation to this transaction amounting to Rp 8,269,977,119 was recorded as “Difference in Value Arising from Transactions with Non- controlling Interests”.
