PT Hutchison CP Telecommunications (“PT 3Indonesia”)
Perjanjian 3G radio access network sharing dimana kedua belah pihak setuju untuk menyediakan kapasitas satu sama lain di area tertentu. Berlaku mulai tanggal 1 Juni 2011 selama 10 tahun/3G radio access network sharing agreement which the parties agree to provide capacity to each other in certain areas. Valid for 10 years starting from 1 June 2011. Pada 7 Mei 2012, kedua belah pihak sepakat untuk mengakhiri perjanjian tanpa syarat ini efektif pada tanggal 7 November 2013/ On 7 May 2012, both parties mutually agreed to terminate this arrangement unconditionally effective on 7 November 2013.
PerjanjianLease of Submarine Fiber Optic NetworkKalianda- Anyer antara Perseroan dan PT Hutchison CP Telecommunications. Perjanjian mulai berlaku sejak tanggal 22 Februari 2011 dan terus berlaku sampai dengan jangka waktu 15 tahun kecuali di akhiri lebih awal berdasarkan Perjanjian ini/ Agreement on the Lease of Submarine Fiber Optic Network Kalianda-Anyer between Perseroan and PT Hutchison CP Telecommunications. The agreement commenced from 22 February 2011 and shall continue in effect for the period of 15 years unless terminated earlier in accordance with the agreement.
PT Huawei Tech Investment Perjanjian Managed Services for Value Added Services (“VAS”) danDigital Merchants(“DM”) dimana PT Huawei Tech Investment bertanggung jawab atas pemeliharaan dan kegiatan operasional VAS dan DM. Berlaku mulai tanggal 1 April 2012 selama 5 tahun. Perseroan melakukan pembayaran di muka secara triwulanan/ Managed services agreement for Value Added Services (“VAS”) and Digital Merchants (“DM”) which PT Huawei Tech Investment is responsible for maintenance and operational services for the VAS and DM. Valid for 5 years starting from 1 April 2012. The Company pays quarterly services fees in advance.
PT Huawei Services Pada tanggal 16 Januari 2012, Perseroan menandatangani perjanjian Network Managed Services dengan PT Huawei Services untuk periode tujuh tahun yang dimulai pada tanggal 1 April 2012. Perjanjian tersebut meliputi jasa kegiatan dan layanan jaringan untuk Perseroan. Perjanjian ini bertujuan untuk memberikan solusi biaya efektif dalam waktu jangka panjang. Perseroan melakukan pembayaran dimuka atas biaya jasa triwulan kepada PT Huawei Services/ On 16 January 2012, the Company entered into a Network Managed Services Agreement with PT Huawei Services for a period of seven years commencing on 1 April 2012. This agreement will include services, among others, daily network operations and field operations for the Company. This mutually beneficial arrangement is structured upon a long term focus on delivering a cost effective solution. The Company paid the quarterly services fees to PT Huawei Services in advance.

PT Indosat Tbk Pada tanggal 1 Mei 2013, Perseroan menandatangani
perjanjian kerja sama dengan PT Indosat Tbk untuk periode lima tahun yang dimulai pada tanggal berita acara sewa yang terakhir ditandatangani. Dalam perjanjian tersebut, kedua pihak setuju untuk: (i) masing-masing pihak melakukan konstruksi kabel utama, kabel akses, dan peralatan (“Jaringan”) di area tertentu; (ii) Kepemilikan atas Jaringan tersebut menjadi hak pihak yang melakukan konstruksi; (iii) berbagi utilisasi; dan (iv) mengoperasikan dan memelihara Jaringan tersebut. Perjanjian ini dimulai sejak dari tanggal ditandatanganinya dan tetap berlaku hingga akhir periode sewa, kecuali diakhiri lebih awal atas persetujuan kedua belah pihak/ On 1 May 2013, the Company entered into a cooperation agreement with PT Indosat Tbk for five years period effective from the latest memorandum being signed. Under the agreement, both parties agreed to: (i) perform construction of certain main cables, access cables and equipment (the “Network”) in certain areas; (ii) the ownership of the Network will belong to the party which perform the construction; (iii) share the utilisation; and (iv) operate and maintain the Network. This agreement commenced from signing date and shall continue in effect until the end of lease period, unless terminated earlier by both parties.
PT Axis Telekom Indonesia (“AXIS”) Pada tanggal 26 September 2013, Perseroan menandatangani Perjanjian Jual Beli Bersyarat PT Axis Telekom Indonesia (“AXIS”) dengan Saudi Telecom Company (“STC”) dan Teleglobal Investment B.V (“Teleglobal”). Berdasarkan perjanjian tersebut, Teleglobal akan menjual saham dan Perseroan akan membeli saham Teleglobal di AXIS dengan kondisi tertentu. Kondisi tersebut, termasuk (1) alokasi spektrum tertentu oleh regulator dan (2) persetujuan dari regulator dan pemegang saham Perseroan. Pada saat pemenuhan kondisi-kondisi tersebut, Perseroan akan (1) membayar USD 100 untuk kepemilikan saham (2) mengambil alih kewajiban keuangan AXIS sebesar USD 865 juta dan memenuhi persyaratan tertentu lainnya yang tertera dalam perjanjian. Sampai dengan tanggal penyelesaian laporan keuangan konsolidasian ini, kondisi yang diharuskan belum terpenuhi/ On 26 September 2013, the Company signed a Conditional Sale Purchase Agreement of PT Axis Telekom Indonesia (“AXIS”) with Saudi Telecom Company (“STC”) and Teleglobal Investment B.V. (“Teleglobal”). Under the agreement, Teleglobal’s shall sell and the Company shall purchase Teleglobal’s share ownership in AXIS under certain conditions which include (1) allocation of certain spectrum by the regulator and (2) approval from the regulator and the shareholders of the Company. Upon fulfillment of the above conditions, the Company shall (1) pay USD 100 for the share ownership (2) assume AXIS’ financial indebtedness of USD 865 million and fulfill certain other requirements set out in the agreement. Up to the date of completion of these consolidated financial statements, the required conditions have not been fulfilled.

Pada tanggal 28 November 2013, Perseroan telah mendapatkan Surat Keputusan Menteri Komunikasi dan Informatika No. 1147/M.KOMINFO/UM.01.01/ 11/2013 yang menyatakan persetujuan permohonan rencana akuisisi atas AXIS yang dilanjutkan dengan penggabungan usaha Perseroan dan AXIS dengan memperhatikan beberapa persyaratan yang harus dipenuhi/ On 28 November 2013, the Company received Regulation No. 1147/M.KOMINFO/ UM.01.01/11/ 2013 of the Minister of Communication & Information to approve acquisition proposal on AXIS followed by merger of the Company and AXIS with some requirements should be fulfilled.
Pada tanggal 5 Desember 2013, Perseroan menandatangani Perjanjian Penjualan dan Distribusi dengan AXIS dimana AXIS menunjuk Perseroan sebagai perantara untuk menjual dan mendistribusikan kartu perdana dan reload vouchers AXIS/ On 5 December 2013, the Company signed a Sales and Distribution Agreement with AXIS whereas AXIS intends to appoint the Company as its agent for the sales and distribution of AXIS’ starter packs and reload vouchers.
Pada tanggal 23 Desember 2013, Dewan Komisaris dan Direksi Perseroan menyetujui Rancangan Penggabungan Usaha terkait dengan rencana penggabungan usaha Perseroan dan AXIS yang telah diserahkan kepada Otoritas Jasa Keuangan (“OJK”) pada hari yang sama./ On 23 December 2013, the Board of Commissioners and Directors of the Company approved the Merger Plan related to the acquisition and merger plan of the Company and AXIS which then submitted to Otoritas Jasa Keuangan (“OJK”) on the same day.
