Prinsip Dasar
Pemangku kepentingan-selain pemegang saham-adalah mereka yang memiliki kepentingan terhadap Perseroan dan mereka yang terpengaruh secara langsung oleh keputusan strategis dan operasional Perseroan, yang antara lain terdiri dari karyawan, mitra bisnis, dan masyarakat terutama sekitar tempat usaha Perseroan.
Antara Perseroan dengan pemangku kepentingan harus terjalin hubungan yang sesuai dengan asas kewajaran dan kesetaraan (fairness) berdasarkan ketentuan yang berlaku bagi masing-masing pihak. Agar hubungan antara Perseroan dengan pemangku kepentingan berjalan dengan baik, perlu diperhatikan prinsip-prinsip sebagai berikut:
1. Perseroan menjamin tidak terjadinya diskriminasi berdasarkan suku, agama, ras, golongan, dan gender serta terciptanya perlakuan yang adil dan jujur dalam mendorong perkembangan karyawan sesuai dengan potensi, kemampuan, pengalaman dan keterampilan masing-masing.
2. Perseroan dan mitra bisnis harus bekerja sama untuk kepentingan kedua belah pihak atas dasar prinsip saling menguntungkan.
3. Perseroan harus memperhatikan kepentingan umum, terutama masyarakat sekitar Perseroan, serta pengguna produk dan jasa Perseroan.
Pedoman Pokok Pelaksanaan A. Karyawan
1. Perseroan harus menggunakan kemampuan bekerja dan kriteria yang terkait dengan sifat pekerjaan secara taat asas dalam mengambil keputusan mengenai penerimaan karyawan.
Basic Principles
Stakeholders-aside from the shareholders-are those having an interest in a company and are directly afected by the strategic and operational decisions of the company, including employees, business partners, and communities particularly in which the company operates.
There should be a fair and equal relationship between the company and its stakeholders based on mutual agreements applicable to each respective party. For a sound relationship between the company and its stakeholders, the following principles shall be observed:
1. The Company shall ensure that there shall be no discrimination of ethnic, religion, race, group, and gender exists and that a fair and honest treatment in encouraging career development of employees in accordance with their respective competencies, capabilities, experience and skills is created;
2. The company and its business partners shall cooperate with each other in the interest of both parties based on mutual beneit;
3. The company shall consider the public interest, particularly the communities in which the company operates, and the users of products and services of the company.
Main Guidelines for the Implementation
A. Employees
1. In making decision on recruitment, the Company shall consistently use the work capability and criteria related to the respective job/nature of the work.
2. Penetapan besarnya gaji, keikutsertaan dalam pelatihan, penetapan jenjang karir dan penentuan persyaratan kerja lainnya harus dilakukan secara obyektif, tanpa membedakan suku, agama, ras, golongan, gender, dan kondisi isik seseorang, atau keadaan khusus lainnya yang dilindungi oleh peraturan perundang-undangan.
3. Perseroan harus memiliki peraturan tertulis yang mengatur dengan jelas pola rekrutmen serta hak dan kewajiban karyawan.
4. Perseroan harus menjamin terciptanya lingkungan kerja yang kondusif, termasuk kesehatan dan keselamatan kerja agar setiap karyawan dapat bekerja secara kreatif dan produktif.
5. Perseroan harus memastikan tersedianya informasi yang perlu diketahui oleh karyawan melalui sistem komunikasi yang berjalan baik dan tepat waktu.
6. Perseroan harus memastikan agar karyawan tidak menggunakan nama, fasilitas, atau hubungan baik Perseroan dengan pihak eksternal untuk kepentingan pribadi. Untuk itu Perseroan harus mempunyai sistem yang dapat menjaga agar setiap karyawan menjunjung tinggi standar etika dan nilai-nilai Perseroan serta mematuhi kebijakan, peraturan dan prosedur internal yang berlaku.
7. Karyawan serta serikat pekerja yang ada di Perseroan berhak untuk menyampaikan pendapat dan usul mengenai lingkungan kerja dan kesejahteraan karyawan.
8. Karyawan berhak melaporkan pelanggaran atas etika bisnis dan pedoman perilaku, serta peraturan perundang-undangan yang terkait dengan Perseroan.
2. Determination of salary, participation in training, career path and other work requirements shall be made objectively, without discriminating any ethnic, religion, race, gender, and physical condition, or any other circumstances protected by laws and regulations;
3. The Company shall have written rules and regulations which clearly regulates the re-cruitment system and the rights and obligations of the employees; 4. The Company shall create conducive
working environment, including health and work safety sp that employees can work creatively and productively.
5. The Company shall ensure the availability of information required by employees to allow them to perform their work through a proper and timely communication system;
6. The Company shall ensure that its employees shall not use the company’s name, facility or business relationship with any external parties for their personal interest. For such purpose, the company shall establish and maintain a system that can ensure that each employee upholds a high standard of ethics and company values and adheres to the applicable policies, regulations and internal procedures;
7. Employees and labor union within the company are entitled to express their opinions and recommendations regarding working environment and employees’ welfare;
8. Employees have the right to report on any breach of the business ethics and code of conduct as well as any violation against laws and regulations that occurred within the company.
B. Mitra Bisnis
1. Mitra Bisnis adalah pemasok, distributor, kreditur, debitur, dan pihak lainnya yang melakukan transaksi usaha dengan Perseroan.
2. Perseroan harus memiliki peraturan yang dapat menjamin dilaksanakannya hak dan kewajiban mitra bisnis sesuai dengan perjanjian dan peraturan perundang-undangan.
3. Mitra bisnis berhak memperoleh informasi yang relevan sesuai hubungan bisnis dengan Perseroan sehingga masing-masing pihak dapat membuat keputusan atas dasar pertimbangan yang adil dan wajar.
4. Kecuali dipersyaratkan lain oleh peraturan perundang-undangan, Perseroan dan mitra bisnis berkewajiban untuk merahasiakan informasi dan melindungi kepentingan masing-masing pihak.
C. Masyarakat serta Pengguna Produk dan Jasa
1. Perseroan harus memiliki peraturan yang dapat menjamin terjaganya keselarasan hubungan antara Perseroan dengan masyarakat sekitar, termasuk penerapan program kemitraan dan bina lingkungan.
2. Perseroan bertanggungjawab atas kualitas produk dan jasa yang dihasilkan serta dampak negatif terhadap dan keselamatan pengguna.
3. Perseroan bertanggungjawab atas dampak negatif yang ditimbulkan oleh kegiatan usaha Perseroan terhadap masyarakat dan lingkungan dimana Perseroan beroperasi. Oleh karena itu, Perseroan harus menyampaikan informasi kepada masyarakat yang dapat terkena dampak kegiatan Perseroan.
B. Business Partners
1. Business Partners are suppliers, distributors, creditors, debitors and other partied having business transaction with the company.
2. The Company shall establish rules and regulations that can ensure that every business partner exercises its rights and obligations in accordance with the agreements as well as rules and regulations;
3. Business partners are entitled to obtain any information that are relevant to their business relationship with the company so that each party can make decisions based on fair and proper consideration;
4. Unless otherwise required by law, the company and its business partners are obliged to keep conidential information and protect the interests of each respective party.
C. Community and User of Products and Services
1. The Company shall establish rules and regulations that can ensure the preservation of harmonious relationship between the company and communities, including the implementation of partnership and community development programs. 2. The Company shall be responsible for
the quality of products and services produced and the negative impact on the safety of users;
3. The Company shall be responsible for the negative impact that may result from its business activities on the communities and environment in which the company op-erates. Thus, the company shall convey any information to the communities that could be afected by such company’s activities.
