Registrar" means the Registrar of Co-operative Societies and other Companies appointed under this Act and includes any person for the time being performing the duties of Registrar. On registering an association as a company, that company shall send to the Registrar a certified copy of its certificate of incorporation issued under the Companies (Queensland) Code.

Amendment of the rules in this Act includes the addition and repeal of a rule.

In accordance with this law and the rules of the association, the affairs and operations of the association are supervised by the board of directors. By electing the first directors at the association's founding meeting. Meetings of the board of directors shall be as often as necessary for the proper operation and business of the association, but at least once every two calendar months, and the quorum of the meeting of the board of directors shall be prescribed by the rules of the association, but in no case shall it be less than half the number of directors.

Every person who knowingly and willingly is a member of an association after his office as director has been vacated, and every director of an association who knowingly permits or permits any person to exercise the powers of a director, is liable under this Act guilty of a fine of not more than twod dollars, and in addition to a fine of not more than ten for each day the offense is continued.

46 s.88 COOPERATIVES AND OTHER SOCIETIES. communications in relation to any meeting of shareholders which every member of the company has the right to receive and to be heard at any meeting of shareholders which he attends in respect of any part of the meeting which concerns him as auditor.

PART IX-ADVISORY COUNCIL

1) (a) The Secretary may inquire or appoint-. i) an appointed inspector or an ex officio inspector under (ii) any other person who is an inspector. to make an inquiry into the affairs of any society. the decisions of the Public Service Act 6922-1973 are not a person appointed as an inspector under this subsection who is not an officer of the Queensland Public Service. The register of directors, members and shares of a company shall be prima facie evidence of the particulars which this Act directs or permits to be entered therein, and a copy of any entry in such register shall, if certified by the secretary, be a true copy of the said entry shall be prima facie proof of the data to which the entry relates. If any person willfully makes, orders or permits any entry or deletion in any balance sheet or account of the society or any book, register, return or document to be kept, filed, sent or omitted therefrom, delivered or produced for any purpose.

This subsection applies not to limit or affect the liability of a corporation or any other corporation to be prosecuted and punished for a violation of this Act committed by it.
