TENT ANG
KERJA SAMA DALAM BIDANG PENGEMBANGAN SEKTOR INDUSTRI
Kementerian Perindustrian Republik Indonesia dan Kementerian Perindustrian dan Pertambangan Republik Demokratik Rakyat Aljazair, untuk selanjutnya masing-masing disebut sebagai "Pihak", dan secara bersama-sama disebut sebagai "Para Pihak";
BERKEINGINAN untuk meningkatkan kepentingan bersama melalui kerja sama dalam percepatan pembangunan sektor industri atas dasar kesetaraan dan keuntungan bersama;
BERKEINGINAN untuk berkontribusi pada pengembangan dan perbedaan hubungan ekonomi bersama secara adil, berkelanjutan dan saling menguntungkan;
MENYADARI bahwa sektor industri merupakan bagian integral dari pembangunan ekonomi Para Pihak;
MENIMBANG kepentingan bersama Para Pihak dalam mengembangkan sektor industri;
MENIMBANG kesempatan-kesempatan yang ditawarkan oleh perekonomian kedua negara untuk para pelaku ekonomi;
MENGAKUI bahwa kerja sama tersebut mendorong perekonomian, investasi pada sektor industri, kerja sama industri yang saling menguntungkan dan mendukung persahabatan antara negara Para Pihak;

hukum dan peraturan perundang-undangan yang berlaku di negara Para Pihak;MENIMBANG kepentingan bersama untuk membentuk mekanisme kelembagaan yang bertujuan untuk mendorong kerja sama industri antara kedua negara;
TELAH MENCAPAI kesepakatan sebagai berikut:
PASAL PERTAMA TUJUAN KERJA SAMA
Tujuan dari Memorandum Saling Pengertian tentang Kerja Sama Dalam Bidang Pengembangan Sektor lndustri (selanjutnya disebut sebagai "Memorandum") ini adalah percepatan pengembangan sektor industri atas dasar kesetaraan dan keuntungan bersama.
PASAL2
BENTUK-BENTUK KERJA SAMA
Bentuk-bentuk kerja sama yang disediakan dalam Memorandum ini bertujuan untuk: 1. Pembinaan kemitraan antar pemerintah-swasta dan kerja sama sektor swasta,
yang mengarah pada penawaran industri dan atau investasi kerja sama yang melibatkan dunia usaha Indonesia dan Aljazair;
2. Penguatan dan pengembangan infrastruktur industri yang berkualitas;
3. Program dan proyek gabungan atau bekerja sama atas dasar saling menguntungkan, termasuk kunjungan dan pertukaran materi, penelitian dan pengembangan, pertukaran tenaga ahli, teknologi, atau personil teknis;

4. Konsultasi saling menguntungkan untuk meningkatkan kerja sama dalam organisasi t internasional dan regional terkait pengembangan industri dan teknologi
sehubungan dengan perkembangan pasar;
5. Penyelenggaraan dan berpartisipasi dalam konferensi, simposium, kursus, lokakarya, pameran dan pertemuan bersama lainnya dalam kepentingan bersama; 6. Pertukaran keahlian teknis, praktik terbaik, dan informasi lain yang dapat '
mempercepat pembangunan infrastruktur dan investasi;

'7. Pelaksanaan program pelatihan/pendidikan untuk meningkatkan kompetensi dalam percepatan pembangunan industri dan teknologi serta investasi; dan
8. Bentuk lain dari kerja sama sebagaimana ditentukan oleh Para Pihak.
PASAL3
RUANG LINGKUP KERJA SAMA
Lingkup kerja sama Memorandum ini meliputi namun tidak terbatas pada program-program dan proyek-proyek di sektor berikut:
1. lndustri Tekstil; 2. Bahan Bangunan; 3. lndustri Furnitur;
4. lndustri Bagian dan Komponen;
5. lndustri Alat Transportasi dan Perlengkapan; 6. lndustri Petrokimia dan Pupuk;
7. lndustri Farmasi dan Kosmetik; 8. lndustri Berbasis Logam;
9. lndustri Berbasis Bahan Non Logam; 10. lndustrl Berbasis Agro;
11. lndustri Mesin Pertanian; 12. lndustri Peralatan Energi; 13. lndustri Strategis;
14. Sektor lain yang disepakati Para Pihak.
PASAL4
PENGATURAN TEKNIS
Sesuai dengan hukum dan peraturan di kedua negara yang bersangkutan, kegiatan kerja sama sebagaimana tercantum dalam Memorandum ini harus dluraikan melalui pengaturan teknis secara terperinci yang terdiri atas pengaturan rencana kerja, kebutuhan staf, laporan kerja, jangka waktu program/proyek, estimasi biaya, skema pendanaan, kekayaan intelektual dan ketentuan lain yang diperlukan dari kegiatan kerja sama dimaksud.

PASALSBIAVA DAN PENGELUARAN
Sesuai dengan hukum dan peraturan dari kedua negara:
1. Para Pihak berkeinginan agar, kecuali diputuskan lain secara bersama, para pemangku kepentingan yang terkait (sektor publik dan/atau sektor swasta yang berminat untuk melaksanakan program infrastruktur atau proyek) diharapkan menanggung biaya dan pengeluaran yang timbul dari pelaksanaan pekerjaannya. 2. Semua aktivitas kerja sama di bawah Memorandum ini tergantung pada kesediaan
dana dan personil. Para Pihak berkeinginan agar ada pengaturan secara terpisah mengenai rincian pembiayaan sebelum dimulainya kegiatan.
PASAL 6
KONSULTASI DAN PERENCANAAN
Sesuai dengan hukum dan peraturan dari kedua negara:
1. Para Pihak mengakui pentingnya proses rutin konsultasi dan perencanaan bersama
dalam percepatan pengembangan sektor industri. Para Pihak akan
mempertimbangkan, jika dapat diterapkan, kemungkinan untuk mengerahkan sumber daya yang tepat dalam konsultasi dan perencanaan program dan proyek. 2. Konsultasl meliputi diskusi rutin dengan dan antara pemangku kepentingan dari
pemerintah dan swasta mengenai isu-isu terkait infrastruktur industri dan iklim

investasi di kedua negara Para Pihak, dalam rangka mengizinkan percepatan pengembangan infrastruktur dan investasi sektor industri.
3. Perencanaan meliputi percepatan identifikasi peluang proyek, studi kelayakan, desain dasar, standar kualitas, jadwal pelaksanaan, pengaturan pendanaan, dan unsur-unsur lain yang diperlukan untuk memastikan kelancaran pelaksanaan proyek atau program.
4. Pertemuan konsultasi dan perencanaan dijadwalkan secara teratur dan harus dilakukan sesuai dengan tahapan perkembangan program dan proyek yang berlangsung.
PASAL 7
PERLINDUNGAN TERHADAP HAK ATAS KEKAYAAN INTELEKTUAL
Sesuai dengan hukum dan peraturan kedua negara, para Pihak setuju bahwa kekayaan
intelektual yang timbul dari pelaksanaan Memorandum ini akan dimiliki bersama dan
pemanfaatannya harus tunduk pada pengaturan yang dibuat secara terpisah antara
Para Pihak.
PASAL 8 KERAHASIAAN
1. Para Pihak berkewajiban untuk memperlakukan semua dokumen, informasi atau
pertukaran data lain, yang diterima atau dlberikan oleh Para Pihak untuk
melaksanakan Memorandum ini atau perjanjian lain yang dibuat sesuai dengan
Memorandum ini sebagai informasi rahasia, kecuali ada perjanjian lain secara
tertulis oleh Para Pihak.
2. Para Pihak menyetujui ketentuan Pasal ini akan terus mengikat Para Pihak
meskipun Memorandum ini berakhir.
3. Ketentuan-ketentuan Pasal ini tidak akan mengurangi hukum dan ketentuan yang
berlaku.
PASAL9
KEWAJIBAN PERSONIL
Setiap warga negara dari salah satu Pihak dalam kegiatan di bawah Memorandum ini
yang berada di wilayah negara Pihak lain, harus menghormati dan tidak turut campur
dalam kemerdekaan politik, kedaulatan dar. integritas negara Pihak lain, dan
menghindari kegiatan yang tidak selaras dengan maksud dan tujuan dari Memorandum ini.
PASAL 10
MEKANISME PEMANTAUAN
Dalam pelaksanaan dan pemantauan MoU ini, nantinya akan dibentuk sebuah
kelompok kerja bilateral. Keanggotaan dan misi-misi terakhir akan diselesaikan dalam kesepakatan bersama melalui pertukaran surat antara Para Pihak.
PASAL 11
PENYELESAIAN PERSELISIHAN
Setiap masalah yang timbul dari penafsiran atau implementasi dari Memorandum ini harus diselesaikan melalui konsultasi secara damai antara Para Pihak.
PASAL 12 AMAN DEM EN
Memorandum ini dapat diperbaharui atau diamandemen setiap waktu secara bersama
melalui kesepakatan saling menguntungkan Para Pihak secara tertulis dalam bentuk
nota yang akan dikomunikasikan melalui saluran diplomatik. Perubahan atau
amandemen tersebut akan menjadi bagian yang terintegrasi dari MoU ini.
PASAL 13
PEMBERLAKUAN, JANGKA WAKTU DAN PENGAKHIRAN
1. Memorandum ini akan berlaku sejak tanggal penandatanganan.
2. Memorandum ini akan berlaku selama jangka waktu 5 (lima) tahun dan dapat
diperpanjang berdasarkan kesepakatan bersama Para Pihak.
3. Salah satu Pihak dapat mengakhiri Memorandum ini kapan saja dengan
memberitahukan secara tertulis kepada Pihak lain terhitung 90 (sembilan puluh)
hari sebelum tanggal berakhirnya masa berlaku tersebut.
4. Pengakhiran Memorandum ini tidak mempengaruhi keabsahan dan durasi setiap program atau proyek yang sedang berlangsung di bawah Memorandum ini hingga selesainya program atau proyek tersebut.
SEBAGAI BUKTI, yang bertanda tangan di bawah ini, telah diberi kuasa oleh Pemerintah masing-masing, untuk menandatangani Memorandum ini.
DITANDATANGANI di Jakarta, Indonesia dalam dua naskah asli pada tanggal tiga Agustus 2016 dalam bahasa Indonesia, bahasa Arab, dan bahasa lnggris, semua
naskah
memiliki keabsahan yang sama.Dalam hal terjadi perbedaan penafsiran, maka naskah dalam bahasa lnggris yang
berlaku.

MEMORANDUM OF UNDERSTANDING BETWEEN
THE MINISTRY OF INDUSTRY OF THE REPUBLIC OF INDONESIA AND
THE MINISTRY OF INDUSTRY AND MINING
OF THE PEOPLE'S DEMOCRATIC REPUBLIC OF ALGERIA CONCERNING
COOPERATION IN DEVELOPMENT OF INDUSTRIAL SECTORS
The Ministry of Industry of the Republic of Indonesia and The Ministry of Industry and
Mining of the People's Democratic Republic of Algeria, hereinafter individually referred
to as "the Party", and collectively referred to as "the Parties";
DESIRING to promote their mutual interests through cooperation in the acceieration
for the development of industrial sectors on the basis of equality and mutual benefit;
DESIRING to contribute to the development and diversification of their economic
relations on balanced and sustainable basis and mutual benefit;
REALIZING that industrial sectors are an integral part of economic development of the
Parties;
CONSIDERING the opportunities offered by the economics of both countries to the
economic operators;
CONSIDERING the common interest of the Parties in developing industrial sectors;
RECOGNIZING that such cooperation promotes economic, investment on industrial
sectors, industrial cooperation, and supports the friendly relationships between the
respective countries of the Parties;
PURSUANT TO the prevailing laws and regulations of the respective countries of the

CONSIDERING the mutual interest to establish an institutional mechanism to
encourage industrial cooperation between the two countries.
HAVE AGREED the following:
FIRST ARTICLE
OBJECTIVE OF COOPERATION
I
The objective of this Memorandum of Understanding concerning Cooperation in r.
Development of Industrial Sectors (hereinafter referred to as "MoU") is to accelerate "
the development of industrial sectors on the basis of equality and mutual benefit.
ARTICLE 2
FORMS OF COOPERATION
The forms of cooperation provided for under this MoU aim in particular:
1. Fostering public-private partnership and private sector cooperation, leading to
industrial and or investment partnerships involving Indonesian and Algerian
business entities;
2. Strengthening and developing industrial quality infrastructure;
3. Joint or cooperation programs and projects on the basis of mutual benefit,
including visits and exchange of subject matter, research and development,
exchange of experts, technology or technical personnel;
4. Mutual consultation to enhance cooperation in international and regional
organizations related to industrial and technology development in relation to the
market development;
5. Organizing and participating in conferences, symposiums, courses, workshops,
exhibition and other meetings of mutual interest;
6. Exchange of technical expertise, best practices, and other information that could
accelerate industrial infrastructure development and investment;
7. Conducting training/education programs to increase competency in the
acceleration of industrial and technological development and of investment; and 8. Other forms of cooperation as determined by the Parties.

-ARTICLE 3
SCOPE OF COOPERATION
The scope of cooperation of this Mou may include but not limited to programs and
projects in the following sectors:
1. Textile industry;
2. Building materials;
3. Furniture industry;
4. Parts and component industry;
5. Transportation and equipment industry;
6. Petrochemical and fertilizer industry;
7. Pharmaceutical and cosmetic industry;
8. Metallic-based industry;
9. Non-metallic based industry;
10. Agro-based industry;
11. Agriculture machinery;
12. Energy equipment;
13. Strategic industry;
14. Other sectors as agreed by the Parties.
ARTICLE 4
TECHNICAL ARRANGEMENT
In conformity with the laws and regulations in both countries, cooperation activities
under this MoU shall be carried out through specific technical arrangements which
shall consist of provisions on work plan, staffing, statement of work, duration of
projects/programs, cost estimation, funding scheme, intellectual property and other
necessary terms of cooperation activities.

ARTICLE 5
COST AND EXPENSES
In conformity with the laws and regulations in both countries:
1. The Parties intend that, unless otherwise mutually decided, the appropriate
stakeholders (public sector and/or private sector interested in implementing an infrastructure program or project) are expected to bear the cost and expenses
arising from the implementation of their own work.
2. All cooperation activities under this Mou are subject to the availability of funds and
personnel of respective party. The Parties intend to reach separate arrangements
on financing details before commencement of activities.
ARTICLE 6
CONSULTATION AND PLANNING
In conformity with the laws and regulations in both countries:
1. The Parties recognize the importance of regular joint consultative and planning
processes in the acceleration of the development of industrial sectors. The Parties will consider, where applicable, the possibility of devoting the appropriate resources in the consultation and planning of programs and projects.
2. Consultations include regular discussions with and between public and private '

stakeholders regarding industrial infrastructure and investment climate related 1
issues in the Parties' respective countries, in order to enable the acceleration of
industrial infrastructure development and investment.
3. Planning includes the fast-track identification of project opportunities, feasibility
studies, basic designs, quality standards, implementation schedules, financial
arrangements, and any other elements necessary to ensure a smooth project or
program implementation.
4. Regularly scheduled consultation and planning meetings should take place on the
pace of programs and projects underway.

ARTICLE 7
PROTECTION OF INTELLECTUAL PROPERTY RIGHTS
In conformity with the laws and regulations in both countries, the Parties agree that
any intellectual property arising from the implementation of this MoU will be jointly
owned and its utilization shall be subject to a separate arrangement between the Parties.
ARTICLE 8
CONFIDENTIALITY
1. The Parties shall treat all documents, information or any other data exchanged,
received or supplied by the Parties for the implementation of this MoU or any
other agreements made pursuant to this Agreement as confidential, unless agreed
otherwise in writing by the Parties.
2. The Parties agreed that the provision of this Article shall continue to be binding between the Parties notwithstanding the termination of this MoU.
3. The provisions of this Article shall not prejudice the prevailing laws and regulations.
ARTICLE 9
PERSONNEL OBLIGATIONS
Any nationals of a Party engaged in activities under this MoU in the territory of other
Party shall respect and not interfere with the political independence, sovereignty, and
territorial integrity of the latter, and avoid any activities inconsistent with the purpose and objectives of this MoU.
ARTICLE 10
MONITORING MECHANISM
l'i For the implementation and monitoring of this MoU, a bilateral working group will be set up. The membership and missions of the latter will be settled with a common
agreement through exchanging mails between the Parties.

ii !I I Ii I I; Ii ARTICLE 11 SETILEMENT OF DISPUTES
Any issues arising from the interpretation or implementation of this MoU are intended
to be settled through consultations amicably between the Parties.
ARTICLE 12 AMENDMENT
This MoU may be revised or amended at any time by mutual consensus of the Parties in writing by exchange of notes which shall be communicated through diplomatic
channel. Such revision or amendment shall be an integrated part of this Mou.
ARTICLE 13
ENTRY INTO FORCE, DURATION AND TERMINATION
1. This MoU shall enter into effect upon signing.
2. This MoU shall remain in force for a period of 5 (five) years and may be further
extended by mutual decision of the Parties.
3. Either Party may terminate this MoU at any time. In such event, a terminating
Party should provide notification to the other Party 90 (ninety) days prior to the
intended date of termination.
4. Termination of this MoU shall not affect the validity and duration of any ongoing
programs or projects undertaken under this MoU until the completion of such

IN WITNESS THEREOF, the undersigned, being duly authorized thereof by their
respective Governments, have signed this MoU.
SIGNED in Jakarta, Indonesia in two original copies on the third of August 2016 in
Indonesian, Arabic, and English languages, all texts are being equally authentic.
In case of any discrepancy of interpretations, the English text shall prevail.
