with loans required for the implementation of their .development projects and programs;
(C) WHEREAS the Fund is convinced of the セューッイZ。ョ」・@ of the Project and its beneficial effects on the economic development of the friendly people

ARTICLE I
General Conditions; Definitions
Section 1.01. The parties to this Agreement accept all
the provisions of the General Conditions Applicable to Loan
Agreements of the Fund issued by Resolution of the Board of
dゥイ・」セッイウ@ of the Fund No. 11/14 dated Rajab 29, 1396 A. H.,
corresponding to July 26, 1976 A. D., with the same force and
effect·as if they were fully set forth herein (said General
Conditions Applicable to Loan Agreements of the Fund· being
he.reinafte·r called the General Conditions) • .
Section 1.02. Wherever used in this Agreement, unless
the context otherwise requfres, the several tenns defined in
the General Conditions and in the Preamble to this Agre·ement
have the respective meanings therein set forth and ·the
follow-ing additional terms have the followfollow-ing meanfollow-ings
1) "Directorate General of Estates" means the Directorate
General of Estates of the Borrower•s Ministry of
Agri cu 1 ture;

6) "Settler .. means a smallholder and his family sett·led
or previously settled in a settlement area and
parti-cipating under the. Project, as the context may .require;
7) "Smallholder Credit Agreements .. means the respective
agreements to be ・ョエ・イ・セ@ into between the Bank and the
Settlers pursuant to Section 3.04 (a) of this Agreement;
8) "Smallholder Development Agreement" means the agreement I
to be entered into between the Directorate General of Estates, the Bank and the Corporation pursuant to

entered into between the Borrower and the Bank pursuant

10) "Hak MiHk11 means the right .of ownership in respect of·
land, as provided under the Basic Agrarian Law No. 5
of 1960 of the Borrower;
11) "Credit sクー・ョ、 N ゥエオセウB@ means that part of expenditures
incurred for ·Part A of the Project and which セイ・@ intended
to be recovered from Settlers
as
provided in theSmall-holder Credit Agreements referred to in Sec:ion 3.04 (a),
including inter alia expenditures for initial land .
」ャ・。イゥョセ@ of oil palm and food crop areas(including related overnead costs), Settler housing, field roads and cash
payments to new settlers.
12) "Non-Credit Expendituresu means that part· of expenditures
for Part A of the Project which are ョッセ@ ゥョエセイゥ、・、@ to be

recovered from Settlers, including inter alia expenditures . . .
-for community facilities, vi11age infrastructure, provincial
roads, water· supply and sanitation, a.nd .management fee
pay-able to the Corporation;

ARTICLE II
T-he· Loan
Section
l.Ol.
The Fund agrees to lend the Borrower, onthe terms and conditions in the Loan Agreement set forth or
referred to an amount of Ninety one million three hundred
thousand (91,300,000) Saudi rゥケ。ャセN@
Section 2.02. The amount of the Loan may be withdrawn
from the Loan Account in accordance with the provisions of
Schedule (1) to this Agreement. as such Schedule may be amended
from time to time by Agreemertt between the Fund and the
Borrower, and fn accordance wfth the Procedures for Withdrawal
of the Proceeds of.the Saudi Fund for Development Loans, for
expenditures made (or, if the Fund shall so agree, to be made)
in respect of the reasonable cost of goods and services required
for the Project and to be financed out of the proceeds of the
Loan.
Section 2.03. ihe sッセセッキ・イ@ shall apply the proceeds of the
toan exclusively to financing the reasonable cost of the goods
and services required for the carrying out of the Project.
Pro-curement of ·such aoods and services sha 11 be in accordance with ., . . .
the Fund's Guidelines for the Borrower on Procurement of Goods
and Services and Technical r・ーッイセゥョァ@ Requirements. The Bortower
financed out of the proceeds of the Loan and before effecting any modification thereto in the future.
Section 2.04. The Closing Date shall be September 30, !992 or such later date as the Fund sha1l establish. The Fund shall promptly notify the Borrower of such ャ。セイ@ date.·
Section 2.05. The Borrower shall pay a loan 」ィ。イァセ@
at the rate of three per cent

(1) relend the portion of the proceeds of the Loan 。ャャッ」。セ・、@ for the Project pursuant to the provisions set forth in
Schedule (1) セッ@ this Agreement, to the Corporation under a
Subsidiary Loan Agreement to be entered into between the
Borrower 。ョセ@ the Corporation, under terms and 」ッョ、ゥセゥッョウ@
acceptable to セィ・@ Fund. The Subsidiary Loan Agreement shall
provicie for the execu:ion by the cッイーッイ。セゥッョ@ .of an the
obligations and conditions which the Borrower undertakes by
virtue of the provisions of this セァイ・・ュ・ョエ@ to cause セョ・@
Corporation to comply with; and (2) make available to the
Corporation such additional セオョ、ウ@ as shall be required by
the Corporation to carry out Part (B) of· the Project under
tne Subsidiary Loan Agreement.

Subsidiary Loan Agreement in such manner as to protect the

(e) The Borrower shall exercise its rights unaer the
Financing Arrangement and the Smallholder Development Agreement
in such a manner as to protect the ゥセエ・イ・ウエウ@ of the Borrower
and the Fund and to accomplish エィセ@ purposes of the Loan. No
Smailhoider Development Agreement shall be assigned, amended,
abroga:ed or waived witnout the prior .concurrence. of the Fund.

of Estates. The Directorate General of Estates will be assisted by, among others, the Team Khusus.
The Directorate General of Estates . will be responsible inter alia for :
1) The approval of Project and village master planning and work programs as prepared by _the Corporation; 2) Overall guidance to the Project Manager (appointed
pursuant·to Paragraph 1 Secondly of this Schedule) and the -Provincial Coordinating Committee (established pursuant to p。イ。ァイセーィ@ 1 Thirdly of this -Schedule) for Project implementation;
3) obtaining the Borrower's approval of .Project budgets and coordinating Project financing arrangements; 4) advising on セイッェ・」エ@ ーイッセオイ・ュ・ョエ[@ and

The Project Manager will be responsible to the Directorate General of Estates. For this purpose, the Project Manager
vlill be assisted by a Site Manager and v1il1 be responsible,

a} preparation of · village master plans including siting of villages, houses and water supply; b) preparation of annual budgets and work programs
for all functions under Part A of the Project; c) c·oordination cf the implementati'on of that
part of the Project carried out by the Provincial Government agencies, 1n ー。イエゥセオャ。イL@

d) administration and supervision .of recruited prospective Settlers, land transfers, and allocation of houses, food -crop and tree crop areas;

f) monitoring and reporting on ?reject progress to the Directorate General of Estates, the Provincial Government, and the Fund;
g) coordination of the implementation of the food crop areas development with personnel seconded
