AGREEMENT BETWEEN
THE SECRETARY GENERAL OF MINISTRY OF INDUSTRY OF THE REPUBLIC OF INDONESIA
AND
THE HENAN PROVINCIAL PEOPLE'S GOVERNMENT OF THE PEOPLE'S REPUBLIC OF CHINA
ON
INDUSTRIAL AND TECHNOLOGY COOPERATION
The Secretary General of Ministry of Industry of the Republic of Indonesia and the Henan Provincial People's Government of the People's Republic of China hereinafter individually referred to as "Party" and collectively referred to as the "Parties".
CONSIDERING the mutual interest of the Parties;
DESIRING to enhance Industrial and technology cooperation between the two countries;
INTENDING to encourage and support partnership of both countries;
REFERRING to the Agreement between the Government of the Republic of Indonesia and the Government of the People's Republic of China on Scientific and Technological Cooperation, signed in Jakarta on 18 November, 1994;
TAKING INTO ACCOUNT the Joint Declaration between the Republic of Indonesia and the People's Republic of China on Strategic Partnership signed in Jakarta on April 25, 2005;
PURSUANT to the prevailing laws and regulations in their respective countries; HAVE REACHED an understanding as follows:
Article 1 Objective
The objective of this Agreement is to promote industrial and technology cooperation and partnership in the fields of manufacturing equipments, management, and research and development in the industry the iron and steel makings as well as metallurgy are first step to be implemented between the Parties.
Article2 Scope of Cooperation

Article 3
Pattern of Communication
1. Establish economic cooperation meeting system to exchange information and enhance cooperation of both parties.
2. The meeting is held once a year alternately between the two sides. The host should facilitate the representatives and enterprises that attend the meeting.
Article 4 Executing Agency
The organization responsible for the execution of this Agreement for the Republic of Indonesia shall be the Secretary General of the Ministry of Industry of the Republic of Indonesia, and for the People's Republic of China shall be the Henao Provincial People's Government.
Article 5
Technical Arrangements
The cooperation under this Agreement shall be carried out through special arrangements to be concluded by the Parties and shall be subjected to availability of funding and personnel of the Parties. Such arrangement shall from and integral part of this Agreement.
Article6
Protection of Intellectual Property Rights
The Parties agree that any intellectual property arising under the implementation of this Agreement will be jointly owned and:
1. In accordance with the legislation of their states the Parties shall provide efficient protection of intellectual property rights
Article 7 Settlement of Disputes
Any dispute arising out of the interpretation and/or implementation of this Agreement shall be settled amicably through negotiations or consultations between the Parties.
Article 8 Amendment
This Agreement may be amended at any time in writing by the mutual consent of the Parties. Such amendment shall form an integral part of this Arrangement.
Article 9
Entry Into Force, Duration and Termination 1. This Agreement shall enter into force on the date of its signing.
2. This Agreement shall remain in force for a period of 5 (five) years and will be automatically extended unless either party proposes to terminate by giving written notification at lease 6 (six) months prior to the date of the intended termination.
3. The termination of this Agreement will not affect the validity and duration of any on-going Project or activities until the completion of such project or activities.
IN WITNESS WHEREOF, the undersigned have signed this Agreement, being duly authorized thereto by their respective Governments, have signed this Agreement.
DONE in duplicate at Jakarta, Indonesia on 24th of August 2009, in the Chinese, English and Indonesian languages, all texts being equally authentic. In case of any divergence on the interpretation of this Agreement, the English text shall prevail.
