A meeting of the Board of Directors of Kiwanis International was held at the Hilton Hotel in Vienna, Austria, June 30-1. July 1983. It was suggested that the staff put together a full explanation of the staff benefits, both those for the rank and file and those for the upper level. Approval of the operating budget for 1983-84 as submitted by the staff and adjusted by the board's comments.
A post-convention meeting of the Kiwanis International Board of Directors was held at the Hilton Hotel in Vienna, Austria on July 7, 1983. President Roberts reported that the KI-E Board approved the Joint Committee's proposal with modifications. Past Presidents Tucker, Solberg, Gladman and Weber gave brief remarks. Then the previous presidents withdrew from the board meeting.
The second most important point facing us is the completion_and passage of the 198~-84 budget. Each board member had the opportunity to review the proposed budget and provide comments on Chairman Ray Lansford's proposed changes.

Duties of Officers
The President shall preside at all conventions and at all meetings of the Board of Trustees, the Executive Committee and the International Council of Kiwanis International. President: Elect1 The duties of the President-Elect shall be such as may be determined from time to time by the Board of Directors. The duties of the Immediate Past President, except as otherwise provided in the Constitution and bylaws, shall be such as may be determined from time to time by the Board of Directors.
Subject to the provisions of Article XII, Section 6, of this bylaw, and in the event of the inability of the President to perform his duties, the Board of Directors by two-thirds (2/3) of the votes of the entire Board of Directors trustees will choose one of the vice-presidents to carry out the duties and have the same authority as the President. Under the direction and supervision of the Kiwanis International Board of Trustees, each District Governor shall be charged with promoting the facilities of Kiwanis International and promoting the interests of the chartered clubs within his district. The Secretary shall be the active executive officer of Kiwanis International under the supervision and direction of the President and Board of Trustees, He shall assist the President and Board of Trustees in the conduct of the business of Kiwanis International.
He shall attend all meetings of the Board of Directors, the Executive Committee, and the International Council, and all conventions of Kiwanis International, and shall act as the secretary thereof, but shall have no vote. His records and books shall at all times be open to inspection by the President, the Board, and any auditor appointed by the Board. He must provide security for the faithful dis•. He shall be in charge of the headquarters of Kiwanis International and its several branches, and shall be responsible for the selection and supervision of the staff and workers, subject to the direction and control of the Board of Directors.
He shall serve as editor of the official publication of Kiwanis International with duties as defined in ArHcle XVI of these bylaws. His accounts and books shall at all times be open to inspection by the President, the Board and any auditors appointed by the Board. They may have been sent only to the people alluded to and referenced in the revisions, so not everyone may have received a copy of the mailing.
As many of you know, we will be projecting the image of each member of the Kiwanis family onto a 20-foot screen via a television monitor. I would like to commend the efforts of senior management in arranging our new home in Indianapolis. Terry Shaffer has successfully taken over many of the responsibilities of Fay McDonald and Percy Shue and fills a very important staff role.

REPORT OF THE GOVERNING COMMITTEE ON THE SERVICES OF THE MEMBERS TO THE MEETING OF THE INTERNATIONAL COUNCIL OF TRUSTEES. At the May board meeting, staff was asked to explore how to resolve the waiving of processing fees for members who were removed from a club and joined. another would be handled administratively. The staff recommended adding a card to the mailing to all members who cancel their Kiwanis membership, stating that if they join another club within six months of the date of removal, they should forward this card to the new club secretary; he would in turn attach the card to the new member addition form and the processing fee would be waived.
The Cornmittee recommends that the processing fee be waived for members who leave one club and join another within six months. The committee also encourages new governors to reappoint valid KIARs in their districts and take advantage of the assistance and recommendations of their field service representative. Reimbursement of KIAR expenses incurred in carrying out assigned duties to organize the new Kiwanis Club was also discussed.

REPORT OF THE SPECIAL ADMINISTRATIVE COMMITTEE ON PROVISIONAL DISTRICT CRITERIA FOR: MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES. Acts as convener and chairman of the pre-organizational meeting of the clubs and the organizational convention. In making these appointments, the president may consult with the presidents of the clubs involved.
NOTE: The Acting Chairman may create a committee which will propose to the pre-organizational meeting the number of departments and their boundaries, a proposed budget which dictates the amount of the provisional district fees. Reference is made to Articles III and XV of the Standard Form of Provisional District Bylaws, which contain limitations on these matters. It will take some time for the acting secretary to prepare the minutes of the pre-organizational meeting and the approved proposed bylaws referred to in.
Nominations for the position of first lieutenant governor of the division will be taken at this divisional conference. NOTE: Thereafter, the lieutenant governor for each division shall be elected as set forth in Article XII of the standard form for temporary district by-laws. The secretary of the organizational convention shall be the acting secretary previously appointed by the President of Kiwanis International.
Immediately following the organizational meeting there should be at least a short meeting of the new Board of Trustees of the Provisional District. The council is composed of the Governor, Governor-elect, Treasurer, Secretary (or combined Secretary-Treasurer), and the Lieutenant Governors elected by the respective divisions as prescribed in paragraph 3 c (c). Not later than thirty days after the organizational convention, the Secretary must send the minutes of the organizational convention to Kiwanis International.
Within thirty days of the organizational convention, the Governor shall appoint temporary county committees as prescribed in Article VII of the Standard Form for Temporary County Statutes. At subsequent annual district conventions, the election of district officers will be as prescribed in Article XII of the Standard Form for Provisional District Bylaws. REPORT OF THE ADMINISTRATIVE COMMITTEE FOR FINANCE AND ADMINISTRATION AT THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES.
The Committee reviewed a proposal on benefits for the Senior Management Group as requested at the previous Committee meeting. Effective August 1, 1983, Kiwanis will provide the Senior Management group with health insurance (including dependents), life insurance equal to their annual salary, and 24-hour travel accident insurance without any contribution by the employee. Effective October 1, 1983, Kiwanis will provide the Senior Management Group with a non-qualified pension supplement, based on expected length of service, as follows:.

After being brought to our attention by the Member Services Committee, we reviewed the desire to increase Kiwanis' reimbursement for mileage from $.19 to $.20. Adopted - President Roberts directed the Finance Committee to consider the problem of gasoline expenses outside North America and to bring in a recommendation for dealing with such expenses.).
The Committee recommends the purchase of single premium deferred annuities for six (6) individuals on August 1, 1983 at an approximate cost of. The committee discussed staff's request for approval to purchase capital assets of a camera system ($8,600) for magazine graphics and a collector ($18,400) for the mailroom. The Committee recommends approval for the purchase of a graphic arts camera system and a collector totaling approximately $27,000.
Acceptance of this budget by the Committee and subsequent approval of this budget by the Board of Trustees should not be construed as an automatic authorization for. Such review may result in monthly expenditure adjustments to ensure that at the end of the administrative year, expenditure will not exceed income. These monthly adjustments are the responsibility of the International Secretary and his executive staff with the approval of the Finance Committee.
No adjustments may be made to this budget that would result in an overall increase in the overall budget without the recommendation of the Finance Committee and the approval of the Executive Committee or the Board of Directors. The Committee recommends approval of the 1983-1984 operating budget as submitted by staff and modified by Council comments. A $5,000 grant for Benelux-France-Monaco to serve the clubs in French-speaking Africa was added to the budget.
