The board of trustees of a federation shall consist of the officers and other trustees as determined in the federation by-laws. The duties of other federation officers and of the federation board of trustees shall be as prescribed in the federation by-laws. The Kiwanis International Board of Trustees or the Federation Board of Trustees, as the case may be, shall hold a hearing on the merits of the proposed change.

ARTICLE I

ARTICLE II OBJECTS

Every Kiwanis charter club and every Kiwanis district within the territorial limits of this federation shall be a member of the federation. Any member club more than sixty (60) days delinquent on any debt owed to Kiwanis International or this federation shall be considered not in good standing.

ARTICLE IV Officers

He shall disburse these funds in the manner authorized by the Federation Board of Trustees. He shall give a good and sufficient bond and in an amount determined by the Federation Board of Trustees. A special meeting of the federation board of trustees may be called by the federation president or two-thirds (2/3) of the members.

ARTICLE VI Committees

The Secretary of the Federation shall provide written notice, by electronic means, to each member of the Federation Board of Directors and the Secretary of Kiwanis International of the time, place, date and purpose of each meeting; the notice will be sent at least three (3) times. weeks later. One-half (½) of the total number of members of the Federation's Board of Directors shall constitute a quorum, and a majority of those present shall decide on each question, except those questions for which a larger portion is specifically intended. required in these bylaws. The President of the Federation will appoint any other members deemed necessary to achieve the objectives of the Federation.

ARTICLE VII Conventions

The secretary of the association shall send to each chartered club and to the secretary of Kiwanis International the official notice of the annual convention at least sixty (60) days before the date of the convention, and the official notice of each special convention at least thirty (30) days before the date of the same. The board of directors of the association may establish a uniform convention registration fee to be paid by all persons attending any convention of the association. Proceeds derived from such registration fees shall be spent solely upon the approval of the Association's Board of Trustees.

ARTICLE VIII Convention Procedure

A quorum at any convention of the federation shall consist of the official delegates present representing not less than one-fourth (1/4) of the total number of clubs within the federation. Within thirty (30) days of a convention, the Secretary of the Federation shall prepare a report of the proceedings of the convention, containing a complete summary of all actions taken, and shall send a copy thereof to the Secretary of Kiwanis International and a copy to the Secretary. of every chartered club within the federation, and of every officer of the federation. Reports of committees, communications to the convention, resolutions presented by the Committee on Resolutions, and all motions except those declared "indisputable" by the person holding the chairmanship may be debated.

ARTICLE IX

In the absence of any district governor, the chairman of the meeting for that district will be appointed by the president of the federation. -If the federation provides in Article IV, Section 1, that one person shall serve as secretary of the federation and as treasurer, this provision shall be amended by adding "and". -If the federation provides in Article IV, Section 1, that one person shall serve as secretary of the federation and as treasurer, this provision shall be modified accordingly.].

ARTICLE XI Public Activities

The Association shall not impose any financial obligation on the Clubs other than the annual membership fees set forth herein for any activity of the Association except by a two-thirds (2/3) vote of the delegates at a convention or a two-thirds (2/3) vote in a referendum for all clubs of the federation.

Necessary travel of all officers of the Federation on business shall be paid by the Federation in accordance with the provisions.

ARTICLE XVI Amendments

34; An Interclub Meeting is a meeting jointly planned and conducted by two or more Kiwanis Clubs (including charter clubs) or by a Kiwanis Club and any Builders Club, Circle K Club or Key Club and duly announced as such in advance through club notices. The current practice of interclub meetings does not conform to the definition;- Kiwanis clubs today rarely announce an interclub meeting in advance and rarely plan a joint meeting. The committee recommends that the definition of interclub meeting in Procedure 104 be changed to read: "An interclub meeting is one held by two or more Kiwanis clubs (including charter clubs) or by a Kiwanis club and any Builders Club, Circle K .club or Key . Club.

INFORMATION ITEMS

New Club Extension Manual - the Director of Member Services and Coordinator of New Club Extension will produce a new manual and related materials which. Flagship Clubs - The Director of Member Services and Coordinators for Membership Growth and Expansion of New Clubs will select ten major cities in the United States to be responsible in coordination with the Director of Member Services for the execution and operation of areas related to new club expansion.

Motivation of the Lieutenant Governor and Divisional and Club Management to sponsor a new club and/or bring a club back to charter strength. The task of the KIAR: A KIAR is to assist the Lieutenant Governor in the building and organization of a new club. FSR wi 11 maintains an ongoing program to increase the effectiveness of KIAR in his new club building and organizing efforts.

MEMORANDUM

Council, we are including forms that you can use to identify the clubs in your neighborhood that you consider to be non-performing or non-existent clubs. You must complete a form: for each club explaining why the club does not meet: the minimum requirements of a viable Kiwanis club with reference to ~Membership and Community Service6 The attached forms will be sent by post. If more than three people are involved in the offence, it will be considered a club offence, which the district council will decide on at its next meeting. This will be decided by the district governor and the district administrator. All such actions must be reviewed by the district board at the next regularly scheduled meeting. The club will be brought to the International Council for review with the possibility of having their charter revoked.

REPORT OF THE BOARD COMMITTEE ON THE SCHEDULING OF THE INTERNATIONAL CARE BOARD MEETING. The Board's Finance Committee or its designee shall not make a suggestion, but merely present the financial information necessary for the Board to properly consider the proposed operating objective. This operational objective is being met in part by the work of the Board's Long Range Planning Committee.

The Committee recommends approval of the installation of toll-free (800) incoming telephone service to include three (3) United States lines and one. The committee discussed the desirability of sending a manual of policies and procedures to the members of the International Board of Administration. The committee discussed the advisability of providing copies of the district consultants' reports to other board members.

Appendix B of the report of the Board Committee on Administration, "Official Visit of the International President, is now Appendix No. 22 of the minutes of the January Board meeting. The assumptions to be used in the preparation of the 1987/88 budget were reviewed, discussed and amended of Committee 21 - Publications be established and that the budget for 1986/87 be amended to incorporate the transfer of account numbers and budgeted amounts affected as shown in Appendix C. With recommendation- change of fees between departments and creation of a Department 21, the net surplus of the general fund would be reduced by $186,000 and the net surplus of the new Magazine Fund would be increased from -0- to.

BUILDING OCCUPANCY

The ·Committee also discussed the increase in costs of European operations and the impact of the fluctuation of the US. The Committee recommends that the annual audit report as presented to all Board members be approved by Wolf & Company. The Committee recommends that the Management Letter prepared as part of the annual audit by Wolf & Company be approved.
