Keterbukaan informasi dalam rangka Penawaran Tender Wajib oleh Pengendali Baru sebagaimana terlampir dengan ringkasan sebagai berikut:
Latar Belakang Pengambilalihan Pada tanggal 27 Januari 2022, PT First Media Tbk dan Asia Link Dewa Pte. Ltd (“Para Penjual”) dengan Axiata Investments (Indonesia) Sdn. Bhd. dan PT XL Axiata Tbk (“XL”) (“Para Pembeli”) telah
menandatangani Share Purchase Agreement, di mana Para Pembeli sepakat untuk membeli 1.816.735.484 (satu miliar delapan ratus enam belas juta tujuh ratus tiga puluh lima ribu empat ratus delapan puluh empat) saham yang merupakan 63,45% (enam puluh tiga koma empat lima persen) dari modal ditempatkan dan disetor PT Link Net Tbk (“Perusahaan Sasaran”).
Penyelesaian transaksi jual beli tersebut telah
diselesaikan pada tanggal 22 Juni 2022. Sehubungan dengan telah diselesaikannya transaksi jual beli tersebut, maka Axiata Investments (Indonesia) Sdn.
Bhd. telah menjadi Pengendali Baru dari Perusahaan Sasaran, dan oleh karenanya melakukan Penawaran Tender Wajib sebagaimana disyaratkan oleh
Peraturan Otoritas Jasa Keuangan No.
9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka.

Tujuan Pengendalian Tujuan dari Pengambilalihan ini adalah sebagai
berikut:
1) untuk mengambil alih salah satu dari penyedia layanan akses internet kecepatan tinggi melalui jaringan tetap (high-speed broadband) dan TV kabel terkemuka di Indonesia;
2) untuk memperkuat langkah strategis memasuki pasar layanan broadband berbasis kabel serta mendorong ekspansi di Indonesia;
3) untuk menciptakan sinergi yang signifikan antara Perusahaan Sasaran dan XL melalui kekuatan gabungan mereka di bidang jasa layanan komunikasi tanpa kabel (wireless communication services), penggunaan bersama jaringan penghubung (backbone) dan jaringan transmisi, hubungan yang erat dengan pelanggan di Indonesia;
4) untuk menggarap pasar korporasi di Indonesia; dan
5) untuk memperoleh akses ke perusahaan yang berkinerja kuat, arus kas yang kuat dan pembayaran dividen.

Axiata Investments (Indonesia) Sdn. Bhd. telah membeli 1.266.419.288 (satu miliar dua ratus enam puluh enam juta empat ratus sembilan belas ribu dua ratus delapan puluh delapan) saham atau mewakili 44,23% (empat puluh empat koma dua tiga persen) dari saham yang telah ditempatkan dan disetor oleh Perusahaan Sasaran, dan (ii) XL yang telah membeli 550.316.196 saham atau mewakili 19,22% (sembilan belas koma dua dua persen) dari saham yang telah ditempatkan dan disetor oleh Perusahaan Sasaran.

Disclosure of Information regarding mandatory tender offer by new controlling shareholder is as follows:
Mandatory Tender Offer Background On January 27, 2022, PT First Media Tbk and Asia Link Dewa Pte. Ltd (“the Sellers”) and Axiata Investments (Indonesia) Sdn. Bhd. and PT XL Axiata Tbk (“the Purchasers”) entered into the Share Purchase Agreement, where the
Purchasers acquired 1,816,735,484 (one billion eight hundred sixteen million seven hundred thirty- five thousand four hundred eighty-four) shares from the Sellers, which constitutes 63.45% (sixty three point four five percent) of the issued and paid-up capital of PT Link Net Tbk (“the Target Company”). The share sale and purchase was completed on June 22, 2022. In relation to the completion of such share sale and purchase, Axiata Investments (Indonesia) Sdn. Bhd. has become the new controller of the Target
Company, and therefore, is required by Financial Services Authority Regulation No.
9/POJK.04/2018 concerning the Acquisition of Public Companies to conduct a Mandatory Tender Amount and Percentage of shares acquired

Controlling Purpose The rationale of the Acquisition are as follows:
1) to acquire one of the leading providers of high-speed broadband and cable TV in Indonesia;
2) to reinforce the strategic move into fixed broadband and fuel expansion in Indonesia;
3) to create significant synergies for the Target Company and XL through their combined position in wireless communication services, the sharing of backbone and transmission networks, and their extensive relationships with customers in Indonesia;
4) to capture the enterprise market in
Indonesia; and
5) to have access to the strong performing Target Company as well as its strong cash flow and dividend payouts.

Bhd. have purchased 1,266,419,288 (one billion two hundred sixty six million four hundred nineteen thousand two hundred eighty eight) shares representing 44.23% (forty four point two three percent) of issued and paid-up shares of the Target Company, and (ii) XL have purchased 550,316,196 (five hundred fifty million three hundred sixteen thousand one hundred ninety six) shares representing 19.22% (nineteen point two two percent) of issued and paid-up shares of the Target Company.
