KEBIJAKAN REMUNERASI DEwAN KOMISARIS DAN DIREKSI

Atas pelaksanaan tugas dan fungsinya, Dewan Komisaris dan Direksi berhak untuk memperoleh remunerasi yang layak sebagai bentuk imbal jasa dan kontribusinya terhadap Perseroan. Penetapan kebijakan, skema, prosedur, hingga besaran remunerasi Dewan Komisaris dan Direksi menggunakan formula yang ditetapkan dalam peraturan perundang-undangan yang berlaku, Anggaran Dasar, dan berbagai faktor penentu lainnya.

Dasar Kebijakan Remunerasi Dewan Komisaris dan Direksi

Sesuai Peraturan Menteri BUMN No. PER-04/MBU/2014 tanggal 10 Maret 2014 tentang Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, dan Dewan Pengawas BUMN, jo. Peraturan Menteri BUMN No.

PER-01/MBU/06/2017 tanggal 19 Juni 2017 tentang Perubahan Kedua atas Peraturan Menteri BUMN No. PER- 04/MBU/2014 tanggal 10 Maret 2014 tentang Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, dan Dewan Pengawas BUMN, jo. Peraturan Menteri BUMN No. PER-06/MBU/06/2018 tanggal 4 Juni 2018 tentang Perubahan Ketiga atas Peraturan Menteri Badan Usaha Milik Negara No. Per-04/MBU/2014 tentang Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, dan Dewan Pengawas BUMN, jo. Peraturan Menteri BUMN No. PER-01/MBU/05/2019 tanggal 31 Mei 2019 tentang Perubahan Keempat atas Peraturan Menteri Badan Usaha Milik Negara No. PER-04/MBU/2014 tentang Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, dan Dewan Pengawas BUMN yang dituangkan dalam Peraturan Bersama Dewan Komisaris dan Direksi No. HK.150/09/KEP/DK.P.III/2018 dan PER.0050/HK.01/

HOFC-2018 tanggal 3 September 2018 tentang Reviu dan Revisi Pedoman Tata Kelola Perusahaan (Board Manual dan Code of Corporate Governance); bahwa penetapan remunerasi Direksi dan Dewan Komisaris mengacu pada hasil RUPS dengan memperhatikan hasil kajian yang telah dilakukan oleh Perseroan.

REMUNERATION POLICy FOR THE BOARD OF COMMISSIONERS AND BOARD OF DIRECTORS

The Board of Commissioners and the Board of Directors are entitled to receive appropriate remuneration for the implementation of their duties and functions as a form of remuneration and contribution to the Company.

Determination of policies, schemes, procedures, and the amount of remuneration for the Board of Commissioners and the Board of Directors using the formula stipulated in the prevailing laws and regulations, the Articles of Association, and various other determining factors.

Basis of Remuneration Policy for the Board of Commissioners and Board of Directors

According to the Regulation of the Minister of SOE No. PER-04/MBU/06/2014 dated March 10, 2014 on Guidelines to Determine the Income of the BOD, BOC, and Supervisory Board of SOEs, jo. Regulation of the Minister of SOE No. PER-01/MBU/06/2017 dated June 19, 2017 on the Second Amendment to the Regulation of the Minister of SOE No. PER-04/MBU/06/2014 dated March 10, 2014 on Guidelines to Determine the Income of the BOD, BOC, and Supervisory Board of SOEs, jo. Regulation of the Minister of SOE No. PER-06/MBU/06/2018 dated 4 June 2018 on the Third Amendment to the Regulation of the Minister of SOE No. PER-04/MBU/06/2014 on Guidelines to Determine the Income of the BOD, BOC, and Supervisory Board of SOEs, jo. Regulation of the Minister of SOE No.

PER-01/MBU/05/2019 dated May 31, 2019 on the Fourth Amendment to the Regulation of the Minister of SOE No. PER-04/MBU/06/2014 on Guidelines to Determine the Income of the BOD, BOC, and Supervisory Board of SOEs stipulated in the Joint Decree of the BOC and BOD No. HK.150/09/KEP/DK.P.III/2018 and PER.0050/HK.01/

HOFC-2018 dated September 3, 2018 in the Review and Revision of GCG (Board Manual and Code of Corporate Governance) the determination of remuneration for the BOD and BOC refers to the resolutions of GMS and shall take into account the result of a review conducted by the Company.

Indikator Penetapan Remunerasi Dewan Komisaris dan Direksi

Pemegang Saham menetapkan penyesuaian remunerasi Dewan Komisaris dan Direksi dengan pertimbangan:

• Faktor skala usaha;

• Faktor kompleksitas usaha;

• Tingkat inflasi;

• Kondisi dan kemampuan Perseroan

Selain itu, dalam melakukan kajian penetapan remunerasi tersebut, Perseroan turut memberikan rekomendasi dengan mempertimbangkan pencapaian KPI, kontrak manajemen, dan tingkat kesehatan perusahaan.

Hasil kajian tersebut kemudian akan disampaikan oleh Dewan Komisaris sebagai bahan usulan penetapan remunerasi kepada Pemegang Saham berdasarkan lampiran dalam Peraturan Menteri BUMN No. PER-01/

MBU/05/2019 tanggal 31 Mei 2019. Rumusan untuk menghitung penghasilan Dewan Komisaris dan Direksi ditetapkan oleh Pemegang Saham.

2 Tunjangan / Allowances

Indicators for Determining the Remuneration of the Board of Commissioners and the Board of Directors Shareholders determine the adjustment of the remuneration of the Board of Commissioners and the Board of Directors with the following considerations:

• Business scale

• Business complexity

• Inflation rate

• Company’s condition and capability

In conducting the review, the Company considers various factors, such as business scale, business complexity, inflation rate, financial condition and capability, and Company’s performance. There are also several other influential factors, namely KPI, management contract, and the Company’s soundness level.

The review result is submitted to the BOC to be proposed to the Shareholders to determine remuneration according to the attachment of Regulation of the Minister of SOE No. PER-01/MBU/05/2019 dated 31 May 2019. The formula to calculate the BOC and BOD remuneration is determined by the Shareholders.
