This is a confidentiality agreement to be used between two parties to protect the intellectual property and secrets of the first party.
This Non Disclosure Agreement is made in BETWEEN:
General administration of information technology (GAIT), King Abdulaziz University AND:
RECITAL:
The Second Party wishes to receive from GAIT certain information relating to GAIT"s products, services and businesses for the purpose of evaluating the feasibility of a co-operative business arrangement between them about Operation (" ") in accordance with this Agreement.
IT IS AGREED:
1. Confidential Information
1. In this Agreement “Confidential Information” is any data or information that is not owned by a second party and not made public, whether in tangible or intangible form, including but not limited to:
● Any marketing strategies, plans, financial information, projections, operations, sales estimates, business plans and performance results related to the past, current or future activities of the first party or its subsidiaries or subsidiaries.
● Any plans for services, applications, customers, or supplier lists.
● Any scientific or technical information, invention, design, process, procedure, formula, improvement, technique or method.
● Any concepts, reports, data, manuals, work in progress, designs, development tools, specifications, computer programs, source code, object code, graphs, databases, inventions or information.
● Any other information that should be known and considered confidential information from the first party protected by proprietary rights or constitutes a secret, the second party acknowledges that the confidential information is owned by the first party, and has been developed and obtained through great efforts by the first party and that this confidential information is considered a secret of the first party.
2. Notwithstanding anything in the foregoing, Confidential Information shall not include
party.
● The second party has the right to know information that has been accessed from a third party so that it is not known (after an effort in the investigation) by the second party because it is obligated to maintain confidentiality.
● To be publicly available without any fault or negligence on the part of the second party in breach of this agreement.
● The information must be disclosed in judicial or administrative proceedings, or otherwise required to be disclosed by law or regulation of King Abdulaziz University.
● To be made or independently developed by employees, consultants or agents of the second party without violating the terms of this agreement or reference or obtaining any confidential information.
These terms apply to all information whether in written or oral form, stored electronically or in any other medium.
2. Disclosure of confidential information: (not given to researchers)
From time to time, the first party (disclosing) may disclose confidential information to the second party.
Accordingly, the second party will:
1. It is sufficient to give any confidential information to the Directorate and the responsibility of its employees, agents or representatives (representatives) who have a need to know that confidential information related to the current or intended relationship between the two parties, and only for this purpose.
2. Inform representatives or owners of confidential information of the obligations under this Agreement that require Representatives to keep confidential information confidential.
3. It does not disclose any confidential information it receives to any third party (except as otherwise provided herein).
4. Each party shall be liable for any breach of this Agreement by any of its representatives.
5. It is not allowed (without obtaining the prior written consent of the first party) to inform about any press statement or issue any other advertisement in relation to the purpose.
3. Use of confidential information:
The second party agrees to use confidential information only in connection with the current or
agreement without the prior written consent of an authorized representative of the first party. Ownership of confidential information remains only with the first party. All uses of confidential information by the second party shall be for the benefit of the first party, and any modifications and improvements thereto by the second party shall be the exclusive property of the second party (disclosing).
4. Forced disclosure of confidential information (exceptions):
Notwithstanding anything to the contrary of the foregoing, the second party may disclose confidential information pursuant to any governmental, judicial, or administrative order, by means of a subpoena, disclosure request, regulatory request or similar method, provided that the first party is promptly notified to the extent Possible by writing a request for disclosure.
5. Duration and Termination
This Agreement shall continue in force until terminated by agreement in writing. The provisions as to confidentiality shall continue, in respect of each item of Confidential Information, for a period of three (3) years from the date upon which that item of Confidential Information is first disclosed.
6. Governing Law and Jurisdiction
This Agreement and the transactions contemplated by this Agreement are governed by the law in force in Saudi Arabia. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of Saudi Arabia and courts of appeal from them for determining any dispute concerning this Agreement or the transactions contemplated by this Agreement.
7 . General Provisions
1 Nothing in this Agreement shall require GAIT to disclose information to the Second Party or limit either party's right to conduct discussions with third parties, provided such discussions or disclosures do not violate the terms of this Agreement.
2 Nothing in this Agreement shall impose an obligation on GAIT to procure any product or services from the GAIT.
3 All waivers must be in writing. Failure, forbearance or delay by GAIT to enforce any of its rights under this Agreement shall not be taken as or deemed to be a waiver of those rights, and no waiver of any provision or right shall affect the right of GAIT to enforce any other provisions or right arising from this Agreement.
4 The Second Party acknowledges that a breach or threatened breach of this Agreement would result in
enforceability of such provision shall in any way be affected or impaired thereby.
6 This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous oral or written representation with regard to the subject matter hereof, except that this Agreement shall not supersede previously executed contracts between the parties which relate to specific services.
7 Any modification, amendment, supplement, or other change to this Agreement must be made in writing and signed by both parties. As used herein, the term "Agreement" shall include any future amendments or
supplements or supplements hereto.
8. University’s data cannot be used for research purposes unless the researcher sign non-disclosure agreement for researcher.
Note: the researcher should sign this agreement before signing non-disclosure agreement for research (330-Form-08).
