Item (4): Approval to absolve the Board of Directors members liability during the year ended 31/12/2020 . Item (5): Approval of the formation of the audit committee, specifying its tasks, work controls, and remuneration for its members for the new session, which starts from the assembly on 30/05/2021 and ends on 07/01/2024 AD, and the candidates are as follows:
1. Mr. / Khalid Abid Qama - Chairman.
2. Mr. / Ali Al-Azhari – Member.
3. Mr. / Kinana Al Ghaleb Al Sharif – Member.
Item (6): Approval on the business and contracts concluded between the company and the company of Dr.
Suleiman Abdel Qader Fakeeh Hospital and for which as a member of the Board of Directors, Dr. Mazen Suleiman Abdel Qadir Fakeeh has an indirect interest in it, which is a medical insurance contract for the company’s employees for a year in the amount of 16,330,548 SR and this agreement does not have any preferential conditions.
Item (7): Approval on business and contracts concluded between the company and the company of Dr. Suleiman Abdel Qader Fakeeh for Medical Education and for which a member of the Board of Directors Dr. Mazen Suleiman Abdel Qader Fakeeh has an indirect interest in it, which is a medical insurance contract for the company’s employees for a year for 895,798SR. Item (31): Approval on the business and contracts that will take place between the company and the Saudi Electronic Computer Company (SBM Ltd) in which a member of the Board of Directors Mrs. Dana Khalid Al-Juffali has an indirect interest in it which is a contract for providing computer equipment, licenses, and other things such as risk assessment & knowing that the business during The year 2020 amounted to 519 thousand SR. Item (34): Approval on the business and contracts that will take place between the company and the International Medical Hospital Company and for which a member of the Board of Directors Mr. Faisal Farouk Tamer has an indirect interest in it, which is a contract for providing health services to the insured, knowing that the business during the year 2020 amounted to 22,173,000SR. Item (36): Approval the appointment of the external auditors, Al-Azem & Partners-Crowe and El Sayed El- Ayouty & Partners – Moore International Ltd. from among the candidates based on the recommendation of the Board of Directors to examine, review, and audit the financial statement for the (second, third, fourth) quarters and annual for the fiscal year 2021 and first quarter of 2022 of the fiscal year and determine their fees.
