Terms and Conditions:

1. The submission of the Transfer of Securities Ownership Form – Late Confirmation- shall be deemed as an acknowledgement from Independent Custody Member and Exchange Member hereinafter referred to as (“Applicant”) of these Terms and Conditions (“Terms and Conditions”). these Terms and Conditions shall be considered complementary to the Membership Terms and Conditions accepted by both of them.

2. The Applicant shall submit to the Securities Depository Center Company (“Depository Center”) all documents provided in this Application form, the Capital Market Law, its implementing regulations, Exchange rules, Securities Depository Center rules, and any amendments to the aforementioned (“Laws and Regulations”).

3. Terms and phrases used in the Terms and Conditions shall have the meanings given thereto in the Laws and Regulations unless the context requires otherwise, and for the purposes of these Terms and Conditions, the word “Application” shall mean the Transfer of Securities Ownership Form – Late Confirmations-, information contained therein, and documents attached thereto as the Depository Center determines from time to time.

4. Applicant undertakes to review Laws and Regulations and abide thereby.

5. Depository Center shall assume no responsibility for inaccuracy of information, data, numbers, and signatures provided in this Application, nor for the truthfulness, integrity or completion thereof; the Applicant shall solely be responsible for this in full as well as for any resulting legal consequences. The Applicant shall also undertake to indemnify Depository Center against all losses, damages, expenses, costs, liabilities, claims, and legal actions resulting from the execution by the Depository Center of the instructions provided in the Application notwithstanding the nature thereof. The Applicant discharges the Depository Center, its board of directors, directors, officers, mother companies, and subsidiaries thereof form any liability, claims, losses, compensations, actions, or liability towards any person or entity, resulting directly or indirectly from the execution of the Application.

6. Applicant undertakes to provide the Depository Center with any documents specified by the Depository Center.

7. The Applicant undertakes that the employee signing the Application is duly authorized to sign on such application and rectify the information provided therein; the Center Member shall also notify the Depository Center of any update on the delegated persons list.

8. Applicant shall pay the fees specified by the Depository Center for the execution of the Application.

9. Depository Center shall not be responsible for keeping any documents, data, information, signatures, numbers, or other items relevant to the Application, all without prejudice to the right of the Depository Center to keep those as per the sole discretion thereof.

10. The Application should be received during official Business Days of the Depository Center, and for the purposes of these Terms and Conditions, notice received by the Depository Center during the last two hours of official working hours or other than during Business Days shall be considered to have been received in the subsequent official Business Day.

11. 12. All rights resulting from ownership of securities, the details of which are provided above, shall pass from the transferor to the transferee upon transferring the security from the account of the transferor to the account of the transferee as per the settlement period

13. Application may not be deemed complete unless all complementary information and documents are correct as per the procedural and technical instructions of the Depository Center, which may be subject to revision from time to time, and the Depository Center may, upon its discretion, refuse to accept any Application containing any strike-offs, non-legible, or unclear information.

14. Any dispute arising out of the application of these Terms and Conditions shall be referred to the competent judicial authority in the Kingdom.

15. Depository Center may, without any liability thereon, withhold the execution of the Application temporarily or decline it for any reason it deems appropriate, including technical faults or during upgrading, modifying, or maintaining any hardware or automatic systems of the Depository Center; therefore, the Depository Center shall bear no responsibility for delay or inability to execute such application in case the delay or inability is beyond the well of the Depository Center.

16. These Terms and Conditions shall be construed and applied in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
