4. AKUISISI PENGENDALIAN BERSAMA ENTITAS ACQUISITION OF JOINTLY CONTROLLED ENTITIES
Pada tanggal 31 Oktober 2011, Perusahaan, Long Haul Holding Limited (“LHHL”) dan PT Bakrie & Brothers Tbk. (“BNBR”) melakukan perjanjian jual- beli saham dimana Perusahaan setuju untuk membeli dan LHHL bersama-sama dengan BNBR setuju untuk menjual 51% dari saham yang ditempatkan pada Borneo Bumi (sebelumnya Sunrise Energy Holdings Pte. Ltd.) dan 49% dari saham yang ditempatkan pada Bumi Borneo (sebelumnya Ultimate Synergy Pte. Ltd.) pada tanggal penutupan perjanjian dengan nilai transaksi sebesar AS$1 miliar.
On 31 October 2011, the Company, Long Haul Holding Limited (“LHHL”) and PT Bakrie & Brothers
Tbk. (“BNBR”) entered into a share sale and
purchase agreement where the Company agreed to purchase and LHHL and BNBR agreed to sell 51% of the issued share capital of Borneo Bumi (formerly Sunrise Energy Holdings Pte. Ltd.) and 49% of the issued share capital of Bumi Borneo (formerly Ultimate Synergy Pte. Ltd.) at the completion date of the agreement, for a purchase price of US$1 billion.
Borneo Bumi memiliki 54.154.285 saham dengan hak suara (voting shares) ARM plc, yang mewakili 22,5% saham ARM plc. Bumi Borneo memiliki 60.442.782 saham tanpa hak suara (non voting shares) ARM plc yang mewakili 25,1% saham ARM plc. Melalui akuisi atas 51% saham Borneo Bumi dan 49% saham Bumi Borneo, Perusahaan secara tidak langsung melakukan akuisisi atas 23,8% saham ARM plc dan entitas anak a).
Borneo Bumi owned 54,154,285 of ARM plc’s voting shares, which represented 22.5% of ARM plc’s shares. Bumi Borneo owned 60,442,782 of ARM
plc’s non-voting shares, which represented 25.1% of total ARM plc’s shares. With the acquisition of 51%
of Borneo Bumi’s shares and 49% of Bumi Borneo’s
shares, the Company had indirectly acquired 23.8% of the equity shares of ARM plc and subsidiaries a).
Proses akuisisi Borneo Bumi dan Bumi Borneo diselesaikan pada tanggal 16 Januari 2012, sehingga Perusahaan bersama dengan LHHL dan BNBR secara efektif menjadi pemegang saham Borneo Bumi dan Bumi Borneo sejak tanggal tersebut.
The process of acquiring Borneo Bumi and Bumi Borneo was completed on 16 January 2012, and the Company together with LHHL and BNBR has effectively became shareholders of Borneo Bumi and Bumi Borneo from that date.
Perusahaan telah menandatangani Shareholders Agreements dengan LHHL dan BNBR untuk tujuan mengatur pengelolaan Borneo Bumi dan Bumi Borneo yang mengatur penunjukan Direksi dan pelaksanaan aktivitas yang mengharuskan konsensus dari seluruh pihak-pihak yang berbagi pengendalian.
The Company entered into a Shareholders Agreement with LHHL and BNBR for the purpose of regulating the management of Borneo Bumi and Bumi Borneo, which governed the sharing of control
through the Board of Directors’ appointment and
execution of activities requiring the unanimous consent of the parties sharing control.

Selama periode ini, Bumi Borneo mengalihkan 3.081.371 saham pada ARM plc ke Borneo Bumi tanpa biaya. Kemudian, Perusahaan menukarkan kepemilikan 49% saham pada Bumi Borneo untuk kepemilikan 49% saham oleh LHHL dan BNBR pada Borneo Bumi. Akibatnya, Borneo Bumi kemudian dimiliki 100% oleh Perusahaan dan memegang 57,235,656 saham (23,8%) pada ARM plc (lihat Catatan 40a).
During the period, Bumi Borneo transferred 3,081,371 shares in ARM plc to Borneo Bumi at no cost. Then the Company exchanged its 49% stake in
Bumi Borneo for LHHL and BNBR’s 49% stake in
Borneo Bumi. As a consequence, Borneo Bumi is now a 100% owned subsidiary of the Company and holds 57,235,656 voting shares (23.8%) directly in ARM plc (refer to Note 40a).
