Strategis

Property Management and Strategic Fund Advisor Services

Pada tanggal 12 Juni 2020, Perseroan ditunjuk sebagai properti manajer dan penasihat dana strategis oleh Alpha Investment Partners Limited (“AIP”). Sebagai properti manajer, Perseroan akan memperoleh iuran tahunan sebesar 3% dari laba kotor ILO, sedangkan sebagai penasihat dana strategis, Perseroan akan memperoleh biaya manajemen yang dihitung berdasarkan suatu formula tertentu.

On 12 June 2020, the Company was appointed as a property manager and strategic fund advisor by Alpha Investment Partners Limited (“AIP”). As the property manager, the Company shall earn an annual fee of 3% of ILO’s gross profit, while as the strategic fund advisor, the company shall receive management fees that are calculated based on a certain formula.

Perjanjian Sewa Tanah di MANP Land Lease Agreement in MANP Pada tanggal 25 Februari 2020, MANP

menandatangani perjanjian sewa tanah yang mencakup hak untuk mendirikan bangunan di atas tanah yang disewa dengan PT Cakrawala Terang Abadi (“CTA”) dan PT Mutiara Indah Osowilangun Megah (“MIOM”). CTA dan MIOM setuju untuk menyewakan tanah mereka dengan luas masing-masing 20.307 m2 dan 57.810 m2. MANP akan membangun sebuah gudang dan menyewakannya dengan sewa operasi setelah konstruksi selesai. Di akhir masa sewa pada tahun 2041, MANP akan mengalihkan kepemilikan gudang kepada CTA dan MIOM.

On 25 February 2020, MANP entered into land lease agreements which included the right to construct buildings on the leased land with PT Cakrawala Terang Abadi (“CTA”) and PT Mutiara Indah Osowilangun Megah (“MIOM”). CTA and MIOM agreed to lease their land with total area of 20,307 sqm and 57,810 sqm, respectively. MANP will build a warehouse and lease it out under operating lease once the constructions are completed. At the end of the lease term in 2041, MANP will transfer the ownership of the warehouse to CTA and MIOM.

33. DAMPAK COVID-19 33. COVID-19 IMPACT

Sejak awal tahun 2020, pandemi COVID-19 telah menyebar ke berbagai negara termasuk Indonesia, dan juga berimbas pada bisnis dan kegiatan perekonomian Grup di beberapa aspek.

Since early 2020, the COVID-19 pandemic has spread across many countries including Indonesia, and also affected the business and economic activities of the Group to some extent.

Dalam hal pembangunan gudang baru Grup, tidak terdapat penambahan rencana pembangunan gudang baru selain penyelesaian pembangunan gudang yang sudah berjalan sebelum pandemi terjadi. Selain itu, Grup telah melakukan beberapa penyesuaian atas beberapa prosedur operasional untuk menaati protokol kesehatan yang berlaku dan memastikan operasional yang optimal dan aman bagi karyawan dan penyewa. Berdasarkan hal ini, Grup tidak melihat adanya ketidakpastian material yang akan menyebabkan kerugian yang signifikan terhadap bisnis dan operasional Grup atau menimbulkan keraguan signifikan atas kemampuan Grup untuk mempertahankan kelangsungan usahanya.

In terms of construction of the Group’s new warehouses, there was no addition to the plan of building new warehouses except for the completion of the warehouse constructions that were already running before the pandemic occurred. In addition, the Group had made adjustments to several operational procedures to adhere to the applicable health protocol and ensure optimum and safe operations for its employees and tenants. Based on this, the Group do not foresee any material uncertainty that may have significant adverse impact to the Group’s business and operation or may cast significant doubt on the Group’s ability to continue as a going concern.

Grup akan secara berkelanjutan memantau perkembangan pandemi COVID-19 dan mengevaluasi dampaknya.

The Group will continuously monitor the development of the COVID-19 pandemic and evaluate the impact.

34. INFORMASI PENTING LAINNYA 34. OTHER SIGNIFICANT INFORMATION

Pada tahun 2019, Perseroan dan entitas anak, Intirub, berencana untuk menjual tanah dan bangunan (“Aset”) mereka kepada ILO, di mana Perseroan memiliki pengaruh yang signifikan.

Transaksi penjualan Aset tersebut digolongkan sebagai transaksi dengan suatu pihak terafiliasi dengan nilai material. Oleh karena itu, Perseroan harus dan telah mengikuti prosedur yang dipersyaratkan dalam peraturan BAPEPAM-LK No.

IX.E.1 dan IX.E.2 sebagai berikut: 1) Aset yang dijual dinilai oleh penilai independen yang memenuhi syarat, 2) menerbitkan pendapat kewajaran (“FO”), 3) laporan transparansi yang dipublikasikan kepada publik dan dilaporkan kepada Otoritas Jasa Keuangan (“OJK”). Pada 31 Desember 2019, nilai transaksi didasarkan pada Perjanjian Jual Beli Bersyarat dengan nilai yang berbeda dari hasil penilaian Aset. Namun, perbedaan tersebut masih berada dalam kisaran yang dianggap wajar dalam FO.

In 2019, the Company and its subsidiary, Intirub, planned to sell their land and buildings (“Assets”) to ILO which the Company had significant influence.

The transaction to sell the Assets was classified as a transaction with an affiliated party with material amounts. Therefore, the Company must and have followed the procedures required under BAPEPAM-LK regulation No. IX.E.1 and IX.E.2 as follows: 1) the Assets sold were valued by qualified independent valuer, 2) fairness opinion (“FO”) issued, 3) transparency report published to public and reported to Financial Services Authority (“OJK”). As at 31 December 2019, the transaction value was based on the Conditional Sell and Purchase Agreement with value that deviated from Assets’ valuation results. However, the deviation still fell within the range deemed reasonable in the FO.

Pasca terjadinya pandemi Covid-19, terjadi renegosiasi yang berujung pada perubahan nilai transaksi penjualan aset tersebut. Penjualan tersebut akhirnya selesai pada bulan Agustus dan September 2020. Nilai yang dinegosiasikan kembali tersebut lebih rendah dari nilai yang telah disetujui sebelumnya oleh Rapat Umum Pemegang Saham Luar Biasa pada bulan Desember 2019. Perseroan secara tidak sengaja gagal memperoleh FO yang terbaru dan melakukan proses keterbukaan informasi sebagaimana dipersyaratkan dalam peraturan BAPEPAM-LK No. IX.E.1 dan IX.E.2.

Perseroan melaporkan kelalaian tersebut kepada OJK pada tanggal 17 Mei 2021. Sampai dengan tanggal penerbitan laporan keuangan konsolidasian interim ini, hal tersebut masih dalam proses.

Following the Covid-19 pandemic, there was a renegotiation which led to the change in the transaction value of the sale of the assets. The sale was eventually concluded in August and September 2020. The renegotiated value was lower than the one previously approved by the Extraordinary General Meeting of Shareholders in December 2019. The Company unintentionally failed to obtain an updated FO and undertake the information disclosure process as required under BAPEPAM-LK regulation No. IX.E.1 and IX.E.2. The Company reported this omission to OJK on 17 May 2021. Up to the issuance date of these interim consolidated financial statements, this matter is still in progress.

Manajemen mengambil langkah untuk mendapatkan penilai independen untuk meninjau transaksi.

Manajemen berkeyakinan bahwa tidak terdapat inkonsistensi dalam hasil penelaahan dengan dasar keputusan mereka untuk menyepakati perubahan nilai transaksi. Meskipun mungkin terdapat konsekuensi ekonomi dari kegagalan untuk memperoleh FO yang terkini dan melakukan proses pengungkapan informasi seperti yang dibahas di atas, manajemen tidak berpandangan bahwa dampaknya akan material terhadap laporan keuangan konsolidasian interim Grup.

Management took a step to get an independent valuer to review the transaction. Management believes that there was no inconsistency in the outcome of the review with the basis of their decision to agree on the change in the transaction value. Whilst there could be economic consequences of failing to obtain the updated FO and undertake the information disclosure process as discussed above, management does not believe the impact will be material to the Group’s interim consolidated financial statements.
