31. IKATAN, PERJANJIAN DAN KONTINJENSI COMMITMENTS, AGREEMENTS AND CONTINGENCY
a. Perusahaan memperoleh fasilitas general banking dari Standard Chartered Bank (SCB), cabang Jakarta, dengan nilai maksimum sebesar US$35.000.000 yang berlaku sampai dengan bulan Agustus 2016 dan secara otomatis diperpanjang untuk periode dua belas bulan. Fasilitas tersebut terdiri dari
Overdraft, Import L/C, Acceptance under L/C, Import Loan, Shipping Guarantee, Credit Bills,
Bonds and Guarantees dan Domestic
Supplier Financing (Invoice Financing),
dimana jumlah penggunaan seluruh fasilitas tersebut tidak boleh melebihi US$35.000.000. Fasilitas tersebut dapat juga digunakan oleh PT Holcim Beton (HB) dan PT Pendawa Lestari Perkasa (PLP), entitas anak, dengan persetujuan tertulis Perusahaan pada saat permohonan penggunaannya.
a. The Company obtained general banking facilities at a maximum of US$35,000,000 from Standard Chartered Bank (SCB), Jakarta branch, which is available up to August 2016 and shall be automatically extended for twelve months period. These general facilities consist of Overdraft, Import L/C, Acceptance under L/C, Import Loan, Shipping Guarantee, Credit Bills, Bonds and Guarantees and Domestic Supplier Financing (Invoice Financing), for which total usage of
such facilities shall not exceed
US$35,000,000. The facilities are also available to PT Holcim Beton (HB) and
PT Pendawa Lestari Perkasa (PLP),
subsidiaries, subject to the Company’s countersigning upon any utilization request.
Pada tanggal 31 Desember 2015, Perusahaan membuka L/C pada SCB yang digunakan untuk impor bahan baku, bahan pembantu dan suku cadang sebesar Rp23.597 dan bank garansi sebesar Rp20.252. Pada tanggal 30 Juni 2016 dan 31 Desember 2015, saldo Perusahaan yang terhutang kepada SCB untuk fasilitas Domestic Supplier Financing masing-masing sebesar Rp245.729 dan Rp193.362, dan disajikan pada akun Hutang Lain-lain (Catatan 12b).
As of December 31, 2015, the Company have opened L/C in SCB which is intended for importation of raw materials, consumable goods and spare parts totaling Rp23,597 and the bank guarantee amounted to Rp20,252. As of June 30, 2016 and December 31,
2015, the Company has outstanding
balances to SCB under the Domestic Supplier Financing facility amounting to Rp245,729 and Rp193,362 respectively, which are presented as part of Other Accounts Payable (Note 12b).
Perusahaan memperoleh fasilitas “general banking” dari PT Bank Mandiri (Persero) Tbk., dengan nilai maksimum sebesar Rp50.000 yang tersedia sampai dengan 30 Juni 2016. Fasilitas tersebut terdiri dari Letter of Credit and Bank Guarantee, dimana jumlah penggunaan seluruh fasilitas tersebut tidak boleh melebihi Rp50.000.
Pada tanggal 30 Juni 2016, Perusahaan memiliki saldo Bank Garansi pada Bank Mandiri sebesar Rp41.755.
The Company obtained general banking facilities at a maximum of Rp50,000 from PT Bank Mandiri (Persero) Tbk., which are available up to June 30, 2016. These general facilities consist of Letter of Credit and Bank Guarantee, for which total usage of such facilities shall not exceed Rp50,000.
As of June 30, 2016, the Company has outstanding Bank Guarantees in Bank Mandiri amounting to Rp41,755
b. Pada tanggal 26 Desember 2012, Perusahaan menandatangani perjanjian royalti dengan Holcim Technology Ltd. dimana Perusahaan dalam penggunaan merek dagang “Holcim” dan “HC-Logo” dalam melaksanakan kegiatan usahanya akan dikenakan tarif royalty sebesar 4% mulai tahun 2013 dan 5% untuk tahun 2014 dan seterusnya, dari jumlah penjualan neto ke pihak ketiga dan pihak berelasi, khusus LafargeHolcim Trading. Perusahaan telah melakukan Keterbukaan Informasi kepada publik pada tanggal 28 Desember 2012 atas transaksi pihak berelasi ini (Catatan 29).
b. On December 26, 2012, the Company signed a royalty agreement with Holcim Technology Ltd. whereby the Company in using “Holcim” and “HC-Logo” trademarks in carrying out its business activities shall be subjected to a rate of 4% starting 2013 and 5% for 2014 onwards from total net sales to third parties and related parties, only LafargeHolcim Trading. The Company has conducted the Information Disclosure to the public on December 28, 2012 on this related party transaction (Note 29).
c. Pada tanggal 1 Januari 2014, Perusahaan mengadakan perjanjian jasa dengan Holcim Technology (Singapore) Pte. Ltd. (RSO), dimana RSO setuju untuk menyediakan jasa manajemen Talent and Development regional secara berkelanjutan kepada Perusahaan dengan biaya jasa yang disepakati oleh kedua belah pihak.
Perjanjian ini berlaku efektif sejak tanggal 1 Januari 2014 dan berlaku seterusnya kecuali dan sampai perjanjian ini dihentikan oleh pihak manapun dengan pemberitahuan 6 bulan sebelumnya ke pihak lainnya atau sampai adanya pelanggaran perjanjian oleh salah satu pihak (Catatan 29).
c. On January 1, 2014, the Company entered into a Service agreement with Holcim Technology (Singapore) Pte. Ltd. (RSO), whereas RSO agreed to provide Regional
Talent and Development Management
services to the Company on an ongoing basis with the cost of services agreed upon by both parties.
This agreement is effective as from January 1, 2014 and shall continue to be in effect unless and until it is terminated by either party by providing 6 months notice to the other party or until the agreement is breached by either party (Note 29).
d. Pada tanggal 20 Desember 2014, Perusahaan mengadakan perjanjian Service
Level dengan HEAB, dimana HEAB setuju
untuk menyediakan jasa teknologi informasi serta jasa pendukung lainnya secara berkelanjutan kepada Perusahaan dengan biaya jasa yang disepakati oleh kedua belah pihak.
d. On December 20, 2014, the Company entered into a Service Level agreement with HEAB, whereas HEAB agreed to provide information technology services and other support services to the Company on an ongoing basis with the cost of services agreed upon by both parties.
Perjanjian ini efektif sejak tanggal 1 Januari 2015 dan berlaku untuk periode 3 tahun berikutnya sampai dengan tahun 2018. Kedua belah pihak menyetujui jika ingin memperbarui perjanjian ini, harus dilakukan minimal 6 (enam) bulan sebelum berakhirnya perjanjian tersebut (Catatan 29).
This agreement started January 1, 2015 and for the next 3-years period up to 2018. Both parties agreed if they want to renew the agreement, it should be concluded at least 6 months prior to the expiration of the agreement (Note 29).
