Agar terdapat bahasa yang sama mengenai pengertian Manajemen Risiko dan penerapannya di Perusahaan, maka Direksi telah menetapkan ISO 31000 tentang Manajemen Risiko sebagai dasar penerapan di Perusahaan. Dalam kondisi industri batu bara di tahun tahun terakhir yang masih belum baik, efektifvitas dari Manajemen Risiko akan sangat membantu Perusahaan untuk bertahan dan terus bertumbuh.
Tanggung Jawab Sosial Perusahaan
Selanjutnya untuk kegiatan terkait dengan Tanggung Jawab Sosial Perusahaan, selama tahun 2014 Perseroan telah menerapkan DARMA CERDAS, DARMA MANDIRI, dan DARMA SEHAT. Perseroan ingin semakin memastikan bahwa kehadirannya di mana pun haruslah memberikan manfaat bagi masyarakat di sekitar tempat Perseroan beroperasi. Tahun 2014 kegiatan-kegiatan ini dengan fokus pada lima area utama yaitu pemberdayaan SDM, pemberdayaan ekonomi masyarakat sekitar, pembangunan fasilitas umum/sosial, pengembangan bidang sosial, budaya dan keagaman, serta di bidang kesehatan. Program-program yang dilakukan ini memperkuat sinergi Perseroan dengan masyarakat sekitar sehingga masyarakat juga dapat merasakan dampak positif keberadaan Perseroan.
Perubahan Komposisi Direksi
Pada bulan Februari 2014, Perseroan telah kehilangan Presiden Direktur dengan berpulangnya Bapak Adwin H. Suryohadiprodjo ke hadirat Allah Yang Maha Esa. Melalui RUPSLB pada tanggal 28 Maret 2014, Perseroan mengangkat Direksi baru. Bapak Wachjudi Martono diangkat sebagai Presiden Direktur, Bapak Thekepat Gopal Sridhar sebagai Direktur, Bapak Ivi Sumarna Suryana sebagai Direktur, dan Bapak Djajeng Pristiwan Andalaswanto sebagai Direktur Independen. Direksi baru mengemban amanat untuk mewujudkan visi Perseroan dan membawa Perseroan ke tingkat yang lebih tinggi. Keberadaan Direktur Independen juga diharapkan akan dapat melindungi kepentingan investor publik, sebagai wujud pelaksanaan tata kelola perusahaan yang baik (Good Corporate Governance).
In order to have a common language regarding the deinition and implementation of Risk Management in the Company, the Board of Directors has set the ISO 31000 on Risk Management as a basis for its implementation in the Company. At a time when the conditions of the coal industry was still not good, effectiveness of Risk Management will greatly assist the Company to survive and continue to grow.
Corporate Social Responsibility
Furthermore, for the activities related to Corporate Social Responsibility, during 2014 the Company has implemented DARMA CERDAS, DARMA MANDIRI, and DARMA SEHAT. The Company would like to further ensure that its presence should provide beneits to the communities where it operates. During 2014, the Company focus on ive main areas of human resource development, economic empowerment of local communities, the construction of public facilities / social, social development, cultural and religion, as well as in the health sector. These programs strengthen the Company synergy with the surrounding community as they feel the positive impact of the existence of the Company.
Change in Composition of Board of Directors
In February 2014, the company loss its President Director with the passing away of Mr. Adwin H. Suryohadiprodjo. To replace him, through an extraordinary general shareholders meeting (RUPSLB) on March 28, 2014, the company appointed a new Board of Directors. Mr. Wachjudi Martono was appointed as President Director, Mr. Thekepat Gopal Sridhar served as a Director, Mr. Ivi Sumarna Suryana as Director and Mr. Djajeng Pristiwan Andalaswanto as Independent Director. The new Board of Directors has the mandate to realize the vision of the company and take the company to a higher level. The presence of Independent Director is also expected to be able to protect the interests of public investors, as a realization of Good Corporate Governance.
