Peraturan Pemerintah no. 44/2015
Pada tanggal 30 Juni 2015, pemerintah mengundangkan peraturan mengenai penyelenggaraan program jaminan kecelakaan kerja dan jaminan kematian, dimana peraturan pemerintah ini mulai berlaku pada tanggal 1 Juli 2015.
Terkait dengan hal peraturan ini Perseroan sudah menerapkan dan melaksanakan ketentuan ini.
Peraturan Pemerintah no. 45/2015
Perusahaan selain penyelenggara Negara wajib mendaftarkan seluruh pekerjanya kepada BPJS Ketenagakerjaan sebagai peserta sesuai penahapan kepersertaan berdasarkan ketentuan peraturan perundang-undangan. Perusahaan wajib mendaftarkan pekerja yang baru paling lama 30 (tiga puluh) hari terhitung sejak tanggal pekerja tersebut mulai bekerja.

Mining Law no. 4/2009
The Indonesian Government issued Law. No. 4 Year 2009 Concerning Mineral and Coal Mining (“Law No. 4/2009”) on January 12, 2009.
Regulation from the Minister of Forestry no. 16/2014
As an enforcement of the Government Regulation No. 24 Year 2010 concerning the Use of Forest Areas, which has been amended by the Government Regulation No. 61 Year 2012, the Government has amended the latest Regulation of the Minister of Forestry No. 16 Year 2014.
2015 LAwS AnD REgULATionS
government Regulation no. 44/2015
On June 30, 2015, the government issued a regulation on the implementation of insurance program of work injury and death insurance. This regualtion shall take effect on July 1, 2015.
Pertaining to this regulation, the Company has already implemented this provision.
government Regulation no. 45/2015
Except for the government officials, the Company is obliged to register its workforce on the BPJS Ketenagakerjaan program as its participant according to the registration procedure based on the provisions of the laws and regulations. The Company shall register its new employees no later than 30 (thirty days) effective since the employment date of the worker.

Peraturan Pemerintah no. 60/2015
Pada tanggal 30 Juni 2015, pemerintah telah mengundangkan Peraturan Pemerintah No. 46 Tahun 2015 tentang penyelenggaraan program jaminan hari tua. Setiap pemberi kerja wajib mendaftarkan pekerjanya dalam program jaminan hari tua kepada BPJS Ketenagakerjaan sesuai penahapan kepesertaan. Kemudian pada tanggal 12 Agustus 2015 pemerintah mengundangkan aturan perubahan khusus terkait dengan manfaat JHT bagi peserta.
Terkait dengan hal peraturan ini Perseroan sudah menerapkan dan melaksanakan ketentuan ini.
Peraturan Menteri PUPR no. 26/2015
Peraturan ini bertujuan untuk memberikan arahan dalam melakukan pengalihan alur sungai dan / atau pemanfaatan ruas bekas sungai dengan tetap mejaga kelestarian dan fungsi sungai, serta sekaligus melakukan pendataan dan inventarisasi terhadap kekayaan Negara dalam bentuk sungai.
Peraturan Menteri Tenaga Kerja no. 35/2015
Merupakan perubahan dan penyesuaian atas Peraturan Menteri Ketenagakerjaan No. 16 Tahun 2015, dikeluarkan pada tanggal 23 Oktober 2015. Salah satu ketentuan sebagaiamana disebutkan pada Pasal 4A, menyebutkan perusahaan yang berbentuk PMDN dilarang memperkerjakan tenaga kerja asing dengan jabatan Komisaris.

Kegiatan operasi utama Perseroan selama ini seluruhnya berhubungan dengan bisnis batubara. Kondisi bisnis batubara selama tahun 2015 masih belum mengalami peningkatan, sehingga mempengaruhi kinerja keuangan Perseroan.
Untuk mengatasi kondisi tersebut di atas, manajemen Perseroan menyusun rencana untuk tetap melanjutkan dan meningkatkan kinerjanya, dengan melakukan langkah-langkah sebagai berikut:
• Menjajaki perjanjian baru sehubungan dengan
industri lain di luar batubara; dan
• Melanjutkan pengembangan proyek tertentu.

government Regulation no. 60/2015
On June 30, 2015, the government has issued the Government Regulation No. 46 Year 2015 concerning the implementation of insurance program. Every employer is obliged to register its workforce on the BPJS Ketenagakerjaan to be the participants of the insurance program according to the registration procedure. Later on August 12, 2015, the government introduced the new regulation that specifically revised the benefit of JHT for the BPJS participants.
Pertaining to this regulation, the Company has already implemented this provision.
Regulation of the Minister of PUPR no. 26/2015
This regulation aims to provide guidelines on the river diversion work and or utilization of river basin areas while continuously maintaining its good conditions and river function and at the same time creating database and inventarization on the State’s assets in the form of river.
Regulation of the Minister of Manpower no. 35/2015
It is the amendment and adjustment on the Regulation of the Minister of Manpower No. 16 Year 2015, issued on October 23, 2015. One of the provisions as stated in the Article 4A regulates that any company of PMDN is prohibited to employ foreign worker as its Commissioner.
BUSinESS SUSTAinABiLiTy
The Company’s main operations are always related to coal business. The coal business conditions during 2015 has still not recovered and affected the financial performance of the Company.
To anticipate such situation, the Company’s management has developed a plan to continue and improve its performance by taking the following measures:
• Entering into a new agreement in relation with
industries other than coal; and
• Continuing certain project development.

Efektivitas langkah-langkah tersebut tergantung pada pengembangan dari Manajemen serta kondisi bisnis dan industri di masa depan. Dengan demikian, masih terdapat ketidakpastian material yang dapat menyebabkan keraguan signifikan atas kemampuan Perseroan untuk mempertahankan kelangsungan usaha.
The management believes that the plan that has been developed and the measures that have been taken taken are effective. The Company’s capacity to sustain is highly dependent on the sustainable financial support from its shareholers and the satisfying financial performance.
The effectiveness of the measures depends on the development from the Management and the business and industry conditions in the future. Thus, there is still a material uncertainty that can cause significant doubt on the Company’s capability to sustain its business.
