4.12.5 PT Delta Samudra (“DS”)
PT Delta Samudra didirikan berdasarkan Akta Pendirian No.
123 tanggal 15 September 1986, yang dibuatdi hadapan Mohamad Said Tadjoedin, S.H., Notaris di Jakarta, dan telah memperoleh pengesahan dari Menteri Kehakiman dengan Surat Keputusan No. C2-1518-HT.01.01.TH87 tanggal 21 Februari 1987, dan telah didaftarkan di Pengadilan Negeri Jakarta Barat di bawah No. 952/1987 pada tanggal 9 November 1987 serta telah diumumkan di Berita Negara Republik Indonesia No.79 tanggal 2 Oktober 2010, Tambahan No. 25066. (“Akta Pendirian DS”).
Anggaran Dasar DS telah mengalami beberapa kali perubahan, terakhir dengan Akta Notaris B. Andy Widyanto, S.H, No. 116 pada tanggal 30 November 2018, sehubungan dengan peningkatan modal dasar dalam DS. Perubahan Anggaran Dasar tersebut telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Surat Keputusan No. AHU-AH.01.03-0279624 tanggal 25 Desember 2018. (“Akta No. 116/2018”)
PT Delta Samudra was established pursuant to Deed of Establishment No. 123 dated September 15, 1986, made before Mohamad Said Tadjoedin, S.H., Notary in Jakarta, and has obtained the Ratification of the Minister of Justice with his Decision Letter No. C2-1518-HT.01.01.
TH87 dated February 21, 1987, and has been registered at the West Jakarta District Court under No. 1. 952/1987 on November 9, 1987 and has been published in the State Gazette of the Republic of Indonesia No.79 dated October 2, 2010, Supplement No. 25066 (“Deed of Establishment of DS”).
The DS’s Articles of Association have been amended several times, most recently Notarial Deed by B. Andy Widyanto, S.H, No. 116 on November 30, 2018, in relation with increase of the DS’s share capital. Amendments to the Articles of Association has been approved by Minister of Law and Human Rights of the Republic of Indonesia in its Decree No. AHU-AH.01.03-0279624 dated December 25, 2018. Maksud dan tujuan DS berdasarkan Pasal 3 Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa No. 7 tanggal 28 April 2008, yang dibuat di hadapan Lena Magdalena, S.H., Notaris di Jakarta, yaitu berusaha dalam kegiatan usaha di bidang pertambangan batubara, perdagangan, pembangunan, pengangkutan dan jasa.
Sampai dengan tanggal Laporan Tahunan ini diterbitkan, DS belum memulai kegiatan operasional, namun DS memperoleh izin-izin dari instansi terkait antara lain:
IUP tersebut berlaku untuk periode 22 (dua puluh dua) tahun, sejak tanggal 16 Oktober 2009 sampai dengan 15 Oktober 2031. Wilayah konsesi IUP yang dimiliki DS mencakup sekitar 9.384 hektar.
Dari luas area 9.384 ha, 7.489 ha terletak dalam kawasan Hutan Produksi (HP) dan Hutan Produksi Terbatas (HPT).
Berdasarkan rencana kerja tambang, pertimbangan teknis Dinas Pertambangan dan Energi Provinsi Kalimantan Timur dan rekomendasi yang diberikan oleh Gubernur Kaltim yang bisa dimohon oleh DS untuk pinjam pakai adalah 7.377,7 ha. Letak areal IUP terletak antara 115019’03,90” - 1150 28’17,04” BT dan 0014’59,35” LS - 0018’13,3” LS, berada di wilayah Desa Lingau, Kecamatan Nyuatan, Kabupaten Kutai Barat, Provinsi Kalimantan Timur.
Berdasarkan Surat No. 2432/07/SDB/2011 tanggal 30 Juni 2011 tentang Pengumuman Hasil Rekonsiliasi IUP yang diterbitkan oleh Direktorat Jenderal Mineral dan Batubara Pemerintah Daerah
i. Kuasa Pertambangan/Izin Usaha Pertambangan
• Keputusan Kepala Dinas Pertambangan dan Lingkungan Hidup Kabupaten Kutai Barat No.660.1/014.d/KL-X/2008 tentang Kelayakan Lingkungan Kegiatan Pertambangan Batu Bara PT Delta Samudra di Kecamatan Nyuatan Kabupaten Kutai Barat yang diterbitkan tanggal 24 Oktober 2008 oleh Pemerintah Kabupaten Kutai barat Dinas Pertambangan dan Lingkungan Hidup.
• Keputusan Bupati Kutai Barat No. 545/K.835/2009 tentang Persetujuan Peningkatan Izin Usaha Pertambangan Eksplorasi menjadi Izin Usaha Pertambangan Operasi Produksi kepada PT Delta Samudra yang diterbitkan tanggal 16 Oktober 2009 oleh Bupati Kutai Barat.
The purposes and objectives of the DS pursuant to Article No. 3 Extraordinary General Meeting of Shareholders Resolution Deed No. 7 dated April 28, 2008, made before Lena Magdalena, S.H., Notary in Jakarta, which the business activities are engaged in the field of coal mining, trade, development, transportation and services.
As of the date of publication of this Annual Report, DS has not yet started its operations, however DS obtains permits from related agencies, as follows:
The IUP is valid for a period of 22 (twenty two) years, from October 16, 2009 to October 15, 2031. The concession area of IUP owned by DS covers about 9,384 hectares.
Of the area of 9,384 ha, 7,489 ha is located within Production Forest (HP) and Limited Production Forest (HPT). Based on the work plan of the mine, technical considerations of the Mining and Energy Services of East Kalimantan Province and recommendations given by the Governor of East Kalimantan that can be requested by the DS to lease is 7,377.7 ha. The location of IUP is located between 115019’03,90”- 1150 28’17,04” East Longitude and 0014’59,35 “ - 0018’13,3” South Latitude, located in Lingau Village, Nyuatan Subdistrict, Kutai Barat District, East Kalimantan Province.

DS dikategorikan sebagai tidak tumpang tindih (clear and clean).
ii. Lingkungan Hidup
• Keputusan Kepala Dinas Pertambangan dan Lingkungan Hidup Kabupaten Kutai Barat No.660.1/019.b/KA - ANDAL/IX/2008 tentang Kesepakatan Kerangka Acuan Analisis Dampak lingkungan Hidup (KA-ANDAL) Kegiatan Pertambangan Batubara PT Delta Samudra Kecamatan Nyuatan Kabupaten Kutai Barat, Propinsi Kalimatan Timur yang diterbitkan tanggal 10 September 2008 oleh Pemerintah Kabupaten Kutai barat Dinas Pertambangan dan Lingkungan Hidup.
• Persetujuan Analisis Dampak Lingkungan Hidup (ANDAL) PT Delta Samudra oleh Kepala DinasPertambangan dan Lingkungan Hidup/Ketua Komisi Amdal. Daerah Kabupaten Kutai Barat No.660.1/014d/KL-X 2008, tanggal 24 Oktober 2008 sebagaimana telah direvisi untuk penyesuaian dengan IUP Eksplorasi No. 540.I/
K392/HK/IV/2010 tanggal 17 Oktober 2010 yang telah disahkan oleh Kepala Badan Lingkungan Hidup Kabupaten Kutai Barat.
• Persetujuan Rencana Pengelolaan Lingkungan Hidup (RKL) PT Delta Samudra oleh Kepala Dinas Pertambangan dan Lingkungan Hidup/Ketua Komisi AMDAL Kabupaten Kutai Barat No.660.1/014d/KL-X 2008, tanggal 24 Oktober 2008.

• Wilayah konsesi IUP DS yang memerlukan pengurusan IPPKH adalah 7.377,7 Ha, yang terletak pada kawasan Hutan Produksi dan Hutan Produksi Terbatas di Kabupaten Kutai Barat Provinsi Kalimantan Timur. Luas area yang saat ini sedang dalam proses permohonan IPPKH adalah sebesar 2.569,37 Ha (“Lahan Tahap I”), dan atas sisa lahan sebesar 4.808,33 Ha, PT DS akanmengajukan permohonan segera setelah Lahan Tahap I telah mulai berproduksi. Sehubungan dengan proses IPPKH tersebut, Manajemen DS berkeyakinan dapat memperoleh IPPKH tersebut.

Central Government
• The concession area of IUP DS which requiresto propose IPPKH is 7,377.7 Ha, located in Production Forest and Limited Production Forest in Kutai Barat District, East Kalimantan Province. The total area currently under proposed IPPKH is 2,569.37 Ha (“Phase I Land”), and for the remaining land of 4,808.33 Ha, PT DS will submit its proposal as soon as the Phase I Land has started producing. In connection with the IPPKH process, DS Management believes that IPPKH can be obtained.
• Dalam rangka proses IPPKH tersebut, DS telah memperoleh Rekomendasi Gubernur, Pertimbangan Teknis ESDM, serta telah melewati proses telaahan dan pertimbangan teknis Dirjen Planologi Kehutanan.
Saat ini sedang dalam penyusunan dan penyampaian pertimbangan teknis dirjen bina usaha kehutanan, setelah melalui tahap ini maka proses selanjutnya adalah persetujuan menteri terkait dengan penerbitan persetujuan prinsip penggunaan kawasan hutan dan IPPKH.
• In the framework of the IPPKH process, DS has obtained the Recommendation of the Governor, ESDM Technical Considerations, and has passed the review process and technical considerations of the Directorate General of Forestry Planning. Currently, it is in the preparation and submission of technical considerations of the Directorate General of Forestry Business, after going through this stage, the next process is the agreement related to the issuance of principle approval of the use of forest area and IPPKH.
