DASAR HUKUM PEMBENTUKAN[G4-7]
Pupuk Kaltim didirikan pada 7 Desember 1977 berdasarkan Keputusan Menteri Hukum dan Hak asasi Manusia republik indonesia nomor: aHU- 80094.aH.01.02. Pada 31 Oktober 2008, anggaran Dasar Perusahaan disesuaikan dengan Undang- Undang nomor 40 tahun 2007 tentang Perseroan terbatas dengan akta Pendirian Perseroan terbatas Pt Pupuk Kalimantan timur nomor 15 yang
ditetapkan pada 3 Maret 1979.
KEPEMILIKAN SAHAM[G4-7]
Pupuk Kaltim merupakan Perusahaan tertutup. Pada 23 Juni 2011, Perseroan menyelenggarakan rUPsLB dengan keputusan sebagai berikut:
1. Menyetujui penambahan Modal Ditempatkan atau Disetor yang berasal dari kapitalisasi bagian saldo laba ditahan sebesar rp1,75 triliun sehingga Modal Ditempatkan atau Disetor Perseroan ditetapkan menjadi rp3,41 triliun. 2. Menyetujui peningkatan Modal Dasar Perseroan
menjadi rp13,66 triliun.
3. Dari modal dasar tersebut ditempatkan dan diambil bagian serta telah disetor penuh oleh: a. Pt Pupuk sriwidjaja (Persero) selaku
pemegang 6,83 miliar lembar saham atau dengan nilai nominal sebesar rp3,41 triliun yang telah ditempatkan dan disetor penuh dalam Perseroan,
b. Yayasan Kesejahteraan Hari tua Pupuk Kaltim selaku pemegang 72.940 lembar saham atau dengan nilai nominal sebesar rp36,47 juta yang telah ditempatkan dan disetor penuh dalam Perseroan.
Perubahan struktur permodalan ini telah dituangkan dalam akta notaris nomor 17 tanggal 23 Juni 2011 dari Lumassia, sH, notaris di Jakarta. Berdasarkan Keputusan Pemegang saham Perusahaan Perseroan (Persero) Pt Pupuk sriwidjaja di luar rUPs tentang Perubahan nama dan anggaran Dasar Persero Pt Pupuk sriwidjaja nomor sK-155/MBU/2012 tanggal 30 Maret 2012 dan Keputusan Menteri Hukum dan Hak asasi Manusia ri nomor aHU- 17695.aH.01.02 tahun 2012 tanggal 5 april 2012 tentang Persetujuan Perubahan anggaran Dasar Perseroan, maka identitas Pemegang saham Pupuk Kaltim yang sebelumnya Pt Pupuk sriwidjaja (Persero) berubah menjadi Pt Pupuk indonesia (Persero), pada 18 april 2012 di Jakarta.

Ahu-80094.Ah.01.02. on 31 october 2008, the Articles of Association was amended to comply with law no. 40/2007 on limited liability Companies with the Deed of establishment of limited liability Company of pt pupuk Kalimantan timur no. 15 stipulated on 3 March 1979.

pupuk Kaltim is a private limited liability company. on 23 June 2011 the Company held extraordinary General Meeting of Shareholders, which resulted in the following resolution:
1. Approval of the addition to Fully issued and paid-in Capital by capitalizing retained earning armounting to Rp1.75 trillion, so that the
Company’s Fully paid/paid-in Capital amounted to Rp3.41 trillion,
2. Approval of the increase of the Authorized Capital of the Company to the amount of Rp13.66 trillion.
3. out of the authorized capital, the following has been issued and fully paid by:
a. pt pupuk Sriwidjaja (persero) as the holder of 6.83 billion shares or equivalent to Rp3.41 trillion, fully issued and paid in the Company.
b. yayasan Kesejahteraan hari tua of
pupuk Kaltim as the holder of 72,940 shares or equivalent to Rp34.67 million, fully issued and paid in the Company.
the change in capital structure have been stated in the notarial Deed no. 17 on 23 June 2011 drawn by lumassia S.h., a notary in Jakarta. based on the resolution of the Shareholders of pt pupuk Sriwidjaja (persero) outside of the General Meeting of Shareholders on the Change of name and Articles of Assocition of pt pupuk Sriwidjaja (persero) no. SK-155/Mbu/2012 dated 30 March 2012 and the Decree of the Minister of Justice and human Rights of the Republic of indonesia no.
