Dalam kegiatan usahanya, Perusahaan mengoperasikan toko dengan menggunakan
merek ”Watsons”. Perusahaan diwajibkan oleh
pemilik lisensi untuk memenuhi standar tertentu
terkait dengan penggunaan nama ”Watsons”
untuk menjaga keunikan dan reputasi merek dagang.
In the normal course of business, the Company
operates stores using the “Watsons” brand name.
The Company is required by the license owner to conform to certain standards in association with
the use of the “Watsons” name in order to ensure
distinctiveness and reputation of the trademark.
Pada bulan Februari 2012, Perusahaan mengadakan perjanjian Trade Mark and License
Agreement dengan ASWHBCE, Belanda.
Perjanjian ini memberikan Perusahaan hak
untuk menggunakan nama merek ”Watsons”
dan berlaku sampai dengan diakhiri. Perusahaan dikenakan beban royalti sebesar persentase tertentu dari penjualan bersih.
In February 2012, the Company entered into Trade Mark and License Agreement with ASWHBCE, the Netherlands. This agreement grants the Company the right to use the
“Watsons” brand name and is valid until its being
terminated. Accordingly, the Company is subject to royalty fees of certain percentage of the net sales.

Personil manajemen kunci didefinisikan sebagai individu yang memiliki otoritas dan tanggung jawab untuk perencanaan, kepemimpinan, pelaksanaan/pengendalian aktivitas keuangan dan operasi dari suatu entitas, secara langsung maupun tidak langsung, terdiri dari komisaris dan dewan direksi dan kepala departemen Perusahaan.
Key management personnel are defined as those persons having authority and responsibility for planning, directing and executing/controlling the activities of the financial and operating of an entity, directly or indirectly, comprised of commissioners and board of directors and heads of department of the Company.

22. KOMITMEN DAN KONTIJENSI 22. COMMITMENTS AND CONTINGENTS
Perusahaan menyewa kantor, gudang dan ruangan untuk toko di beberapa pusat perbelanjaan. Perjanjian sewa tersebut tidak dapat dibatalkan. Periode sewa berkisar dari 2-5 tahun. Pembayaran dilakukan melalui pembayaran dimuka untuk sejumlah periode tertentu dan selanjutnya melalui pembayaran bulanan yang dibayarkan dimuka. Perusahaan juga membayar uang jaminan yang dapat dikembalikan pada akhir masa sewa. Beban sewa yang dicatat sebagai beban usaha adalah sebesar Rp 37.563.306 pada tahun 2015 (2014: Rp 32.573.972 dan 2013: Rp 20.885.038).
The Company leases office, warehouses and space for stores in several shopping centres. The lease agreements are non-cancellable. The lease period are ranging from 2-5 years. Payment is made through down payment in certain periods and the remaining are settled monthly in advance. The Company also paid security deposits which is refundable at the end of the lease terms. Rental expense charged to operating expenses amounted to Rp 37,563,306 in
2015 (2014: Rp 32,573,972 and 2013:
Rp 20,885,038).
