5. Representations and Warranties
5.1 Power

and warrant to the Council and to each other that:(a)
it is an individual orcorporation validly existing

action to authorise execution,delivery
andperformance
of thisDeed;

this Deed is valid andbinding
upon it and is enforceableagainst

if it is acorporation
- that noapplication
or order has been made for thewinding
upor
liquidation
of it, no action has been taken to seize or takepossession
of any of its assets, there are no unsatisfiedjudgments against
it and it is able to pay its debts as and whenthey

Deed,

or document executed or effected under thisDeed,
unless this Deedprovides

Existing Developer
and the NewDeveloper
arejointly
andseverally responsible
forCouncil’s reasonable
legal
costs in relation to thenegotiation, preparation
and execution of thisDeed,
but are not otherwise liable for the Council’s costs in relation to the:(a) performance,
amendment orregistration of,
or any consentgiven
or made; and(b)
theperformance
of any actionby
thatparty
incompliance
with anyliability arising,
under this
Deed,
or anyagreement
or document executed or effected under thisDeed,
unless this Deedprovides
otherwise.GST
If any
payment
madeby
oneparty
to any otherparty
under orrelating
to this Deedconstitutes consideration for a taxable
supply
for the purposes of GST or any similar tax, the amount to bepaid
for thesupply
will be increased so that the net amount retainedby
thesupplier
afterpayment
of that GST is the same as if thesupplier
was not liable to pay GST inrespect
of thatsupply.
Thisprovision
issubject
to any otheragreement regarding
the
payment
of GST onspecific supplies,
and includespayments
forsupplies relating
to the breach or terminationof,
and indemnitiesarising
from, this Deed.6.4 Duties
(a)
The NewDeveloper
mustpromptly,
within the initialapplicable period prescribed by
law, pay anyduty payable
in relation to theexecution, performance
andregistration
of this
Deed,
or anyagreement
or document executed or effected under this Deed.(b)
The NewDeveloper
indemnifies Council and theExisting Developer against
any loss incurredby
any otherparty
in relation to anyduty specified
in thisprovision,
whether
through
defaultby
the NewDeveloper
under thisprovision
or otherwise.6.5
Assignment
A
party
must not transfer anyright
orliability
under this Deed without theprior
consent of each otherparty, except
where this Deedprovides

Counterparts

Party acting
as trusteeI
If a

enters into this Deed as trustee of a trust, thatparty
and its successors as trustee of the trust will be liable under this Deed in its ownright
and as trustee of the trust.Nothing
releases the
party
from anyliability
in itspersonal capacity.
Theparty
warrants that at the date of this Deed:I
(a)
all the powers and discretions conferredby
the deedestablishing
the trust arecapable
ofbeing validly
exercisedby
theparty
as trustee and have not been variedor revoked and the trust is a valid and
subsisting
trust;I (b)
theparty
is the sole trustee of the trust and has full and unfettered power under the terms of the deedestablishing
the trust to enter into and be boundby
this Deed onbehalf of the trust and that this Deed s
being
executed and entered into aspart
of the due and proper administration of the trust and for the benefit of thebeneficiaries of the trust; and
I
(c)
no restriction on theparty’s right
ofindemnity
out of or lien over the trust’s assets exists or will be created orpermitted
to exist and thatright
will havepriority
over theright
of the beneficiaries to the trust’s assets.I
I 7. Definitions and interpretation

claims of any nature, costs and expenses.I

Agreement
means thevoluntary planning agreement
between the Council and theExisting Developer

a copy of which is annexed to this Deed as Annexure A.Deed means this Deed and includes any Annexures to this Deed.
Effective Date means the date upon which the
Existing Developer provides
the NewDeveloper
with aninstrument,
inregistrable form,
that(when registered)
will effect the transfer of the title to the land from theExisting Developer
to the NewDeveloper.
GST means any tax,
levy, charge
orimpost implemented
under the A New TaxSystem (Goods
and ServicesTax)
Act(GST Act)
or an Act of the Parliament of the Commonwealth of Australiasubstantially
in the formof,
or which has a similar effectto,
the GSTAct;
Liabilities include all liabilities
(whether actual, contingent
orprospective), losses, damages,
costs and expenses of whateverdescription.
Rights
andObligations
means all of therights,
benefits andobligations imposed
orconferred on the
Existing Developer by
theAgreement.
Interpretation
In this Deed unless the context otherwise
requires:
