KESINAMBUNGAN PENAMBANGAN TIMAH Dl PROVINSI BANGKA
BELITUNG
Direktorat Jenderal Mineral dan Batubara, yang diwakili oleh Direktur Teknik dan Lingkungan, atau "DJMB", dan lnstitut Federal Geosains dan Sumber Daya Alam, diwakili oleh Presidennya atau " BGR" , secara individual akan disebut sebagai "Pihak" dan keduanya secara kolektif disebut sebagai "Para Pihak",
MENGACU pada hukum dan peraturan Para Pihak yang berlaku;
telah menyetujui ketentuan sebagai berikut:
PASAL1 TUJUAN
(1) Tujuan MSP ini, selanjutnya disebut sebagai "MSP ", adalah untuk menciptakan kerangka administratif antara Para Pihak terkait seputar

pertukaran kerjasama percontohan menyangkut kesinambungan Penambangan Timah di Provinsi Bangka Belitung.
(2) Tujuan khusus dari pertukaran kerjasama percontohan ini adalah untuk mendukung pengembangan pengetahuan dan jaringan untuk bisa menerapkan teknik terbaik di lokasi reklamasi tambang timah antara para pemangku kepentingan Indonesia yang cakap.
PASAL2 DASAR KERJASAMA
MSP ini bukan dimaksudkan untuk menciptakan kewajiban yang mengikat secara hukum, tidak mengandung segala persyaratan yang menjadikannya efektif sebagai kesepakatan, dan hanyalah sebuah ekspresi dari niat baik Para Pihak.
PASAL 3 AREA KERJASAMA
Untuk mencapai tujuan yang ditetapkan dalam Pasal 1, Para Pihak bersama-sama akan melakukan, sesuai dengan hukum dan peraturan yang berlaku di Indonesia, pertukaran kerjasama percontohan Penambangan Timah yang berkelanjutan dengan berfokus pada teknik terbaik reklamasi daerah bekas pertambangan timah untuk mendukung kelestarian lingkungan dan sosial-ekonomi di Provinsi Bangka Belitung.
PASAL 4 BADAN PELAKSANA
(1) DJMB menunjuk Direktorat Teknik dan Lingkungan Mineral dan Batubara, yang selanjutnya disebut DTL sebagai badan pelaksana dari MSP ini.
(2) BGR menunjuk Unit Pertambangan dan Ketahanan Geologi Departemen Sumber Daya Mineral, selanjutnya disebut BGR, sebagai badan pelaksana
MSP ini.
PASAL 5 NOTA KONSEP
(1) Untuk pelaksanaan kegiatan yang termaktub dalam MSP ini, konsep implementasi harus dijabarkan dalam bentuk tertulis melalui nota konsep. Nota konsep harus setidaknya memberikan informasi tentang kegiatan dan metodologi masing-masing, jadwal indikatif kegiatan yang luas, dan keterlibatan
Para Pihak ketiga sebagai mitra pelaksanaan (kontrak).
(2) Nota konsep harus disetujui oleh Para Pihak. Nota konsep itu akan disertakan dalam lampiran pada MSP ini.
PASAL 6 LOKASI
(1) Sebuah situs percontohan di Provinsi Bangka Belitung harus dipilih untuk demonstrasi lapangan dan survei yang berkaitan dengan Pertukaran Kerjasama Percontohan.
(2) Lokasi situs percontohan harus dipilih berdasarkan persetujuan bersama oleh Para Pihak sesuai dengan kriteria seleksi tertentu.

a. DJMB akan memberikan dukungan administratif berupa surat kepada Pemerintah Provinsi Bangka Belitung dan Pemegang lzin Usaha
Pertambangan untuk lokasi yang dipilih.

b. DJMB harus mengelola koordinasi dengan Pemerintah Provinsi Bangka
Belitung dan melakukan pengawasan dan memberikan bantuan yang
diperlukan bersama dengan Pemerintah Provinsi Bangka Belitung yang
berlaku untuk Pertukaran Kerjasama Percontohan.
c. DJMB akan memberikan informasi latar belakang yang relevan dan saran
untuk BGR dalam rangka untuk memastikan bahwa kegiatan yang dilakukan
sesuai dengan hukum dan peraturan negara Republik Indonesia yang
berlaku.
(2) Untuk BGR:
a. BGR akan memfasilitasi pelaksanaan kegiatan yang disetujui berdasarkan
nota konsep yang berlaku. Untuk tujuan ini, BGR bisa mengontrak pihak
ketiga di Indonesia. Keputusan untuk memberikan kontrak kepada pihak ketiga merupakan kebijakan penuh BGR dan akan mengacu pada peraturan lelang Jerman. Setiap saat, BGR dapat memutuskan untuk melaksanakan
atau mendukung kegiatan apapun melalui stafnya sendiri, bukan melalui
pihak ketiga yang dikontrak.
b. Pendanaan untuk pelaksanaan kegiatan, baik kegiatan oleh staf BGR serta
kegiatan yang dilaksanakan oleh pihak ketiga yang dikontrak atas nama
BGR, harus disediakan oleh BGR. BGR telah mencadangkan hingga 80.000
EUR per tahun untuk melaksanakan kegiatan tersebut. Keputusan untuk
mobilisasi dana hingga jumlah ini merupakan kebijakan penuh BGR.
Mobilisasi dana tergantung ketersediaan umum mereka serta evaluasi BGR
untuk jadwal dan kemajuan Pertukaran Kerjasama Percontohan.
c. Jika diminta, BGR wajib memberitahukan DJMB semua informasi yang
diperlukan dari pihak ketiga I pihak sebelum mekanisme tender I janji temu
oleh BGR.
d. Jika ada keberatan I pertanyaan muncul dari DJMB mengenai niat BGR untuk mengontrak pihak ketiga lbeberapa pihak lain, hendaknya dilakukan melalui konsultasi.
(3) Untuk kedua Pihak:
Para Pihak akan menyediakan akses bersama untuk penyediaan dokumen,
informasi dan data yang sesuai untuk memajukan pelaksanaan MSP ini. Relevan
untuk keberhasilan pelaksanaan kegiatan yang disepakati, pertukaran informasi juga meliputi pihak ketiga yang dikontrak oleh BGR seperti dijelaskan di atas.
PASAL 8
HAK ATAS KEKAYAAN INTELEKTUAL
Setiap properti intelektual yang timbul dalam pelaksanaan MSP ini akan dimiliki bersama dan :
a. Setiap Pihak diizinkan untuk menggunakan kekayaan intelektual tersebut untuk tujuan memelihara, mengadaptasi dan memperbaiki properti yang relevan.
b. Setiap Pihak bertanggung jawab atas setiap klaim yang dibuat oleh pihak ketiga yang berkaitan dengan kepemilikan atau legalitas penggunaan hak kekayaan intelektual yang dibawa oleh Para Pihak untuk pelaksanaan
kegiatan kerjasama pada MSP ini.
PASAL 9
PERJANJIAN TRANSFER MATER!
Sampel diperoleh dari survei lapangan terkait dengan Kerjasama Pertukaran
Percontohan tidak boleh dibawa keluar dari Indonesia dan harus diperiksa di
Indonesia untuk tujuan evaluasi.
PASAL10 KERAHASIAAN
(1) Setiap Pihak akan berusaha untuk menjaga konfidelitas dan kerahasiaan dokumen, informasi dan data lainnya yang diterima atau disalurkan langsung atau tidak langsung kepada Pihak lain berdasarkan MSP ini atau perjanjian
(2) Ketentuan-ketentuan Pasal ini akan terus mengikat antara Para Pihak bahkan sampai berakhirnya MSP ini.
(3) Jika salah satu Pihak berkeinginan untuk mengungkapkan data dan I atau
informasi yang timbul dari kegiatan kerjasama pada MSP ini kepada pihak ketiga yang bersifat rahasia, Pihak yang mengungkapkan harus memperoleh persetujuan terlebih dahulu dari Pihak lain sebelum pengungkapan dapat dibuat.
(4) Setiap Pihak akan mengusahakan data atau informasi relevan yang harus dibagi di antara peserta Kerjasama Pertukaran Percontohan sebagaimana didefinisikan dalam nota konsep di mana ini diperlukan untuk memajukan tujuan Kerjasama Pertukaran Percontohan seperti yang disebutkan dalam Pasal 1.
(5) Ketentuan Pasal ini tidak akan merugikan hukum dan peraturan masing-masing negara Pihak yang berlaku.
PASAL11
BATASAN KEGIATAN PERSONAL
BGR menjamin bahwa kegiatan mereka dan staf yang ditugaskan pada status resmi pada MSP ini akan menghormati kemandirian politik, kedaulatan, dan integritas wilayah negara tuan rumah, dan akan menghindari kegiatan yang tidak konsisten dengan maksud dan tujuan MSP ini.
PASAL12
STATUS PERALATAN DAN PENDUKUNG MATERI
(1) Peralatan dan materi yang disediakan I dibeli oleh atau atas nama BGR untuk mendukung pelaksanaan Kerjasama Pertukaran Percontohan harus digunakan
semata-mata untuk tujuan pelaksanaan Kerjasama Pertukaran Percontohan.
(2) Setelah penyelesaian proyek, pembuangan materi harus dibahas oleh Para Pihak.

i(3) Yang dimaksudkan sebagai serah terima materi dan peralatan harus didokumentasikan dalam Penyerahan Berita Acara sesuai dengan hukum dan peraturan Indonesia.
PASAL13 DOMISILI
(1) DJMB berdomisili di Jl. Prof. Dr. Supomo No. 10, RT.1/RW.3, Menteng Dalam, Tebet, Kota Jakarta Selatan, Daerah Khusus lbukota Jakarta 12870, Indonesia.
(2) BGR berdomisili di Geozentrum Hannover, Stilleweg 2, 30655 Hannover,
Jerman
(3) Jika terjadi pertukaran alamat atau domisili, setiap Pihak harus memberitahukan Pihak lain.
PASAL14
PENYELESAIAN PERSELISIHAN
Setiap perselisihan yang timbul sehubungan dengan interpretasi pelaksanaan MSP
ini harus diselesaikan secara damai melalui konsultasi atau negosiasi atas dasar saling pengertian dan itikad baik antara Para Pihak.
PASAL15 AMANDEMEN
(1) Amandemen atau revisi MSP ini akan dilakukan setelah konsultasi dan kesepakatan bersama secara tertulis oleh Para Pihak.
(2) Amandemen tersebut merupakan bagian yaflg tidak terpisahkan dari MSP ini
PASAL16
BERLAKUNYA PERSETUJUAN, JANGKA WAKTU, DAN BERAKHIRNYA PERSETUJUAN
(1) MSP ini mulai berlaku pad a tanggal penandatanganan terakhir dan akan tetap berlaku selama 2 (dua) tahun, kecuali salah satu Pihak memberikan pemberitahuan tertulis kepada Pihak lain perihal keinginannya untuk mengakhiri atau memperpanjang MSP ini dengan memberikan pemberitahuan sembilan puluh (90) hari sebelumnya.
(2) Pengakhiran MSP ini tidak akan mempengaruhi penyelesaian setiap kegiatan yang sedang berlangsung terkait dengan pelaksanaan kontrak Pihak Ketiga terkait dengan MSP ini sampai masing-masing kontrak selesai, atau sampai disepakati oleh Para Pihak secara tertulis.

AND
THE FEDERAL INSTITUTE FOR GEOSCIENCES AND NATURAL
RESOURCES OF
THE FEDERAL REPUBLIC OF GERMANY
ON
PILOT COOPERATION EXCHANGE ON THE SUSTAINABILITY OF
TIN MINING IN BANGKA BELITUNG PROVINCE
Directorate General of Mineral and Coal, represented by Director of Technique and Environment, or " DGMC", and the Federal Institute for Geosciences and Natural
Resources, represented by its President, or" BGR", individually shall be referred as
"Party" and collectively as 'The Parties",
PURSUANT to to the prevailing laws and regulations of the Parties;
have agreed as follows:
ARTICLE 1 OBJECTIVE
(1) The objective of this Memorandum of Understanding, hereinafter referred to as the "MOU", is to establish an administrative framework between the Parties
related to a Pilot Cooperation Exchange on the Sustainability of Tin Mining in Bangka Belitung Province.
(2) The specific objective of the Pilot Cooperation Exchange is to support knowledge building and networking on best practice in tin mine site reclamation among Indonesian expert stakeholders.
ARTICLE 2
NATURE OF COOPERATION
This MOU is not intended to create any legally binding obligations, does not contain all the terms to be effective as an agreement, and is merely an expression of the good intentions of the Parties.
ARTICLE 3
AREA OF COOPERATION
To achieve the objective set forth in Article 1, the Parties will jointly conduct, in
accordance with the prevailing laws and regulations in Indonesia, the Pilot
Cooperation Exchange on the Sustainability of Tin Mining with a focus on best
practice in reclamation of ex-tin mining areas in order to support its environmental
and socio-economic sustainability in Bangka Belitung Province.
ARTICLE 4
EXECUTING AGENCIES
(1) DGMC appoints the Directorate of Technique and Environment of Mineral and
Coal, hereinafter referred to as DTE as executing agencies of this MOU.
(2) BGR appoints the Mining and Sustainability Unit of the Geology of Mineral
Resources Department, hereinafter referred to as BGR, as executing agency of
this MOU.

ARTICLE 5 CONCEPT NOTE
(1) For implementation of activities falling under this MOU, an implementation concept shall be elaborated in written form through concept notes. Concept notes shall at least provide information on activities and their respective
methodology, a broad indicative schedule of activities, and involvement of third Parties as implementation (contract) partners.
(2) Concept notes shall be approved by the Parties. They shall be considered as
attachments to this MOU.
ARTICLE 6 LOCATION
(1) A pilot site in Bangka Belitung Province shall be selected for field
demonstrations and surveys related to the Pilot Cooperation Exchange.
(2) The location of the pilot site shall be selected based on mutual consent by the
Parties according to specific selection criteria.
(1) For DGMC:
ARTICLE 7 RESPONSIBILITIES
a. DGMC shall provide administrative support in the form of letter(s) to the Provincial Government of Bangka Belitung and the Mining Permit Holder for the use of land as a pilot site at the selected location.
b. DGMC shall manage coordination with the Provincial Government of Bangka Belitung and conduct supervision and provide necessary assistance along with the Provincial Government of Bangka Belitung as applicable for the Pilot
Cooperation Exchange.
c. DGMC shall provide relevant background information and advice to BGR in
order to ensure that activities are conducted in accordance with the
prevailing laws and regulations of the Republic of Indonesia. (2) For BGR:
a. BGR shall facilitate implementation of agreed activities based on the
Indonesia. The decision to award any contracts to third parties is at the full discretion of BGR and will be based on German tender regulations. At any time, BGR may decide to implement or support any activities through its own staff, rather than via contracted third parties.
b. Funding for implementation of activities, both activities by BGR staff as well as activities implemented by contracted third parties on behalf of BGR, shall be made available by BGR. BGR has reserved an amount of up to 80,000 EUR per year for implementing any such activities. The decision for mobilization of any funds up to this amount is at the full discretion of BGR. Mobilization of funds is subject to their general availability as well as BGR's evaluation of schedule and progress of the Pilot Cooperation Exchange.
c. If requested, BGR shall inform DGMC all necessary information of the third party/parties prior to the tender mechanism/appointment by BGR.
d. If any objection/question arises from DGMC regarding the intention of BGR to contract third party/parties, it shall be conducted through consultation.
(3) For both Parties:
The Parties shall provide mutual access to documents, information and data as appropriate to further the implementation of this MOU. Where relevant for successful implementation of agreed activities, exchange of information shall also
include third parties contracted by BGR as defined above.
ARTICLE 8
INTELLECTUAL PROPERTY RIGHTS
Any intellectual property arising under the implementation of this MOU will be jointly owned, and:
a. Each Party will be allowed to use such intellectual property for the purpose of maintaining, adapting and improving the relevant property.
b. Each Party will be liable for any claim made by any third party pertaining to the ownership of or the legality of the use of the intellectual property rights brought by The Parties for the implementation of any cooperative activities under this MOU.
ARTICLE 9
MATERIAL TRANSFER AGREEMENT
(1) Samples obtained from any field surveys related to the Pilot Cooperation Exchange shall not be taken out of Indonesia and shall be examined in Indonesia for evaluation purposes.
ARTICLE 10 CONFIDENTIALITY
(1) Each Party will undertake to observe the confidentiality and secrecy of documents, information and other data received or supplied directly or indirectly to the other Party under this MOU or any other agreements made pursuant to this MOU.
(2) The provisions of this Article will continue to be binding between the Parties notwithstanding the termination of this MOU.
(3) If either Party wishes to disclose confidential data and/or information arising from the cooperative activities under this MOU to any third party, the disclosing Party must obtain prior consent from the other Party before any disclosure can be made.
(4) Each Party will undertake that relevant data and/or information shall be shared among participants of the Pilot Cooperation Exchange as defined in the concept note(s) where this is required to further the objectives of the Pilot Cooperation
Exchange as referenced in Article 1.
(5) The provisions of this Article will not prejudice the prevailing laws and
regulations of the Party's respective country.
ARTICLE 11
LIMITATION OF PERSONNEL ACTIVITIES
BGR assures that its activities and staff assigned to official status under this MOU will respect the political independence, sovereignty, and territorial integrity of the host country, and will avoid any activities inconsistent with the purposes and objectives of this MOU.
ARTICLE 12
STATUS OF EQUIPMENT AND MATERIALS SUPPORTER
(1) Equipment and materials provided/purchased by or on behalf of BGR to support the implementation of the Pilot Cooperation Exchange shall be used solely for the purpose of implementation of the Pilot Cooperation Exchange.
(2) After the completion of the project, disposal of materials should be discussed by the Parties.
(3) The said handing over of the materials and equipment shall be documented in Handing Over Minutes in accordance with Indonesian Jaws and regulations.
ARTICLE 13 DOMICILE
(1) DGMC is domiciled at Jl. Prof. Dr. Supomo No. 10, RT.1/RW.3, Menteng Dalam, Tebet, Kota Jakarta Selatan, Daerah Khusus lbukota Jakarta 12870, Indonesia.
(2) BGR is domiciled at Geozentrum Hannover, Stilleweg 2, 30655 Hannover,
Germany.
(3) If any change occurs in address or domicile, each Party shall inform the other
Party.
ARTICLE 14
SETTLEMENT OF DIFFERENCES
Any differences arising in relation to the interpretation of implementation of this MOU shall be settled amicably by consultation or negotiation on the basis of mutual understanding and goodwill between the Parties.
ARTICLE 15 AMENDMENT
(1) Any amendment or revision of this MOU shall be made after consultation and in mutual agreement in writing by the Parties.
(2) Such amendment shall constitute an integral part of this MOU and shall come into force on the date as may be determined upon by the Parties.
ARTICLE 16
ENTRY INTO FORCE, DURATION AND TERMINATION
(1) This MOU shall enter into force on the date of the last signature and shall
remain in force for 2 (two) years, unless either Party gives written notification to the other Party of its intention to terminate or extend this MOU with ninety (90)
days prior notice.
(2) The termination of this MOU shall not affect the completion of any on-going
activities related to third-Party contract implementation associated with this
MOU until the respective contract has been completed, or as mutually agreed
by the Parties in writing.
