Green operation mengandung implikasi bahwa setiap manajemen

kawasan dan gedung Bakrieland mengoperasikan unit-unitnya dengan ramah lingkungan. Hal ini diwujudkan dalam bentuk program pengelolaan sampah dan limbah, pengelolaan dan penggunaan kembali air, serta efisiensi energi.

Green operation refers to efforts in which every Bakrieland site and building management operates all units by applying an eco-friendly approach. This is manifested in forms of such programs as garbage and waste treatment, waste and reuse water treatment, and energy efficiency.

Green attitude merujuk kepada budaya perusahaan yang dituntun ke arah nilai yang peduli terhadap lingkungan dan semua pemangku kepentingannya, termasuk terhadap sosial ekonomi masyarakat atau pengembangan program dari community development. Program yang dijalankan berdimensi sosial, budaya dan ekonomi.

Green attitude refers to the corporate culture steered towards values of greater concern for the environment and for the interests of all stakeholders including social and economic aspects of the people or the community development-based programs. Programs implemented have social, cultural, and economic dimensions.

Green architecture mengandung arti bahwa semua produk Bakrieland dirancang secara ramah lingkungan, baik dalam hal perancangan area hijau maupun bangunan dan konstruksinya. Meskipun mentargetkan sekurangnya 20% pengembangan kawasan sebagai ruang terbuka hijau, realisasi pada beberapa proyek Bakrieland mencapai 45% - 70%.

Green architecture refers to all Bakrieland products designed to exemplify eco-friendliness, both in terms of green area design as well as building and construction. Although a minimum of 20% development area is targeted as open green area, realization in some of Bakrieland’s projects reaches 45% - 70%.

Bakrieland Goes Green adalah suatu konsep CSR yang terintegrasi,

yang menunjukkan komitmen perusahaan untuk mengintegrasikan

kepentingan ekonomi (profit), kepedulian sosial (people), dan partisipasi

aktif dalam menjaga kelestarian lingkungan (planet) pada operasi bisnis

untuk mewujudkan terciptanya pengembangan pemangku kepentingan

yang berkelanjutan dan lingkungan yang lestari.

Dalam jangka panjang, Bakrieland yakin bahwa CSR Terintegrasi

tidak saja akan memberikan kontribusi dan nilai tambah yang

positif bagi pertumbuhan Perusahaan yang berkelanjutan, namun

juga memberikan kesempatan bagi Perusahaan untuk berperan

dalam memecahkan masalah sosial, ekonomi, dan lingkungan yang

terintegrasi dengan strategi bisnis perusahaan, serta pada saat yang

bersamaan membangun citra dan reputasi Perusahaan yang positif

dalam mewujudkan terciptanya tata kelola perusahaan yang baik.

Bakrieland Goes Green integrated CSR concept demonstrates the Company’s commitment to integrate a balance between economic gain (profit), social empathy (people) and active participation in preserving the environment (planet) when running its business operations aimed at creating sustainable development of stakeholders and preservation of the environment.

Bakrieland memiliki model bisnis unik yang

Situasi pasar yang semakin kompetitif dan keinginan untuk mencapai kinerja yang lebih baik di masa depan menuntut Bakrieland untuk melakukan adaptasi dalam berbagai hal, salah satunya dalam hal struktur organisasi. Persiapan menuju restrukturisasi organisasi telah dilakukan pada akhir tahun 2009 dan direncanakan untuk diterapkan pada awal tahun 2010.

Struktur organisasi yang baru memiliki bentuk yang lebih mendatar, dengan masing-masing direktur bertanggungjawab atas satu bidang fungsi. Dampak dari perubahan ini, pelaksanaan kegiatan menjadi lebih terfokus dan pengambilan keputusan dapat dilakukan lebih cepat. Dengan cara inilah maka Bakrieland dapat meraih target pertumbuhan yang tinggi di tahun-tahun mendatang.

The increasingly competitive market situation and the desire to attain enhanced performance in the coming years require Bakrieland to adapt in various aspects, one of which concerns its organization structure. Preparations toward organization restructuring commenced in late 2009 and actual implementation is scheduled for early 2010.

The new organization hierarchy is moving towards a flat structure where each director shall be responsible for one functional area. As a consequence of this structural change, activity implementation becomes more focused and decisions made at a faster pace. These benefits will enable Bakrieland to attain high growth targets in the years to come.

Sumber daya manusia (SDM) merupakan kekuatan inti Bakrieland yang harus senantiasa dikembangkan. Kemampuan kepemimpinan para individu harus berintegrasi secara sinergi dan sejalan dengan bisnis, serta sesuai dengan target perusahaan.

Pengelolaan dan pengembangan SDM

secara terpadu dan terarah dilakukan melalui proses pemetaan dan penggalian kompetensi sebagai tahapan awal menuju paradigma human capital. Untuk itulah maka Bakrieland

melakukan revitalisasi, penyesuaian, dan

reorganisasi. Melalui proses ini, Perusahaan akan menempatkan SDM sebagai mitra strategis yang mengedepankan intelektualitas, bukan lagi sebagai ‘biaya’ melainkan sebagai sebuah aset yang bernilai tinggi, yaitu human capital.

Bakrieland’s core strength lies in its human resource which undergoes consistent development. The leadership capacity of individuals must mesh harmoniously and accordingly with the line of business and company targets.

An integrated and focused human resource management and development is carried out through a mapping process and competency enrichment as the initial phase towards a human capital paradigm. To bring this to fruition, revitalization, re-tool and reorganization therefore become imperative. This process will in turn elevate human resource into a strategic partner that brings intellectuality to the fore, no longer treating it merely as an ‘expense’ but as a high value asset known as human capital.

PT Bakrieland Development Tbk adalah perusahaan pengembang kawasan terpadu di Indonesia yang bergerak dalam pembangunan properti dan proyek-proyek infrastruktur terkait properti. Pada awalnya, Perusahaan didirikan dengan nama PT Purilestari Indah Pratama pada Juni 1990, kemudian berganti nama menjadi PT Elang Realty pada Desember 1994, sebelum menjadi PT Bakrieland Development Tbk pada tahun 1997.

Sebagai pengembang superblok pertama dan terbesar di kawasan bisnis utama Jakarta, yaitu Rasuna Epicentrum Kuningan, Bakrieland telah berhasil mengembangkan berbagai proyek properti perkotaan, kawasan perumahan, serta hotel dan resor kelas dunia di beberapa lokasi strategis dan bergengsi di Indonesia. Di tahun 2009, dengan keberhasilan menyelesaikan proyek jalan tol pertamanya yaitu ruas jalan tol Kanci-Pejagan sepanjang 35 km, yang menghubungkan Cirebon (Jawa Barat) dengan Brebes (Jawa Tengah), Bakrieland menjadi

Pada tanggal 9 Juli tahun 2009, Perusahaan menerbitkan obligasi syariah pertamanya, yaitu Sukuk Ijarah I Bakrieland Development Tahun 2009. Penerbitan sukuk tersebut adalah sebagai upaya Perusahaan untuk menerbitkan instrumen investasi yang memenuhi ketentuan syariah, sehingga dapat meningkatkan kerja sama dengan investor dari negara-negara Timur Tengah. Dana yang dihimpun dari penerbitan sukuk tersebut adalah sebesar Rp 150 miliar, yang terbagi menjadi dua seri yaitu Seri A sebesar Rp 60 miliar dan Seri B sebesar Rp 90 miliar yang akan jatuh tempo masing-masing pada tahun 2011 dan 2012. Cicilan imbalan Sukuk Ijarah Seri A adalah sebesar Rp 154,8 juta per Rp 1 miliar per tahun, sedangkan Seri B sebesar Rp 160 juta per Rp 1 miliar per tahun. Dana yang diperoleh dari penerbitan sukuk ini sebagian besar digunakan untuk mendukung pengembangan proyek Unit Usaha Landed Residential.

Sukuk Ijarah I Bakrieland mendapatkan peringkat idBBB+(sy) dari Pefindo. Peringkat ini mencerminkan kemampuan Perusahaan dalam membayar kembali kewajiban finansialnya.

Cicilan imbalan dari Sukuk Ijarah I Bakrieland dibayarkan secara triwulanan. Hingga saat ini Bakrieland senantiasa melakukan kewajiban cicilan imbalan secara tepat waktu.

Sukuk Issues

On 9 July 2009, the Company issued its first syariah-compliant bonds known as the Bakrieland Development Sukuk Ijarah I. The sukuk issue is part of Company efforts to offer an investment instrument that complies with syariah law aimed at increasing cooperation with investors from Middle Eastern countries. Funds accumulated from this sukuk issue amount to Rp 150 billion and are divided into two series where Series A amounts to Rp 60 billion and Series B amounts to Rp 90 billion, and the respective maturity dates will be in 2011 and 2012. Installments in ijarah return for Series A amount to Rp 154.8 million per Rp 1 billion each year, while the ijarah return for Series B totals Rp 160 million per Rp 1 billion each year. Funds obtained from this sukuk issue are mainly utilized for the development of projects undertaken by the Landed Residential Business Unit.

Sukuk Ijarah I was rated idBBB+(sy) by Pefindo. This rating reflects the Company’s ability to repay its financial obligations.

Return installment of its Sukuk Ijarah I is paid on a quarterly basis. To date, Bakrieland has made timely payment of ijarah return installment.

Pembelian Kembali Saham

Sebagai dampak dari krisis pada tahun 2008 yang mengakibatkan penurunan harga-harga saham secara signifikan, Bapepam-LK menerbitkan peraturan No. XI.B.3 tanggal 9 Oktober 2008 tentang Pembelian Kembali Saham Emiten atau Perusahaan Publik Dalam Kondisi Pasar Yang Berpotensi Krisis, yang memperbolehkan pembelian kembali saham dengan batasan-batasan tertentu, tanpa melalui persetujuan Rapat Umum Pemegang Saham (RUPS). Peraturan ini terutama bertujuan mengurangi dampak penurunan harga-harga saham lebih jauh. Berdasarkan peraturan tersebut, pada tanggal 14 Oktober 2008 Perusahaan telah mengajukan permohonan pembelian kembali saham selama masa 3 bulan dan melakukan permohonan perpanjangan periode pada tanggal 14 Januari 2009, 14 April 2009, 14 Juli 2009 dan 14 Oktober 2009. Jumlah maksimal dana yang dialokasikan dalam program pembelian kembali saham ini sebesar Rp 510 miliar dan jumlah saham yang dibeli kembali tidak melebihi 20% dari jumlah modal ditempatkan dan disetor penuh.

Dengan mempertimbangkan kondisi pasar dan perkembangan harga saham Perusahaan, pada tanggal 23 Desember 2009 Perusahaan telah melakukan pembelian kembali saham. Pada pembelian kembali saham tanggal 23 Desember 2009, jumlah saham yang dibeli kembali adalah 8.250.000 lembar dengan harga rata-rata pembelian Rp 181,4 per lembar saham. Untuk transaksi ini, Perusahaan telah melakukan keterbukaan informasi kepada Bursa Efek Indonesia pada tanggal 28 Desember 2009.

Perusahaan juga telah melakukan pembelian kembali saham pada tanggal 29 Desember 2009, sebanyak 5.000.000 lembar dengan harga rata-rata pembelian Rp 199 per lembar. Untuk transaksi ini, Perusahaan telah melakukan keterbukaan informasi kepada Bursa Efek Indonesia pada tanggal 30 Desember 2009.

Share Buyback

Due to the crisis impact in 2008 which prompted a significant drop in share prices, Bapepam-LK issued Regulation No. XI.B.3 dated 9 October 2008 on Issuer or Public Company Share Buyback in a Critical Market Condition which allows the repurchase of shares within certain limits without prior approval from the General Meeting of Stakeholders (GMS). This regulation was primarily intended to mitigate the worsening impact of plummeting share prices. Based on this regulation, on 14 October 2008 the Company has requested for stock repurchase within a 3-month period and extensions to 14 January 2009, 14 April 2009, 14 July 2009 and 14 October 2009. Maximum funds allocated for this share buyback program totaled Rp 510 billion and the amount of repurchased shares were not to exceed 20% of total issued and fully paid-in capital.

Taking into account market conditions and the Company share price developments, on 23 December 2009 the Company repurchased quantities of its shares. For the buyback carried out on 23 December 2009, some 8,250,000 shares were repurchased for an average buying price of Rp 181.4 per share. For this transaction, the Company ensured information transparency to the Indonesia Stock Exchange on 28 December 2009.

The Company has also performed buy back of shares on 29 December 2009 amounted to 5,000,000 shares with average purchase price of Rp 199 per share. For this transaction, the Company has given full information disclosure to the Indonesia Stock Exchange on 30 December 2009.

Peningkatan Modal di PT Bali Nirwana Resort

Seiring dengan pulihnya iklim pariwisata di pulau Bali semenjak tragedi bom Bali I dan bom Bali II, yang ditandai dengan jumlah wisatawan asing yang mencapai lebih dari 2 juta orang sepanjang tahun 2009, Perusahaan melakukan investasi yang lebih besar di pulau Bali dengan melakukan peningkatan modal pada PT Bali Nirwana Resort (BNR) melalui anak perusahaan, PT Bakrie Nirwana Semesta (BNS), Perusahaan melakukan peningkatan modal sebesar kurang lebih Rp 149,7 miliar sehingga kepemilikan Perusahaan di BNR meningkat dari 27,0% menjadi 52,5%. Peningkatan penyertaan modal pada BNR ini telah mendapatkan persetujuan pemegang saham melalui Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) yang diselenggarakan pada tanggal 19 Desember 2008.

Capital Increase for PT Bali Nirwana Resort

In line with the revival of the tourism sector in Bali following a series of bombings as indicated by the influx of more than 2 million foreign visitors to the island in 2009, the Company increased its investment in Bali with more capital injection for PT Bali Nirwana Resort (BNR) through its subsidiary, PT Bakrie Nirwana Semesta (BNS), the Company increased its capital to roughly Rp 149.7 billion which raises the Company’s ownership of BNR to 52.5% from the previous 27.0%. Greater equity participation in BNR gained shareholder approval through the Extraordinary General Meeting of Shareholders held on 19 December 2008.

Property-Related Infrastructure

Bakrieland memulai pembangunan

jalan tol Kanci-Pejagan, yang konstruksinya telah diselesaikan pada 16 Desember 2009. Jalan tol sepanjang 35 km ini menghubungkan Cirebon, Jawa Barat dengan Brebes, Jawa Tengah, dan memiliki masa konsesi selama 35 tahun. Beberapa proyek jalan tol lain yang akan dilaksanakan adalah jalan tol Pejagan-Pemalang (58 km), Batang-Semarang (75 km), Ciawi-Sukabumi (54 km) and Pasuruan Probolinggo (45 km).

Bakrieland initiated the construction of Kanci-Pejagan toll road, which its construction has been completed on 16 December 2009. The 35 km toll road connects Cirebon, West Java and Brebes, Central Java, and has a 35 year concession period.

Several other toll road projects which will be developed include toll road Pejagan-Pemalang (58 km), Batang-Semarang (75 km), Ciawi-Sukabumi (54 km) and Pasuruan Probolinggo (45 km).

Kelompok Usaha Bakrie (KUB) telah memiliki pengalaman dalam pembangunan properti sejak tahun 1984 yaitu diawali dengan pembangunan Wisma Bakrie (yang berlokasi di Jl. H.R. Rasuna Said, Kuningan Jakarta, sekarang bernama Wisma Bakrie 1), oleh PT Catur Swasakti Utama (sekarang bernama PT Bakrie Swasakti Utama yang merupakan anak perusahaan PT Bakrieland Development Tbk).

Pengalaman pembangunan properti oleh KUB terus berlanjut antara lain pembangunan gedung Graha Kapital yang berlokasi di Jl. Kemang Raya Jakarta, dan Apartemen Taman Rasuna di Kuningan, Jakarta.

The Bakrie Group began its expertise in the property development sector in the year of 1984 with the construction of the Wisma Bakrie building (located in Jalan H.R. Rasuna Said, Kuningan, Jakarta, now known as Wisma Bakrie 1), by PT Catur Swasakti Utama (currently as PT Bakrie Swasakti Utama, a subsidiary of PT Bakrieland Development Tbk). The Group’s venture in the property sector continues with, among others, the construction of the Graha Kapital building located in Jalan Kemang Raya in South Jakarta and Taman Rasuna Apartments in Kuningan, Jakarta.

Perusahaan didirikan dengan nama PT Purilestari Indah Pratama pada Juni 1990, nama Perusahaan diganti menjadi PT Elang Realty pada Desember 1994, dan pada tahun 1997 menjadi PT Bakrieland Development Tbk.

Bakrieland was established as PT Purilestari Indah Pratama in June 1990, changing its name to PT Elang Realty in December 1994, and then to PT Bakrieland Development Tbk in 1997.

Penawaran Umum Saham Perdana (IPO) sejumlah 110.000.000 saham dengan nilai nominal Rp 500 per saham dan harga penawaran sebesar Rp 625 per saham. Seluruh saham tersebut tercatat di Bursa Efek Indonesia (dahulu Bursa Efek Jakarta) pada tanggal 30 Oktober 1995.

Initial Public Offering (IPO) with 110,000,000 shares with a nominal value of Rp 500 per share and an offering value of Rp 625 per share. The Company’s shares were listed on Indonesia Stock Exchange (previously Jakarta Stock Exchange) on 30 October 1995.

Melalui PT Bakrie Infrastructure, membeli 75,04% saham dalam PT Alberta Utilities sebagai pemegang 5% saham PT Aetra Air Jakarta (d/h PT Thames PAM Jaya), perusahaan penyedia air bersih di wilayah Timur DKI Jakarta.

Through PT Bakrie Infrastructure, the Company purchased 75.04% shares in PT Alberta Utilities, which owns 5% shares of PT Aetra Air Jakarta (previously PT Thames PAM Jaya), a clean water provider company in Eastern Jakarta.
