FINANCIAL PROTOCOL

BETWEEN

THE GOVERNMENT OF THE FRENCH REPUBLIC

AND

THE GOVERNMENT OF THE REPUBLIC OF INDONESIA

With a view to strengthening the ties of friendship and cooperation which bind them, the

Government of the French Republic and the Government of the Republic of Indonesia have agreed to

conclude the present protocol to foster the economic development of Indonesia .

ARTICLE 1 - EXTENT AND PURPOSE OF FINANCIAL SUPPORT

The French Government grants the Government of the Republic of Indonesia a financial support

designed to finance projects included in the development priorities of Indonesia . The said support shall not

exceed 676.248 MF (SIX HUNDRED SEVENTY SIX MILLION TWO HUNDRED AND FORTY

EIGHT THOUSAND FRENCH FRANCS) and shall be used to finance the purchase of French goods and

services related to the implementation of projects referred to in annexes A and B to the present protocol.

ARTICLE 2 - BREAKDOWN OF FINANCE PACKAGE

The financial support provided in Article I hereof shall comprise :

- a grant from the French Treasury of a total amount not exceeding 4.928 MF;

- a loan from the French Treasury of a total amount not exceeding 302.094 MF;

- credits guaranteed by the French credit insurance Agency (COF ACE) of a total amount

not exceeding 369.226 MF .

Furthermore, additional guaranteed credits could be made available to the Government of the

Republic of Indonesia in order to finance the COF ACE premium related to the contracts .

ARTICLE 3 - MECHANISMS OF FINANCIAL SUPPORT

a) The financing of the project referred to in annex A hereto shall be provided by the French

Treasury grant.

b) The financing of the projects referred to in annex B hereto shall be provided jointly by the French

Treasury loan and the guaranteed credits . The COF ACE premium is paid by the borrower.

Each contract of goods and services referred to in annex B hereof shall give drawing rights on the

French Treasury loan and the guaranteed credits equal to 45 % and 55 % respectively of the total value of

the contract financed by the present protocol. The French Treasury loan shall be used to fully finance the

first instalment provided in each contract. The first instalment of each contract financed with the present

protocol shall amount to between 10 % and 20 % of the value of the contract. The French Treasury loan

and guaranteed credits - used simultaneously - shall finance the remainder of the value of each of the

aforesaid contracts.

ARTICLE 4-CONDITIONS GOVERNING CREDIT FACILITIES

a) The French Treasury loan shall be granted for a period of 29 years, including a grace period of

10 years. The interest rate shall be 0.25 % per year. Said loan shall be repaid in 38 equal consecutive

six-monthly instalments, the first instalment falling due 126 months after the end of the calendar quarter during

which each drawing is made. Interest shall be payable on the total amount outstanding ; it shall be

applicable as of the date of each drawing on the French Treasury loan and shall be paid at six-monthly

intervals.

An agreement between Credit National, acting in name and on behalf of the Government of the

French Republic, and the Ministry of Finance acting in name and on behalf of the Government of the

Republic of Indonesia, shall define the mechanisms of application of the French Treasury grant and of the

French Treasury loan and the mechanisms of repayment of the said loan .

b) The guaranteed credit shall be granted for a period of 10 years and shall be repaid in 20 equal,

consecutive six-monthly instalments, the first instalment falling due six months after delivery of the

equipment or of completion of the project.

An agreement between the banks approved in France, under the care of AFB-Export, and the

Ministry of Finance acting in name and on behalf of the Government of the Republic of Indonesia, shall

define the mechanisms of application and of repayment of the said credit. The said agreement shall stipulate

that the interest rate applicable shall be the normal interest rate on the currency concerned on the date of

signature of the contract, under the rules of the OECD participant's agreement.

ARTICLE 5 - ADDITIONAL FINANCING

The Indonesian authorities will provide additional financing to those mentioned in this protocol to

complete the implementation of the projetcs referred to in Article 1.

ARTICLE 6 - CURRENCY OF ACCOUNT AND PAYMENT

All transactions under the terms of the present protocol shall be carried out in French Francs .

ARTICLE 7 - IMPLEMENTATION DEADLINE AND EXPIRY DATE OF THE FRENCH

TREASURY LOAN

In order to qualify for the financial support provided m Article l hereof, contracts must be concluded by December 31, 1996 at the latest, except of projet 1 of annex B that must be concluded by

December 31 , 1997. The final decision for qualification for financing under the terms of the present

protocol will have to be made three months after these dates at the latest.

No drawing on the French Treasury financing provided by the present protocol shall be made after

October 31 , 2000 . This date shall not be extended except by special agreement between the two

Governments in the event of exceptional difficulties .

ARTICLE 8 - FREIGHT AND INSURANCE

Freight and insurance to be financed under the present protocol are considered as French services

when :

- freight is provided under a bill of lading issued by French shipping company or under an airway

bill issued by French air-freight company or under a road bill issued by French company, and is certified by

the French appropriate authorities as being a French service.

- insurance is taken out with approved companies on the French market.

ARTICLE 9 - CONTRACTS COVERED

The final decision on whether contracts related to the projects referred to in Article 1 hereof qualify

for financial support under the terms of the present protocol shall be made by exchange of letters between

the Economic and Commercial Counsellor to the French Embassy in Jakarta acting with the authorization

of the competent French authorities and the competent Indonesian authorities .

For each project, the final decision shall be submitted to the conformity of the project to the rules

established by the participants to the OECD consensus .

In case of arrears related to French Treasury loans or guaranteed credits associated to French

Treasury loans or in case of indemnifications related to credits guaranteed by the French credit insurance

Agency (COF ACE) and by the Government of the Republic of Indonesia, no final positive decision will be

possible.

ARTICLE IO-TAXATION

The payment of principal and interest due on the credits provided by the present protocol shall not

be reduced of any tax payment collected by the Government of the Republic of Indonesia. The grant from

the French Treasury shall not be used to finance any tax .

ARTICLE 11 - POST EVELUA TION OF PROJECTS

The Government of the French Republic may proceed at its own cost to undertake post evaluation

of the projects financed under this protocol in order to appraise their impact on the economic development of

Indonesia . The Government of the Republic of Indonesia could, if it wished, participate in this evaluation in

order to benefit directly from the findings . The Government of the Republic of Indonesia agrees to welcome

the post-evaluation mission sent by the French Government and to facilitate the access to relevant

informations about the project.

ARTICLE 12 - DA TE OF EFFECT

The present protocol shall come into force at the date of its signature.

Pour renforcer !es liens d'amitie et de cooperation qui !es unissent, le Gouvemement de la Republique d'Indonesie et le Gouvemement de la Republique fran9aise sont convenus de conclure le present protocole pour favoriser le developpement economique de l'lndonesie.

ARTICLE 1 - MONTANT ET OBJET DES CONCOURS FINANCIERS

Le Gouvemement de la Republique fran9aise consent au Gouvemement de la Republique d'lndonesie des concours financiers destines

la realisation de projets s'inscrivant clans !es priorites de developpement economique de la Republique d'Indonesie . Ces concours, d'un montant maximum de 676,248 MFF (SIX CENT SOIXANTE SEIZE MILLIONS DEUX CENT QUARANTE MILLE HUIT MILLE FRANCS FRANCAIS) financeront l'achat de biens et services fran9ais relatifs

!'execution des projets mentionnes en annexes A et Bau present protocole.

ARTICLE 2 - COMPOSITION DES FINANCEMENTS

Les concours financiers mentionnes

a

!'article I sont constitues :

- d'un don du Tresor fran9ais d'un montant maximal de 4,928 MFF ;

- d'un pret du Tresor fran9ais d'un montant maximal de 302,094 MFF;

- de credits bancaires garantis par la compagnie fran9aise d'assurance credit (COF ACE) d'un montant maximal de 369,226 MFF.

En outre, des credits bancaires garantis complementaires pourront etre mis

a

disposition du Gouvemement de la Republique d'Indonesie pour permettre le financement des primes d'assurance credit liees aux contrats .

ARTICLE 3 - FINANCEMENT DES CONTRA TS

a)

Le

financement des projets mentionnes en annexe A est assure par !'utilisation du don du Tresor. Le premier acompte de chaque contrat relatif

a

ces projets sera compris entre I 0 % et 20 % du montant du cont rat.

b) Le financement des projets mentionnes en annexe B est assure par !'utilisation conjointe du pret du Tresor et des credits bancaires garantis. La prime d'assurance credit est

a

la charge de l'emprunteur.

Chaque contrat de biens et services relatif

a

ces projets ouvrira un droit de tirage sur le pret du Tresor et sur !es credits bancaires garantis d'un montant egal respectivement

a

45 % et

a

55 % du montant du contrat impute sur ce protocole. Le pret du Tresor servira

a

financer integralement le premier acompte qui sera compris entre 10 % et 20 % du montant du contrat. Le solde sera finance par utilisation simultanee du pret du Tresor et des credits bancaires garantis.

ARTICLE 4 - MODALITES D'UTILISA TION DES CON CO URS FINANCIERS

Une convention d'application sera signee entre le Ministere des Finances de la Republique d'lndonesie agissant au nom et pour le compte du Gouvemement de la Republique d'Indonesie et Credit National agissant au nom et pour le compte du Gouvemement de la Republique fran9aise . Elle precisera Jes modalites d'utilisation du don du Tresor fran9ais et !es modalites d'utilisation et de remboursement du pret du Tresor fran9ais .

Les credits bancaires garantis, d'une duree de 10 ans, sont amortissables en 20 semestrialites egales et successives, la premiere echeant six mois apres la livraison des equipements ou l'achevement des projets .

Une convention d'application sera signee entre le Ministere des Finances de la Republique d'Indonesie agissant au nom et pour le compte du Gouvemement de la Republique d'Indonesie et Jes etablissements de credit agrees en France ou autorises

a

exercer leur activite sur le territoire fran9ais, sous l'egide d'AFB Export. Elle precisera Jes modalites d'utilisation et de remboursement des credits. Elle stipulera que le taux d'interet sera celui defini par le consensus OCDE pour des credits de ce type, en vigueur

a

la date de signature de chaque contrat de biens et services.

ARTICLE 5 - FINANCEMENTS COMPLEMENT AIRES

ARTICLE 7 - DELAIS DE MISE EN OEUVRE

Pour beneficier des concours definis

!'article 1, !es contrats particuliers passes avec !es prestataires fran9ais devront etre conclus au plus tard le 31 decembre 1996 excepte pour le projet I de !'annexe B qui devrait etre conclu au plus tard le 31 decembre 1997. Tous ces contrats devront etre imputes au plus tard trois mois apres ces dates .

Aucun tirage sur Jes financements accordes par le present protocole ne sera autorise posterieurement au 31 octobre 2000. Cette date pourra etre prorogee en cas de circonstances exceptionnelles, au cas par cas et apres accord mutuel par un echange de lettres entre !es deux gouvemements.

ARTICLE 8 - TRANSPORT ET ASSURANCE

Le transport et !'assurance susceptibles d'etre finances par le present protocole sont consideres comme services fran9ais lorsque :

- le fret est effectue SOUS connaissement ernis par un armateur fran9ais OU SOUS lettre de transport aerien ernise par une COmpagnie fran9aise de transport aerien OU SOUS lettre de voiture emise par un transporteur routier fran9ais , et certifie comme service fran9ais par l'autorite fran9aise competente ;

- Jes assurances sont souscrites aupres de compagnies agreees sur le marche fran9ais .

ARTICLE 9 - IMPUTATION

L'imputation sur le present protocole des contrats relatifs aux projets mentionnes en annexe sera decidee par echange de lettres entre !es autorites indonesiennes competentes et le conseiller economique et commercial pres l'ambassade de France

Djakarta, agissant avec l'autorisation des autorites franc;aises competentes.

L'imputation de chaque projet est subordonnee

a

la confonnite du projet aux regles etablies par !es participants au consensus de l'OCDE.

Aucune imputation ne sera possible en cas d'arrieres sur prets du Tresor franc;ais ou sur credits garantis associes

a

des prets du Tresor consentis par le Gouvemement de la Republique franc;aise au Gouvemement de la Republique d'lndonesie. Aucune imputation ne sera egalement possible en cas d'indernnisation sur des credits bancaires garantis par l'Agence franc;aise d'assurance credit (COF ACE) et par le Gouvemement de la Republique d'lndonesie.

ARTICLE 10 - IMPOTS ET TAXES

definir, afin de beneficier directement des resultats de l'etude. Le Gouvemement de la Republique d'Indonesie s'engage

accueillir la mission d'evaluation envoyee par le Gouvemement de la Republique franc;aise et

lui faciliter l'acces aux informations concemant Jes projets.

ARTICLE 12 - ENTREE EN VIGUEUR

Le present protocole entrera en vigueur
