WITH THE BLESSING OF GOD ALMIGHTY
PRESIDEN REPUBLIK INDONESIA,
THE PRESIDENT OF THE REPUBLIC OF
INDONESIA,
Menimbang: Considering:
a. bahwa untuk melaksanakan Pasal 12 ayat (4) dan
Pasal 13 ayat (1) Undang-undang Nomor 25 Tahun
2007 tentang Penanaman Modal telah ditetapkan
Peraturan Presiden Nomor 36 Tahun 2010 tentang
Daftar Bidang Usaha yang Tertutup dan Bidang
Usaha yang Terbuka Dengan Persyaratan di
Bidang Penanaman Modal;
a. that to give effect to Article 12 section (4) and
Article 13 section (1) of Law Number 25 of 2007
concerning Investment, there has been issued
Regulation of the President Number 36 of 2010
concerning Lists of Business Fields That Are
Closed to Investment and Business Fields That Are
Conditionally Open for Investment;
b. bahwa untuk lebih meningkatkan kegiatan
penanaman modal di Indonesia dan dalam rangka
pelaksanaan komitmen Indonesia dalam kaitannya
dengan
Association of Southeast Asian
Nations/ASEAN Economic Community
(AEC),
dipandang perlu mengganti ketentuan mengenai
daftar bidang usaha yang tertutup dan bidang usaha
yang terbuka dengan persyaratan di bidang
penanaman modal;
b. that to enhance the investment activities in
Indonesia and to serve the Indonesian commitment
to
the Association of Southeast Asian
Nations/ASEAN Economic Community
(AEC), it is
deemed necessary to replace the provisions for lists
of business fields that are closed to investment and
business fields that are conditionally open for
investment;
c. bahwa sehubungan dengan hal sebagaimana
dimaksud pada huruf a dan huruf b di atas, perlu
menetapkan Peraturan Presiden tentang Daftar
Bidang Usaha yang Tertutup dan Bidang Usaha
yang Terbuka Dengan Persyaratan di Bidang
Penanaman Modal;
c. that in consideration of point (a) and point (b)
aforesaid, it is necessary to issue Regulation of the
President concerning Lists of Business Fields That
Are Closed to Investment and Business Fields That
Are Conditionally Open for Investment;
Mengingat:
Bearing in Mind:

PERATURAN PRESIDEN TENTANG DAFTAR
BIDANG USAHA YANG TERTUTUP DAN
BIDANG USAHA YANG TERBUKA DENGAN
PERSYARATAN DI BIDANG PENANAMAN
MODAL.
Pasal 1
Article 1
(1) Bidang usaha yang tertutup merupakan bidang
usaha tertentu yang dilarang diusahakan sebagai
kegiatan penanaman modal.
(1) Closed business fields shall be specified business
fields that are banned from commercialization
through investment activities.
(2) Daftar bidang usaha yang tertutup sebagaimana
dimaksud pada ayat (1) adalah sebagaimana
tercantum dalam Lampiran I Peraturan Presiden
ini.
(2) A list of closed business fields as intended by
section (1) is provided in Attachment I to this
Regulation of the President.
Pasal 2
Article 2
(1) Bidang usaha yang terbuka dengan persyaratan
adalah bidang usaha tertentu yang dapat
diusahakan sebagai kegiatan penanaman modal
dengan syarat tertentu, yaitu bidang usaha yang
dicadangkan untuk Usaha Mikro, Kecil, Menengah
dan Koperasi, bidang usaha yang dipersyaratkan
dengan kemitraan, bidang usaha yang
dipersyaratkan kepemilikan modalnya, bidang
usaha yang dipersyaratkan dengan lokasi tertentu,
dan bidang usaha yang dipersyaratkan dengan
perizinan khusus.
(1) Conditionally-open business fields shall be
specified business fields that are commercializable
through investment activities under specified
conditions, i.e., business fields that are reserved for
Small, Micro, and Medium business and
Cooperatives, business fields that require
partnership, business fields that require capital
ownership, business fields that require specified
locations, and business fields that require a special
license/permit.
(2)
Daftar bidang usaha yang terbuka dengan
persyaratan sebagaimana dimaksud pada ayat (1)
adalah sebagaimana tercantum dalam Lampiran II
Peraturan Presiden ini.
(2) A list of business fields that are conditionally open
as intended by section (1) is provided in
Attachment II to this Regulation of the President.
Pasal 3
Article 3
Bidang usaha yang tidak tercantum dalam Lampiran I
dan Lampiran II sebagaimana dimaksud dalam Pasal 2
dinyatakan terbuka tanpa persyaratan dalam rangka
penanaman modal.
Business fields that are absent from Attachment I and
Attachment II as intended by Article 2 are declared to
be unconditionally open for investment.
Pasal 4
Article 4
(1) Penanaman modal pada bidang usaha yang terbuka
dengan persyaratan sebagaimana dimaksud dalam
Pasal 2 harus memenuhi persyaratan lokasi
sebagaimana diatur dalam peraturan
perundang-undangan yang berlaku di bidang tata ruang dan
lingkungan hidup.
(1) Investment in conditionally-open business fields as
intended by Article 2 must fulfill the location
conditions as governed by the prevailing laws and
regulations concerning spatial planning and the
environment.
(2) Dalam hal izin penanaman modal sebagaimana
dimaksud pada ayat (1) telah ditetapkan lokasi
usahanya dan penanam modal bermaksud
memperluas usaha dengan melakukan kegiatan
usaha yang sama di luar lokasi yang sudah
ditetapkan dalam izin penanaman modal tersebut,
penanam modal harus memenuhi persyaratan
lokasi sebagaimana dimaksud pada ayat (1).
(2) Where an investment license/permit as intended by
section (1) specifies a business location and the
investor wishes to expand his/her business through
engaging in the same business activities outside the
location that has been specified in that
license/permit, the investor must fulfill the location
conditions as intended by section (1).
(3) Untuk memenuhi persyaratan lokasi sebagaimana
dimaksud pada ayat (2), penanam modal tidak
diwajibkan untuk mendirikan badan usaha baru
atau mendapatkan izin usaha baru, kecuali
ditentukan lain oleh Undang-Undang.
(3) To fulfill the location conditions as intended by
section (2), an investor shall not be required to
form a new business entity or to acquire a new
business license/permit, unless otherwise provided
by Law.
Pasal 5
Article 5
Ketentuan sebagaimana dimaksud dalam Pasal 1 dan
Pasal 2 tidak berlaku bagi penanaman modal tidak
langsung atau portofolio yang transaksinya dilakukan
melalui pasar modal dalam negeri.

Pasal 6
Article 6
Dalam hal terjadi perubahan kepemilikan modal akibat
penggabungan, pengambilalihan, atau peleburan dalam
perusahaan penanaman modal yang bergerak di bidang
usaha yang sama, berlaku ketentuan sebagai berikut:

an investment company that engages in the same

dalam perusahaan baru hasil peleburan adalah
sebagaimana ketentuan yang berlaku pada saat
terbentuknya perusahaan baru hasil peleburan
dimaksud.
c. the limits on capital ownership of a foreign
investor in the new consolidated company shall be
the provisions that prevail upon the new
consolidated company being formed.
Pasal 7
Article 7
(1) Dalam hal penanaman modal asing melakukan
perluasan kegiatan usaha dalam bidang usaha yang
sama dan perluasan kegiatan usaha tersebut
membutuhkan penambahan modal melalui
penerbitan saham dengan hak memesan efek
terlebih dahulu (
rights issue
) dan penanam modal
dalam negeri tidak dapat berpartisipasi dalam
penambahan modal tersebut, maka berlaku
ketentuan mengenai hak mendahului bagi penanam
modal asing, sesuai dengan ketentuan peraturan
perundang-undangan di bidang perseroan terbatas.

Where foreign investment expands business
activities in the same business field and such
expansion of business activities needs increase in
capital through rights issue and the domestic
investors cannot participate in such increase in the
capital, the provisions of the right of first refusal of
a foreign investor shall apply under the laws and
regulations concerning limited liability companies.
(2)
Dalam hal penambahan modal sebagaimana
dimaksud pada ayat (1) mengakibatkan jumlah
kepemilikan modal asing melebihi batasan
maksimum yang tercantum dalam Surat
Persetujuan, maka dalam jangka waktu 2 (dua)
tahun, kelebihan jumlah kepemilikan modal asing
tersebut harus disesuaikan dengan batas maksimum
yang tercantum dalam surat persetujuan, melalui
cara:
(2) Where increase in capital as intended by section
(1) has resulted in the amount of foreign capital
ownership exceeding the maximum limit as stated
in the Approval, within a period of 2 (two) years,
the excess foreign capital ownership shall be
adjusted to the maximum limit as stated in the
approval, in the following manners:

saham yang dimilikinya kepada penanam
modal dalam negeri;
a. A foreign investor sells the excess shares
he/she owns to a domestic investor;
b. Penanam modal asing menjual kelebihan
sahamnya melalui penawaran umum yang
dilakukan oleh perusahaan yang sahamnya
dimiliki oleh penanam modal asing tersebut
pada pasar modal dalam negeri; atau
b. A foreign investor sells the excess shares
through a public offer made by a company,
whose shares are held by the foreign investor
in domestic capital markets; or
c. Perusahaan sebagaimana dimaksud pada ayat
(2) huruf b membeli kelebihan jumlah saham
yang dimiliki penanam modal asing tersebut
dan diperlakukan sebagai
treasury stocks
,
dengan memperhatikan Pasal 37
Undang-Undang Nomor 40 Tahun 2007 tentang
Perseroan Terbatas.

Pasal 8
Article 8
Ketentuan Peraturan Presiden ini tidak mengurangi
kewajiban penanam modal untuk mematuhi
ketentuan-ketentuan dan syarat-syarat untuk melakukan kegiatan
usaha yang dikeluarkan oleh:
The Provisions of this Regulation of the President shall
not derogate from the obligations of investors to
comply with the provisions and requirements to
perform business activities that are issued by:
a. Kementerian/Lembaga
Pemerintah
Nonkementerian yang secara teknis berwenang di
bidang usaha penanaman modal; dan
a.
The Ministries/Nonministry Government
Institutions that are technically competent in the
business field of investment; and
b. Pemerintah Daerah.
b. The Regional Governments.
Pasal 9
Article 9
Ketentuan sebagaimana dimaksud dalam Pasal 1 dan
Pasal 2 Peraturan Presiden ini tidak berlaku bagi
penanaman modal yang telah disetujui pada bidang
usaha tertentu sebelum Peraturan Presiden ini
ditetapkan, sebagaimana yang tercantum dalam Surat
Persetujuan, kecuali ketentuan tersebut lebih
menguntungkan bagi penanaman modal dimaksud.
The provisions of Article 1 and Article 2 of this
Regulation of the President shall not apply to
investment in specified business fields that has been
approved prior to this Regulation of the President being
issued, as stated in the Approval, unless such
provisions are of more benefit to the relevant
investment.
Pasal 10
Article 10
Pada saat Peraturan Presiden ini mulai berlaku,
peraturan yang diterbitkan dalam rangka pelaksanaan
Peraturan Presiden Nomor 36 Tahun 2010 tentang
Daftar Bidang Usaha yang Tertutup dan Bidang Usaha
yang Terbuka dengan Persyaratan di Bidang
Penanaman Modal, dinyatakan tetap berlaku sepanjang
tidak bertentangan dan belum diatur dengan yang baru
berdasarkan Peraturan Presiden ini.
Upon this Regulation of the President coming into
effect, any regulations issued to give effect to
Regulation of the President Number 36 of 2010
concerning Lists of Business Fields That Are Closed to
Investment and Business Fields That Are Conditionally
Open for Investment are declared to remain valid to the
extent that they are not against and yet replaced with
the new ones under this Regulation of the President.
Pasal 11
Article 11
Dengan berlakunya Peraturan Presiden ini, Peraturan
Presiden Nomor 36 Tahun 2010 tentang Daftar Bidang
Usaha yang Tertutup dan Bidang Usaha yang Terbuka
dengan Persyaratan di Bidang Penanaman Modal,
dicabut dan dinyatakan tidak berlaku.
Upon this Regulation of the President coming into
effect, Regulation of the President Number 36 of 2010
concerning Lists of Business Fields That Are Closed to
Investment and Business Fields That Are Conditionally
Open for Investment is revoked and declared to no
longer be in effect.
Pasal 12
Article 12
Peraturan Presiden ini mulai berlaku pada tanggal
diundangkan.
This Regulation of the President shall come into effect
from the date it is promulgated.
Agar setiap orang mengetahuinya, memerintahkan
pengundangan Peraturan Presiden ini dengan
penempatannya dalam Lembaran Negara Republik
Indonesia.
In order that every person may know of it, the
promulgation of this Regulation of the President is
ordered by placement in the State Gazette of the
Republic of Indonesia.

Yang dimaksud dengan Usaha Mikro, Kecil, Menengah dan Koperasi (UMKMK) dalam Peraturan Presiden ini adalah orang perorangan atau badan usaha yang memenuhi kriteria sebagaimana dimaksud dalam Undang-Undang Nomor 20 Tahun 2008 tentang Usaha Mikro, Kecil, dan Menengah serta Undang-Undang Nomor 17 Tahun 2012 tentang Perkoperasian.
3. Micro, Small and Medium Business and Cooperatives in this Regulation of the President mean
an individual or entity that fulfills the criteria provided in Law Number 20 of 2008 concerning Micro, Small and Medium Business and Law Number 17 of 2012 concerning Cooperatives.
4. Dalam hal suatu bidang usaha yang tercakup dalam komitmen Indonesia pada ASEAN Economic Community tidak tercantum pada Lampiran II kolom j Peraturan Presiden ini, namun tercantum dalam kolom-kolom yang lain, maka penanam modal yang berasal dari negara-negara ASEAN dapat melakukan penanaman modal berdasarkan persyaratan sebagaimana dimaksud dalam kolom-kolom tersebut.
