NOTA KESEPAHAMAN
DALAM RANGKA KERJA SAMA INFRASTRUKTUR DAN INDUSTRI ANTARA KEMENTERIAN SADAN USAHA MILIK NEGARA REPUBLIK INDONESIA
DENGAN KOMISI PEMBANGUNAN NASIONAL DAN REFORMASI REPUBLIK RAKYAT TIONGKOK
Kementerian Badan Usaha Milik Negara (yang selanjutnya disebut dengan "Pihak Indonesia" dan Komisi Pembangunan Nasional dan Reformasi Republik Rakyat Tiongkok (yang selanjutnya disebut dengan "Pihak Tiongkok"), dan secara bersama-sama disebut sebagai "kedua pihak";
Mengingat kembali perjanjian penting antara para pimpinan kedua negara selama APEC Economic Leaders' Meeting pada November 2014;
Menegaskan kembali pentingnya memperdalam kerja sama infrastruktur dan industri yang berkaitan dengan pembangunan bersama kedua negara;
Dimana ｫ･ｾ｡ｳ｡ｭ｡＠ antara kedua negara pada infrastruktur dan industri adalah
saling melengkapi dan memiliki potensi besar;
Dengan tujuan untuk lebih memperdalam kerjasama ekonomi antara kedua
negara, tanpa bermaksud membatasi masing-masing pihak melakukan
kesepakatan dengan pihak lain dalam bidang yang sama atau sejenis.
I.
Tujuan dan Prinsip KerjasamaKedua belah pihak, sesuai dengan hukum nasional masing-masing dari kedua
negara, dan sesuai dengan prinsip-prinsip peraturan pemerintah, operasi bisnis, saling melengkapi keunggulan, praktik efisiensi dan saling menguntungkan, harus mengembangkan platform pertukaran dan kerjasama, sehingga meningkatkan kerjasama konkrit antara perusahaan Tiongkok yang memenuhi syarat dengan BUMN Indonesia pada infrastruktur dan industri .
II. lsi Kerjasama
Kedua belah pihak sepakat untuk melakukan pertukaran dan kerjasama di bidang-bidang berikut, antara lain:
1. lnfrastruktur :
- Kereta Api;
- Jalan I jalan tol I jalan raya; - pelabuhan I terminal feri; - Bandar Udara.
2. lndustri
- lndustri pembangkit listrik;
- Besi Baja dan industri metalurgi lainnya; - lndustri logam Non Ferro;
- Pembuatan Kapal;
- Semen, kaca dan industri bahan bangunan lainnya; - Pertanian;
- Logistik, seperti logistik pangan biji-bijian; dan transportasi ; - lndustri pariwisata;
- lndustri kimia;
3. Setiap area lain termasuk pertukaran dan dialog tentang perencanaan strategis yang saling diidentifikasi oleh kedua belah pihak.
Ill. Mekanisme Kerjasama
1. Kedua belah pihak setuju untuk membentuk Komite Bersama untuk bersama-sama melaksanakan Nota Kesepahaman ini. Ketua Tiongkok dalam Komite Bersama ini adalah Ketua Komisi Pembangunan Nasional dan Reformasi dan Ketua Indonesia dari Komite Bersama ini adalah Menteri Sadan Usaha Milik Negara. Anggota lain dari Komite Bersama dapat mencakup perwakilan dari organisasi lain yang diperlukan yang diidentifikasi oleh kedua belah pihak.
2. Pertemuan Komite Bersama akan dipimpin oleh ketua atau wakil yang ditunjuk oleh ketua Komite Bersama, dan akan diadakan setiap tahun pada tanggal yang disepakati bersama di masing-masing kedua negara secara bergantian, untuk mengidentifikasi area kerjasama dan proyek-proyek utama, mengembangkan rencana kerja dan memecahkan masalah-masalah utama yang menjadi perhatian bersama, dalam rangka menciptakan lingkungan kebijakan yang istimewa, mendorong lembaga keuangan kedua negara untuk
memberikan dukungan pembiayaan kepada perusahaan, dan
mempromosikan kemajuan kerjasama proyek utama antara kedua negara. Pertemuan luar biasa pada tingkat yang berbeda hanya dapat dilangsungkan dengan persetujuan bersama. Setiap ketua komite harus menyampakan laporan triwulan kepada masing pimpinan Negara yang bersangkutan
Komisi Pembangunan Nasional dan Reformasi, dan Sekretariat pihak Indonesia berada di Kementerian Badan Usaha Milik Negara.
4 Mekanisme pencocokan proyek akan dibentuk di bawah Komite Bersama, dan dipimpin oleh organisasi yang ditunjuk oleh kedua belah pihak, yang
bertanggung jawab untuk membantu Komite Bersama dalam
mengembangkan dan memperbarui daftar early-harvest projects (proyek yang dapat menghasilkan dalam jangka pendek) dan proyek jangka panjang, mendorong konsultasi dan kerjasama antara asosiasi industri dan perusahaan dari kedua negara melalui kerjasama pameran, workshop/seminar dan pelatihan, serta memfasilitasi perusahaan untuk mencocokkan proyek, mengikuti dan melaporkan kemajuan proyek kepada Sekretariat pada waktu yang tepat.
5 Komite Bersama dapat mengundang organisasi terkait dari kedua negara untuk berpartisipasi dalam kegiatan yang terkait, jika diperlukan.
IV. Lain-lain
1. Kedua belah pihak dapat meminta perubahan Nota Kesepahaman ini. Setiap perubahan, modifikasi, revisi atau amandemen Nota Kesepahaman ini yang disepakati bersama oleh dan antara kedua belah pihak harus digabungkan dengan instrumen tertulis, dan efektif ketika Nota Kesepahaman ini dijalankan dan ditandatangani oleh kedua belah pihak.
2. Setiap perselisihan, kontroversi , atau klaim yang mungkin timbul atas interpretasi atau penerapan Nota Kesepahaman harus diselesaikan secara damai melalui negosiasi antara kedua belah pihak;
4. Nota Kesepahaman ini tidak akan mempengaruhi penafsiran atau penerapan
instrumen lain antara Republik Rakyat Tiongkok dan Republik Indonesia
V. Jangka Waktu dan Pengakhiran
Nota Kesepahaman ini mulai berlaku sejak tanggal penandatanganan dan tetap berlaku untuk jangka waktu lima (5) tahun. Perjanjian ini dapat diperpanjang atas kesepakatan Para Pihak dengan ketentuan Pihak yang akan memperpanjang menginformasikan kepada pihak lain secara tertulis mengenai rencana perpanjangan tersebut setidaknya enam bulan sebelum tanggal berakhir.
Berakhirnya Nota Kesepahaman ini tidak akan mempengaruhi proyek-proyek kerjasama yang sedang berlangsung dari kedua belah pihak, sampai dengan proyek-proyek tersebut selesai.
Nota Kesepahaman ini ditandatangani di Beijing pada 26 Maret 2015, dalam Bahasa Indonesia, Mandarin dan lnggris, semua teks merupakan naskah yang asli. Dalam hal terjadi perbedaan, teks bahasa lnggris yang berlaku .

MEMORANDUM OF UNDERSTANDING
ON INFRASTRUCTURE AND INDUSTRIAL COOPERATION BETWEEN THE MINISTRY OF STATE-OWNED
ENTERPRISES OF THE REPUBLIC OF INDONESIA AND
THE NATIONAL DEVELOPMENT AND REFORM COMMISSION OF THE PEOPLE'S REPUBLIC OF CHINA
The Ministry of State-owned Enterprises of the Republic of Indonesia (hereinafter referred to as "the Indonesian side") and the National Development and Reform Commission of the People's Republic of China (hereinafter referred to as "the Chinese side"), and collectively referred to as "the two sides";
Recalling the important agreements between the leaders of the two countries during the APEC Economic Leaders' Meeting in November 2014;
Reaffirming the significance of deepening cooperation on infrastructure and industry with regard to the mutual development of the two countries;
Whereas the cooperation between the two countries on infrastructure and industry is mutually complementary and has great potential;
With the aim of further deepening the economic cooperation between the two countries. without any intention to limit each side to make agreement with the other side in the same or similar field.
I. Objectives and Principles of Cooperation
The two sides, in compliance with the respective domestic laws of the two countries, and in accordance with the principles of government guidance, business
operation, complementary advantages, practical efficiency and mutual
beneficiation, shall develop a platform of exchanges and cooperation, so as to promote concrete cooperation between the Chinese qualified enterprises and Indonesian state-owned enterprises on infrastructure and industry.
II. Contents of Cooperation
The two sides agree to undertake exchanges and cooperation in the following areas, inter alia:
1. Infrastructure:
- Railway; High speed train - Road/toll road/highway; - Harbor/seaport/ferry terminal; - Airport.
2. Industry
- Power generation industry;
- Steel and other metallurgical industries; - Nonferrous metal industries;
- Ship building;
- Cement, glass and other building material industries; - Agriculture;
- Logistics, such as food logistic of grain; and transportation; - Tourism industry;
- Chemical industry;
3. Any other areas, such as exchanges of and dialogues on strategic
planning, mutually identified by the two sides.
Ill. Mechanism of Cooperation.
1. The two sides agree to establish a Joint Committee to jointly implement this
MOU. The Chinese Co-chair of this Joint Committee is the Chairman of the National Development and Reform Commission and the Indonesian Co-chair of this Joint Committee is the Minister of the State-owned Enterprises. Other members of the Joint Committee may include representatives from other necessary organizations identified by the two sides.
2. The Joint Committee Meeting shall be chaired by the Co-chairs or the representatives designated by the Co-chairs of the Joint Committee, and be held annually on mutually-agreed date in each of the two countries alternately, to identify key cooperative areas and projects, develop a working plan and solve major issues of mutual concern, in order to create preferential policy environment, encourage the financial institutions of the two countries to provide financing support to the enterprises, and promote progress of key project cooperation between the two countries. Extra-ordinary meetings at different levels shall be held with mutual consent.
4. A project matching mechanism will be established under the Joint Committee, and led by designated organizations by the two sides, responsible for assisting the Joint Committee to develop and update the list of early-harvest projects and long-term projects, encouraging the consultation and cooperation between industrial associations and enterprises of the two countries through joint exhibitions, workshops/seminars and training, and facilitating the enterprises to match projects, follow and report the progress of projects to the Secretariat in a timely manner.
5. The Joint Committee can invite related organizations of the two countries to participate in related activities, if necessary.
IV. Others
1. Either side may request changes to this MOU. Any changes, modifications, revisions or amendments to this MOU which are mutually agreed upon by and between the two sides shall be incorporated by written instrument, and effective when executed and signed by the two sides to this MOU.
2. Any dispute, controversy, or claim that may arise over the interpretation or
application of the MOU shall be settled amicably by negotiation between the
two sides.
3. Unless otherwise stipulated, each side shall perform its obligations under this MOU at its own expenses.
V. Duration and Term ination
This MOU shall enter into force on the date of signing and remain valid for a period
of five (5) years. This MOU may be extended by agreement of the two sides, provided that one side that would extend this MOU inform the other side in writing of the extension plan at least six months before the expiration date.The termination of this MOU shall not influence any ongoing cooperative projects of the two sides, until those projects are finished .
This MOU is signed in Beijing on March 26th, 2015 in the Chinese, Indonesian and English languages, all texts are being equally authentic. In case of discrepancies, the English text shall prevail.
