OBJECTIVES AND CONSTDERAT-IONS REGARDING
PLAN FOR PROPORTIONAL REP·RESENTAT-ION ON KIWANIS INTERNATIONAL BOARD
The Plan for Proportional Representation that the Committee has developed would consider each of the points listed below, which appear to be fair to all parties concerned. Taken into account in the development of the proposed plan were the following:
- World-wide representation
- Proportional (by number of clubs) representation - Reduction of certain aspects of "Kiwanis politics"
- Incorportion of the best aspects of other proposals - No increase in Board size
- An uncomplicated plan
- Flexibility to accommodate growth by changing boundaries or adding to Board size
One of the objectives of the Committee was to present the restructure concept to the membership in a way that would provide feedback
as to whether or not sufficient interest in the restructuring plan exists--and if it does, to provide additional time for Kiwanians to study and comment on the plan. The mechanism for accomplishing this objective is the presentation of an administrative resolution.

AN ADMINISTRATIVE RESOLUTION ON WORLD-WIDE STRUCTURE
The Board of Trustees of Kiwanis International presents the following Administrative Resolution on World-Wide Kiwanis structure for action by
the House of Delegates to the 69th Annual Convention of Kiwanis Inter- national in Phoenix, Arizona, Wednesday morning, June 27, 1984.
WHEREAS Kiwanis has now expanded into 78 countries throughout
the free world and the increase in the number of countries continues, and WHEREAS the growth of new clubs in all areas creates changing
patterns of Kiwanis activity centers, and
WHEREAS the increasing interest of all clubs in fully participating in the management of Kiwanis affairs would indicate the desirability and even the necessity of establishing a principle for representation on the International Board of Trustees of all Kiwanis clubs, and
WHEREAS it appears to the Board of Trustees that the time has come for the development of a unified world-wide Kiwanis structure to assure the cohesiveness of the total organization in the future;
THEREFORE, BE IT RESOLVED that the delegates assembled at this Kiwanis International Convention in Phoenix, Arizona, June 24-27, 1984, direct the Board of Trustees of Kiwanis International to prepare the necessary procedures and amendments to the Constitution and Bylaws of Kiwanis International for the creation of a proportionally representa- tive structure of the Board of Trustees of Kiwanis International, for submission to the delegate body at the Kiwanis International Convention in Detroit, Michigan, June 3O-July 3, 1985, which would include the following principles:
1. The entire Kiwanis world will be regionalized into approximately eight (8) North American regions, one (1) European region, and one (1) Asia-Pacific region.
2. Representatives to the Kiwanis International Board of Trusees will be elected from each region in proportion to the number of Kiwanis clubs in the region.
3. The number of Board members shall be 18, as at present.
4. All Board members shall be elected by all Kiwanis International Convention delegates from among the nominees of each region.
5. At intervals to be established, this structure will be re-evaluated in the light of developing growth patterns.

TEXAS-OKLAHOMA DISTRICT
AMENDMENT TO 'THE STANDABD FORM.FCJR·DISTRICT BYLAWS
The House of Delegates of the Texas-Oklahoma Distr~ct passed an amendment to Article XVI, Section 4, of the Standard Form for pistrict Bylaws.
The intent of this amendment is to change the word "audited" to "reviewed"
and the word "auditor" to "independent accountant."
The reasoning for this change is the cost of a certified audit which the district says is $4,000 to $5,000; whereas, if they·were to be reviewed by an independent accountant, the cost would be- in the neighborhood of $500.
