At the May 1973 meeting of the Board, the Board adopted the recommended changes to Section II L beginning on Page D7 of the Policies on International Extension as recommended by the 1972-73 Board Committee on International Extension. These recommended changes were referred to the Board Committee on Laws and Policies for preparation of proper wording and insertion into the Policies of Kiwanis International. Your committee has completed this assignment and the proposed final draft is attached as Exhibit A. This final draft also was reviewed by Past International President Wes H. Bartlett, who was chairman of the 1972-73 Board Committee on International Extension, which committee recommended the change-s- adopted at the May 1973 Board meeting, and it was presented to President-elect Raoy W. Davis who was chairman of the 1972-73 Board Committee on Laws and Policies.

Both Past President Wes H. Bartlett and President-elect Roy W. Davis, concur that this final draft is consistent with the recommended changes adopted at the May 1973 Board meeting. Further, this final draft was presented to the Board Committee on

International Extension at their meeting.

Recommendation #1:

The committee recommends that the changes in Section II L of the Policies on International Extension as contained in Exhibit A attached to the report of this committee be approved and inserted in the Policies of Kiwanis Interna- tional.

I move that recommendation 1 be adopted.

District Bylaw Amendments

The staff requested guidance from your committee on the processing of an amend- ment to the Bylaws of the Ohio District, adopted at the 1973 District Convention,

to provide that past district treasurers be delegates-at-large at district conven- tions. Since this matter was duly considered and adopted by the delegate body of the 1973 Ohio District Convention and since there is precedent in the approval of limited number of district bylaws providing for delegate-at-large status for others than current district officers and past governors, your committee believes that this action of the Ohio District is in order.

Recommendation #2:

The committee recommends approval of the amendment to the Bylaws of the

Ohio District to provide for delegate-at-large status at district conven- tions for past district treasurers.

I move that recommendation 2 be adopted.

Amendments for Denver

Your committee made a preliminary review of the two amendments as of this date, to the Constitution and Bylaws of Kiwanis International which are to be pre- sented at the Denver convention. They are as follows:

1. The amendment to Article XII, Section 2, of the Constitution of Kiwanis International increasing the amount of dues collected for

International Extension from 50¢ to $1.00. Your committee was advised that the Finance Committee sees no need to change the word- ing of the amendment as it was presented at the Montreal Convention and your committee concurs in this.

2. The delegate body at the 1973 Capital District Convention adopted a resolution to amend Article IV, Section 2, of the Bylaws of Kiwanis International to provide that clubs may engage in lotteries, raffles, and games of chance where such have been legalized in communities where clubs exist.

These two amendments plus others, if any, which may be prepared by the Board or properly received from clubs or-districts between now and the next Board meeting will be presented by this committee to the Board at its May meeting.

Great Neck, New York Violation of Club Membership Qualifications

Your committee has received evidence that the Great Neck, New York Club has admitted women into its membership. The New York District advised the club that it was violating the Constitution and Bylaws of Kiwanis International by this action and that it would be necessary for the club to terminate the membership of any women who might have been admitted to membership. The response to this request of the district was a resolution adopted by the club on January 4, 1974 which states that the club does not believe it is i~ violation of the Constitu- tion and Bylaws of Kiwanis International because it maintains that a legitimate interpretation of the words "man" and "men" can mean either male or female.

Further, the resolution states that the club will not suspend or revoke the mem- bership of any women it has admitted to membership. Your committee believes that

the following recommendation is in order.

Recommendation #3:

The committee recommends that the Secretary of Kiwanis International shall draft a communication to the Great Neck, New York Club stating that, on the evidence submitted by the club to this Board, the action of this club in

this instance is interpreted by the Board of Trustees of Kiwanis International as being in violation of the Constitution and Bylaws of Kiwanis International, and that the club may choose one of the following courses of action: (1) to conform to the Constitution and Bylaws of Kiwanis International as interpreted by the Board, and to furnish written evidence of compliance by March 1, 1974;

or (2) to take prescribed club action to surrender its charter. Upon failure to receive by March 1, 1974, written notification of the requested action by

the club under items 1 or 2, the Secretary of Kiwanis International be directed to send a written notice, by registered mail, of a hearing to be held on this matter in Chicago on April 27, 1974, at 4:00 P.M., C.D.T. as provided for in Article IV, Section 3, of the Bylaws of Kiwanis Interna- tional.

I move that recommendation 3 be adopted.

Policy on District Sponsorship of Youth Organizations except Key Club and Circle K For information purposes the committee received a copy of the resolution adopted by the California-Nevada-Hawaii District Board re revision of the policy pro- hibiting the district sponsorship of youth organizations other than Key Club and Circle K. Following discussion by the Board Committee on Program Development, the committee makes the following recommendation.

Recommendation #4:

The committee recommends that paragraph Don page C30 of the Policies be amended to read:

D. Youth Organizations other than Key Clubs and Circle K Clubs No Kiwanis district nor any club or group of clubs may sponsor beyond the local club level any youth organization, exce~t Key Club and Circle K, without first obtaining the specific permis- sion of the Board of Trustees of Kiwanis International. The establishment by any Kiwanian or group of Kiwanians of district and/or International organizations, without the specific author- ity herein prescribed, shall be regarded as a violation of Kiwanis policy.

I move that recommendation 4 be adopted and inserted in the Policies.

Policy Relative to Protection of Board Re Errors and Omissions Liability Your committee reviewed the suggestion that consideration be given as to the advisability or providing insurance coverage on errors and omissions liability.

The committee believes it should have the opinion of our legal counsel in this matter before it makes any recommendation on this matter. Therefore, this item

is retained for disposition at its next meeting.

Amendments to the Constitution and Bylaws of Kiwanis International-Europe

The committee reviewed the Amendments to the Constitution and Bylaws of Kiwanis International-Europe as adopted at its 1973 International Convention, and finds these amendments to be in order.

Reconnnendation #5:

The committee recommends the approval of the amendments to the Constitution

International Convention, and which are contained in Exhibit B attached to this report.

I move that recommendation 5 be adopted.

CHANGES. IN POLICIES ON INTERNATIONAL

EXTENSION MANDATED BY ACTION OF THE BOARD :MEETING, APRIL 28-MAY 2, 1973

Exhibit A

Change Section II L beginning on page D7 of the Policies on International Struc- ture to read:

L. Organization, Administration and Leadership Education of Clubs in International Extension

The Board of Trustees of Kiwanis International is charged with the following relevant responsibilities:

1. Supervision and administration of all clubs.

2. Provision of the best possible leadership education.

3. Development and maintenance of solidarity by full implementation of the foregoing.

1. Definition of Organizational Structures

The international structure through which Board responsibilities shall be carried out are as follows:

a. Clubs. Clubs organized in international extension shall be supervised directly by Kiwanis International.

b. Council. When deemed appropriate, the Kiwanis International Board may grant authority for a group of Kiwanis clubs having common geographical and custom interests to create a council. The membership of a council shall be made up of the presidents or duly elected alternates of the member clubs plus a president of said council who shall be appointed by

the president of Kiwanis International.

c. District. When deemed appropriate, the Kiwanis International Board may grant authority for a group of Kiwanis clubs having compatible geograph- ical and custom interests to organize a district subject to the provi- sions of Article VI of the Constitution of Kiwanis International and as implemented by the Policies hereinafter enunciated.

d. Federation. When deemed appropriate, the Kiwanis International Board may grant authority for a group of districts to organize as a Federation with such rights, duties, and limitations as hereinafter enunciated.

2. Procedures for Im£lementation a. Clubs.

(1) Such clubs shall be organized and chartered by a Kiwanis Interna- tional Board approved special internatirinal extension representative.

(2) The charter and subsequent club leadership shall be trained by a Kiwanis International Board approved special international extension representative.

(3) Appropriate leadership education literature in translations shall be produced and distributed to such clubs.

(4) Through General Office originated bulletin, newsletters, and correspondence all such clubs shall be kept abreast of current Kiwanis International programs.

(5) New club building activities in the area of the established club shall be correlated by the General Office.

b. Council.

(1) When a council is. created, the Kiwanis International Board shall designate the geographic area and clubs involved.

(2) The council shall act as the administrative unit for its member clubs.

(3) The council president-designate, at the expense of Kiwanis International, shall be brought to the General Office for train- ing in his role of leadership including, but not limited to, the education and development of future leadership in the clubs in his council.

(4) Following the council president-designate's return to his geo- graphic headquarters, he shall plan a date for club leadership training on the principles set forth at the General Office meeting attended.

(5) The council shall cooperate and coordinate with the General

Office in the implementation of all Kiwanis activities indigenous to the clubs involved including new club building and membership development programs.

c. District.

(1) The international countries shall be divided into regions that are basically capable of having a sufficient number of clubs in the future to form a Kiwanis district. Upon the official organi- zation of at least five (5) clubs in any region, a district may be constituted at the direction of the Kiwanis International Board.

(2) Each district shall elect a governor and other appropriate officers,

(3) Adequate district dues shall be determined prior to the establish- ment of a new district. They shall include support for the leader- ship education of the district officers.

(4) Upon the official organization of a district, said district may form divisions, each with a lieutenant governor, so long as there are no fewer than two (2) clubs in each division. Upon the organ- ization of ten (10) clubs within a division, and in excess of that number, additional divisions may be formed, each with a lieutenant governor, so that such divisions may not have fewer than five (5)

c.lubs. In the formation of a division and in the eventual increase of their number it shall be permissible for a divi- sion to be comprised of clubs from more than one country.

(5) Each district organized under International Extension shall adopt the Standard Form for District Bylaws as approved by the Kiwanis International Board8

(6) The governor-elect of each international extention district, at the expense of Kiwanis International, shall be brought to the General Office for training in his role of leadership including, but not limited to, the education and development of future leadership in the clubs in his district.

(7) Following the governor-elect's return to his geographic head- quarters, he shall plan a date for club leadership training on the principles set forth at the General Office meeting attended.

(8) Leadership education materials to coincide with the governor's leadership education conferences shall be produced and distrib- uted to all clubs and divisions by the General Office.

(9) The district shall cooperate and coordinate with the General Office in the implementation of all Kiwanis activities

indigenous to the clubs involved including new club building and membership development programs.

d. Federation.

(1) Each federation,organi.zed under international extension shall adopt a Constitution and Bylaws as approved by the Kiwanis International Board.

(2) The federation president-elect, at the expense of Kiwanis Inter- national, shall be brought to the General Office for training

in his role of leadership including, but not limited to, the education and development of future leadership in the districts, divisions, and clubs in his federation.

(3) Following the federation president-electrs return to his geo- graphic headquarters, he shall plan dates for district, division, and club leadership training on the principles set forth at the General Office meeting attended.

(4)

Leadership education materials to coincide with the president1s leadership education conferences shall be prepared and distrib- uted to all districts, divisions and clubs by the federation officeo

(5) Through the federation office originated bulletin, newsletters, and correspondence all clubs shall be kept informed of current Kiwanis International programs.

(6) The federation shall cooperate and coordinate with the General Office in the implementation of all Kiwanis activities indige- nous to the clubs involved including new club building and membership development programs.

(7) Pre-organizational Commission

(a) When deemed appropriate for the establishment of a new Kiwanis International Federation, the Board of Trustees

of Kiwanis International shall appoint a pre-organiza- tional commission. This commission shall be empowered to formulate, in a preliminary manner, the structure, con- stitution, and bylaws of the proposed federation. Further, it shall function as a temporary coordinating body under the authority of a "Statement of Responsibility" that shall be developed by the Commission itself and approved by the Board of Trustees of Kiwanis International and acceptable to the rnaj ority of the clubs officially organized in that federation.

(b) During the interim period of federation establishment, the chairman of the commission shall be brought to the General Office for leadership training.

(c) Upon return to his geographic area, he shall help his respective governors set up and carry out their individual leadership educational conferences for division and club officers.

(d) General Office leadership education literature and material shall be developed and distributed until the administrative office of the Commission is established.

(e) Through General Office originated bulletin, newsletters, and correspondence all clubs shall be kept abreast of current Kiwanis International programs.

(f) The commission shall cooperate and coordinate with the General Office in the implementation of all Kiwanis activ- ities indigenous to the clubs involved including new club building and membership development programs.

(8) The federation shall be established at a constitutional conven- tion, of which the secretary of every club and the officers of every provisional district shall receive notice in writing at

least sixty (60) days in advance of said constitutional convention.

(9) The president of Kiwanis International or his appointed representa-·

tive shall preside at the constitutional convention.

(10) Upon examination by the Kiwanis International Board of the Con- stitution, Bylaws, Articles of Association, or comparable written governing authority adopted at the constitutional convention, the Kiwanis International Federation shall be officially approved by

the Kiwanis International Board within sixty (60) days after the

constitutional convention, and shall instruct the new Kiwanis International Federation to proceed with proper registration of the Articles of Association.

(ll) The constitutional convention shall elect a Council of Founders and empower it to negotiate minor amendments to the Constitu- tion, Bylaws, Articles of Association, or comparable written governing authority with the Board of Trustees of Kiwanis Inter- national during the sixty (60) days period mentioned in paragraph 11.

(12) Until the Kiwanis International Federation is established, Kiwanis clubs in that Federation shall continue to pay dues to Kiwanis International at the established rate per member per

annum in semi-annual installments based on the membership as of September 30 and March 31 of each year, and payable on October 1 and April 1 respectively.

(13) When a commission has been appointed and empowered to discuss and forumulate the Kiwanis International Federation Constitution and Bylaws, the Board of Trustees of Kiwanis International shall establish a special deposit program whereby an amount equal to US $1. 25 per member, derived from each individual federation member's semi-annual payment of dues, shall be deposited into a restricted fund until such restricted fund accumulates not more than US $5,000.00.

(14) Upon the official approval of the Kiwanis International Federa- tion by the Board of Trustees of Kiwanis International, the latter shall provide to the Kiwanis International Federation the amount accumulated in the restricted fund

(15) It is the objective of the Kiwanis International Board that the Kiwanis International Federation shall be self-sustaining and self-supporting as soon as practicable following its es tab 1 ishment.

(16) During the early years of the new Kiwanis International Federa- tion and thereafter, the governing bodies shall be constituted as set forth in section III - Kiwanis International-Europe as included in these Policies.

(17) There shall be a liaison organization which shall have the name of Kiwanis International World Secretariat. It shall be devised or established as set forth in the Charter of the Kiwanis International World Secretariat. (see IV of these Policies).

(18) Upon the establishment of Kiwanis International-Europe a Kiwanis International World Secretariat shall come into being. Initially_

the Secretariat shall be comprised of Kiwanis International as it existed prior to July 5, 1961 and Kiwanis International-Europe.

(19) Members of clubs of any affiliated group may visit clubs and attend the annual convention of any other affiliated group, but shall not have delegate statusw Officers of any affiliated

group may attend the annual convention of any other affiliated group without delegate status and may participate in theses- sions and conferences upon invitation. Kiwanians visiting clubs, conferences, and conventions of other affiliated groups shall receive attendance credit as provided for in the Official Attendance Rules of Kiwanis International.

(20) All officially completed Kiwanis International Federations and the clubs thereof, shall pay no dues to Kiwanis International other than the amount designated for international extension, but may be required to reimburse Kiwanis International, such costs and charges to be fixed by the Board of Trustees of

Kiwanis International, for services, including travel and liter- ature requested of Kiwanis International. The cost of transla- tions of any supplied literature or any other printed matter shall be the responsibility of the Kiwanis International Federa- tion.

(21) Until the Kiwanis International Federation is established in a manner outlined in this procedure, Kiwanis clubs of this

affiliate shall continue to pay dues to Kiwanis International.

(22) Unt. il such time as the Kiwanis International Federation is established, its clubs may have delegate representation at the conventions of Kiwanis International.

(23) Having established Kiwanis International-Europe and the Kiwanis International World Secretariat, Kiwanis International shall turn its attention to the establishment of Federations in other geographical areas of the world.

(24) Upon the establishment of additional federations the Kiwanis International World Secretariat, shall be enlarged to include the new federations with membership in the Kiwanis International World Secretariat under rules included in this procedure.

(25) Prior to the establishment of any additional federation, the Board of Trustees of Kiwanis International shall name the original countries which may be included.

(26) All federations shall be independent of each other. However, to insure uniformity of action and adherence to the Objects of Kiwanis International, all federations shall maintain a close relationship to Kiwanis International with the Kiwanis Interna- tional Board having continuing and final authority in all such relationships. The foregoing requirements shall be embodied in the Constitution, Articles of Association, Charter, or any other document which constitutes the legal entity of such federation.

(27) The Kiwanis International Board shall require reports from federations and their several districts.
