8) Perjanjian lisensi dengan Endemol Shine International Limited (“Endemol”) untuk program Masterchef Indonesia Seri 7 yang berlaku efektif sejak tanggal 1 Juli 2020 sampai dengan tanggal 30 Juni 2025. Endemol dalam perjanjian ini digantikan oleh Banijay Rights Limited berdasarkan perjanjian novasi tanggal 1 Oktober 2020 dan berlaku efektif sejak tanggal 1 Oktober 2020.
8) License Agreement with Endemol Shine International Limited for Masterchef Indonesia Series 7 programme which is effective as of July 1, 2020 until June 30, 2025. Endemol in this agreement is replaced by Banijay Rights Limited under the novation agreement dated 1 October 2020 which is effective as of October 1, 2020.
9) Perjanjian lisensi dengan Banijay Rights Limited untuk program Masterchef Indonesia Seri 8 pada tanggal 23 Desember 2020 yang berlaku efektif dari tanggal 31 Desember 2020 sampai dengan tanggal 30 Desember 2025, dan Seri 9 pada tanggal 8 Desember 2021, yang berlaku efektif dari tanggal 14 Oktober 2021 sampai dengan tanggal 13 Oktober 2026.
9) License Agreement with Banijay Rights Limited for Masterchef Indonesia Series 8 programme dated December 23, 2020 which is effective as of December 31, 2020 until December 30, 2025, and Series 9 programme dated December 8, 2021, which is effective as of October 14, 2021 until October 13, 2026.
10) Perjanjian dengan PT Dunia Visitama Produksi (Freemantle Media Ltd) untuk beberapa program seperti Indonesian Idol, Family 100 dan The Price is Right yang berlaku efektif sejak tahun 2020 dan berakhir antara tahun 2025 dan 2028.

11) Perjanjian dengan CJ E&M untuk beberapa musim program I Can See Your Voice Indonesia yang berlaku efektif sejak tahun 2016 dan berakhir antara tahun 2021 dan 2028.
11) Agreement with CJ E&M for several seasons of program I Can See Your Voice Indonesia which are effective as of 2016 and expire between 2021 and 2028.
12) Amandemen Perjanjian Lisensi Format dengan ITV Studios Global Entertainment B.V. (dahulu Talpa Global B.V.) untuk beberapa program seperti The Voice Indonesia dan The Voice Kids Indonesia yang berlaku efektif sejak 2012 dan berakhir pada 14 Februari 2027.
12) Amendment of Format License Agreement with ITV Studios Global Entertainment B.V. (formerly Talpa Global B.V.) for several programs i.e. The Voice Indonesia and The Voice Kids Indonesia which was effective as of 2022 and expire until February 14, 2027.
13) Perjanjian dengan Les’ Copaque Production Sdn. Bhd. Untuk beberapa program. Perjanjian ini berlaku untuk periode 5 (lima) tahun, yaitu berlaku sejak tanggal 18 April 2019 sampai dengan 30 April 2024.
13) Agreement with Les’ Copaque Production Sdn. Bhd. on April 18, 2019. This agreement shall valid for period of 5 (five) years,effective as of April 18, 2019 until April 30, 2024.
14) Perjanjian Lisensi dengan Banijay Rights Limited untuk program Masterchef Indonesia Seri 10 pada tanggal 14 Juli 2022 yang berlaku efektif dari tanggal 1 Oktober 2022 sampai dengan tanggal 30 September 2027.
14) Licence Agreement with Banijay Rights Limited for Masterchef Indonesia Series 10 programme dated July 14, 2022 which is effective as of October 1, 2022 until September 30, 2027.
15) Perjanjian Lisensi dengan Banijay Rights Limited untuk program Masterchef Indonesia Seri 11 pada tanggal 28 Agustus 2023 yang berlaku efektif dari tanggal 1 Agustus 2023 sampai dengan tanggal 31 Juli 2028.
15) Licence Agreement with Banijay Rights Limited for Masterchef Indonesia Series 11 programme dated August 28, 2023 which is effective as of August 1, 2023 until July 31, 2028.
16) Perjanjian Lisensi dengan Banijay Rights Limited untuk program Masterchef Indonesia Junior Seri 3 pada tanggal 13 Juli 2022 yang berlaku efektif dari tanggal 1 Mei 2022 sampai dengan tanggal 31 Mei 2027.
16) Licence Agreement with Banijay Rights Limited for Masterchef Indonesia Series 3 programme dated July 13, 2022 which is effective as of May 1, 2022 until May 31, 2027.
17) Sehubungan dengan peluncuran jasa penyiaran digital langsung oleh MNCSV dan penjualan dekoder digital, MNCSV melakukan perjanjian terpisah dengan:
17) With the launching of MNCSV’s digital direct broadcasting services and sale of digital decoders, MNCSV has entered into separate agreements with:
(i) Beberapa bank, sesuai dengan perjanjian, pelanggan dapat
melakukan pembayaran
menggunakan debet langsung untuk rekening pelanggan di bank tersebut. Sebagai imbalannya, MNCSV setuju untuk membayar biaya administrasi kepada bank.
(i) Several banks, pursuant to which agreements, subscribers may make payments by pre-authorized direct debit to the subscribers’ accounts in such banks. In return, MNCSV agreed to pay fees to the banks.
(ii) Beberapa retailer, dimana MNCSV setuju untuk membayar komisi kepada pengecer sebagaimana diatur dalam perjanjian sesuai dengan paket acara yang dipilih oleh pelanggan.
(ii) Several retailers, whereby MNCSV agreed to pay commission to the retailers as provided in the agreements based on the program packages chosen by the subscribers.
(iii) Beberapa perusahaan instalasi, dimana MNCSV menunjuk beberapa perusahaan untuk memasang dekoder digital agar pelanggan dapat menerima dan menyaksikan acara televisi yang ditawarkan oleh MNCSV. Sebagai imbalannya, MNCSV setuju untuk membayar biaya pemasangan sesuai dengan ketentuan yang tercantum dalam perjanjian.
(iii) Several installation companies, whereby MNCSV appointed such companies to install the digital decoders in order for the subscribers to receive and watch the television programs offered by MNCSV. In return, MNCSV agreed to pay the installer fee in accordance to the formula as stated in the agreement.
18) MNCSV mengadakan perjanjian dengan berbagai pemasok program untuk menyalurkan program. MKM harus membayar kompensasi tertentu sesuai dengan ketentuan yang tercantum dalam masing-masing perjanjian dengan setiap pemasok.
18) MNCSV entered into several arrangements with various program suppliers to distribute their respective programs. MKM shall pay certain compensation in accordance with the respective agreement with each supplier.
19) PT Digital Vision Nusantara (”DVN”) mengadakan perjanjian dengan berbagai penyedia program untuk menyalurkan program. DVN harus membayar kompensasi tertentu sesuai ketentuan yang tercantum dalam masing-masing perjanjian dengan setiap penyedia program.
19) PT Digital Vision Nusantara (“DVN”) entered into agreement with various content provider for program distribution arrangement. DVN requires to pay a certain compensation in accordance with the agreement to each content provider.
20) DVN mengadakan perjanjian dengan PT Indosat, Tbk. dan Measat Satellite Systems Sdn Bhd untuk kerjasama penggunaan transponder satelit sehubungan dengan pendistribusian program DVN. DVN harus membayar kompensasi tertentu sesuai dengan perjanjian dimana periode penggunaannya sesuai perjanjian masih berlaku berturut-turut sampai dengan tahun 2021 dan 2024.
20) DVN entered into agreement with PT Indosat, Tbk. and Measat Satellite Systems Sdn Bhd for the satellite usage arrangement due to the DVN’s programmes distribution. DVN requires to pay a certain compensation in accordance with agreements in which the term, based on agreement, still would be in effect, consecutively, to the year of 2021 and 2024
DVN juga telah mengadakan kesepakatan dengan PT Telkom Satelit Indonesia untuk pengadaan satelit tambahan sampai dengan tahun 2030.
DVN also has entered into arrangement with PT Telkom Satelit Indonesia for additional satellite provision to the year of 2030.
21) DVN mengadakan perjanjian dengan PT Indosat, Tbk. dan PT Telkom Satelit Indonesia dengan kompensasi tertentu untuk penyediaan layanannya.
21) DVN entered into agreement with PT Indosat, Tbk. and PT Telkom Satelit Indonesia with a certain compensation for its services.
22) DVN mengadakan perjanjian dengan PT Citra Global Media Nusantara untuk kerjasama penyediaan perangkat dekoder, dimana atas setiap pembelian dekoder oleh DVN, DVN harus memberikan kompensasi tertentu kepada penyedia perangkat. Perjanjian penyediaan ini berlaku selama satu tahun sampai dengan 31 Desember 2023.
22) DVN entered into agreement with PT Citra Global Media Nusantara for the provision of decoder, in which for the purchase of each decoder by DVN, DVN requires to give a certain compensation to the decoder provider. The provision agreement is in effect for one year to 31 December 2023.
23) Perjanjian lisensi dengan Banijay Rights Limited untuk program Masterchef
Indonesia Junior Seri 3 pada tanggal 13 Juli 2022 yang berlaku efektif dari
tanggal 1 Mei 2022 sampai dengan tanggal 31 Mei 2027.
23) License Agreement with Banijay Rights Limited for Masterchef Indonesia Series 3 programme dated July 13, 2022 which is effective as of May 1, 2022 until May 31, 2027.
24) Perjanjian Produksi dengan PT Dunia Visitama Produksi untuk program Family 100 pada tanggal 11 Oktober 2022 yang berlaku efektif sejak tanggal 1 Juli 2022 sampai dengan tanggal 30 Juni 2027.
24) Production Agreement with PT Dunia Visitama Produksi for Family 100 programme dated October 11, 2022 which is effective as of July 1, 2022 until June 30 2027.
48. KONTINJENSI 48. CONTINGENCIES
MNCS merupakan salah satu tergugat bersama dengan 17 tergugat lainnya dalam gugatan perkara No.128/PDT.G/2019/
PN.JKT.PST. Pada tanggal 22 September 2020, MNCS memenangkan perkara yang menyatakan bahwa Pengadilan Negeri Jakarta Pusat tidak berwenang mengadili perkara No.128, penggugat kemudian mengajukan banding di pengadilan tinggi DKI Jakarta.
Pada tanggal 9 Juni 2021 berdasarkan keputusan banding No. 62, MNCS telah mengajukan Memori Kasasi pada tanggal 18 Juni 2021. Sampai dengan penerbitan pelaporan keuangan perkara ini masih dalam proses pemeriksaan Mahkamah Agung dan belum ada putusan apapun terhadapnya, sehingga belum ada dampak materiil apapun terhadap MNCS.
MNCS is claimed as one of the defendant along with 17 other defendants under civil case No.128/PDT.G/2019/PN.JKT.PST. As of December 31, 2020, the case is still on trial stage.On September 22, 2020, MNCS won the case stating that the Central Jakarta District Court was not authorized to hear case No.128, The Plaintiff then filed an appeal at the DKI Jakarta Hight Court. On June 9, 2021 based on the decision of the appeal decision No. 62, MNCS has submitted a Memorandum of Cassation on June 18, 2021. As of issuen date of financial statetemnt, the case still in process of being examined at the Supreme Court and has been no decision against him, so there has not been any material impact on MNCS.
MNCAM merupakan salah satu Terdakwa Korporasi dalam perkara No. 64/PID.Sus- TPK/2021/PN Jkt.Pst tertanggal 23 Agustus 2021 yang diajukan oleh Kejaksaan Agung Republik Indonesia. Sampai dengan diterbitkannya laporan keuangan, proses hukum masih berjalan dengan agenda pembuktian (pemeriksaan alat bukti dan barang bukti yang diajukan oleh MNCAM dan para Terdakwa Korporasi lainnya).
MNCAM is claimed as the Corporate Defendant under case No. 64/PID.Sus- TPK/2021/pn Jkt.Pst dated 23 August 2021 which filed by the Attorney General’s Office of the Republic of Indonesia. Until the issuance of financial statement, the legal process still on-going with the authentication agenda (the examination of evidence submitted by MNCAM and other Corporate Defendants).
