Upaya Pelindo III untuk menjadi lebih baik juga tercermin pada peningkatan di sektor lingkungan. Pada tahun 2016, peralatan pelabuhan mulai dikembangkan untuk mewujudkan

“Pelabuhan yang hijau”. Untuk itu, Manajemen Pelindo III melakukan pengembangan fasilitas, sarana, dan prasarana pelabuhan mengacu pada road map investasi yang tertuang di dalam RJPP 2015-2019. Fasilitas peralatan yang menggunakan BBM pun mulai diganti dengan menggunakan BBG atau listrik. hal ini menunjukkan komitmen Pelindo III untuk melakukan modernisasi pelabuhan yang mengarah ke teknologi ramah lingkungan.

Substantial education and training

Substantial education and training is the training to enhance the competence, skills, and abilities in specific technical areas, in the effort to enhance the performance. Substantial education and training consists of a number of level and class, namely:

1. Basic Trainings, including soft competency; formation of Company manner, personality, and ethics; as well as introduction to the Company’s business.

2. Technical Trainings, including: technical competence in operational, finance, technic, HR, legal, public relations, and other fields.

3. Functional Trainings, including necessary competence in the functional position level.

In 2016 a total of 2,416 employees participated in Substantial Training, consisting of 1,307 employees participating in operational training, 158 employees in technical training, 243 employees in finance training, and 430 employees in HR training.

corporate introduction and character establishment training

The Corporate Introduction and Character Establishment training is the education and trainings for applicants who passed the selection test before undergoing probation time in Pelindo III. In 2016 the corporate introduction and character establishment training was held three times and were divided into several batches. A total of 57 employees attended the training.

Pelindo III’s effort to be better is also reflected in the improvement of environment sector. In 2016 port equipment has begun to be developed to actualize “Green Port”.

Therefore, the Management of Pelindo III developed the port facilities and infrastructure while referring to the investment road map in RJPP 2015-2019. Equipment facilities running on oil fuel began to be replaced with gas fuel or electricity. This showed the commitment of Pelindo III to modernize the ports while aiming at environmentally-friendly technologies.

Undang Nomor 40 tahun 2007 Pasal 1, struktur tata kelola Perusahaan atau Perseroan Terbatas (PT) dimulai dari organ Perusahaan tertinggi yakni Rapat Umum Pemegang Saham (RUPS) kemudian di bawahnya ada Dewan Komisaris dan Direksi, lalu Komite di bawah Dewan Komisaris dan Direksi.

RUPS adalah Organ Perusahaan yang mempunyai wewenang yang tidak diberikan kepada Direksi atau Dewan Komisaris dalam batas yang ditentukan dalam Undang-Undang dan/

atau Anggaran Dasar.

Dewan Komisaris adalah Organ Perusahaan yang bertugas untuk melakukan pengawasan jalannya Perusahaan sesuai dengan Anggaran Dasar Perusahaan, serta memberi nasihat kepada Direksi. Sementara itu, Direksi adalah Organ Perusahaan yang berwenang dan bertanggung jawab penuh atas pengurusan Perseroan serta mewakili Perusahaan dalam berbagai kepentingan.

Organ Perusahaan tersebut memainkan peran kunci dalam keberhasilan pelaksanaan GCG. Organ Perusahaan menjalankan fungsinya sesuai dengan ketentuan perundang- undangan serta Anggaran Dasar Perusahaan. Selain itu, prinsip independensi dalam melaksanakan tugas, fungsi, dan tanggung jawab senantiasa dipegang teguh oleh Organ Perusahaan agar terhindar dari benturan kepentingan masing-masing pihak.

Dalam menjalankan tugas pengurusan Perusahaan, Direksi dibantu oleh Sekretaris Perusahaan dan Audit Internal serta satuan kerja lain yang mendukung pelaksanaan kepengurusan Perusahaan. Dalam menjalankan tugas pengawasan, Dewan Komisaris diizinkan membentuk komite yang bertanggung jawab langsung kepada Dewan Komisaris.

No. 40/2007, the governance structure of the Company or a Limited Liability Company starts in the highest Company organ, the General Meeting of Shareholders (GMS), followed by the BOC and BOD underneath, and Committees under the BOC and BOD.

The GMS is a Company Organ with the authority that is not conferred to the BOD or the BOC in the boundaries established by the Law and/or the Articles of Association.

The BOC is a Company Organ with the duty to supervise the Company management in accordance with the Articles of Association, as well as provide advice to the BOD. On the other hand, the BOD is a Company Organ with the authority and full responsibility on Company management as well representing the Company in various occasion.

The Organs play a key role in the success of GCG

implementation. The Company Organs perform their function in accordance with the prevailing laws and regulation, as well as the Articles of Association. Furthermore, the independence principle in performing the duty, function, and responsibility is always held firm by the Company Organs to prevent a conflict of interest from each party.

In performing its management duty, the BOD is assisted by the Corporate Secretary, Internal Audit, as well as other work units to support the management of the Company. In performing its supervisory duty, the BOC is allowed to form a committee directly responsible to them.
