ABSTRACT:
Based on the social exchange theory, legitimacy theory and previous researches, this study discusses and proposes a model of coiporate mindfulness and internal conn-ol that can manage corporate ethical behaviors. By summarizing the literature reviews about the mindfulnes, the effectiveness of internal control .systems, and the organizational mindfulness, this study proposes relevant testable hypotheses to justify the model in fumre research, which is expected to provide managerial and theoretical implications. This model is expected to enhance the effectiveness of the internal control systems towards improving the ethical mindfulness as well as the business perfonnance of Vietnamese companies.
