MEAKER TRUST (RAINE ISLAND RESEARCH) ACT 1981, No. 33

An Act to provide for the constitution of the Raine Island Corporation and its powers and functions and for related purposes

[ASSENTED TO 20 MAY, 1981]

BE IT ENACTED by the Queen's Most Excellent Majesty, by and with the advice and consent of the Legislative Assembly of Queensland in Parliament assembled, and by the authority of the same, as follows:-

PART I-PRELIMINARY

1. Short title. This Act may be cited as the Meaker Trust (Raine Island Research) Act 1981.

2. Commencement. This Act shall commence on a date appointed by Proclamation.

Commenced 4 June 1981 (Proc. pubd. Gaz. 6 June 1981, p. 1227).

3. Arrangement of Act. This Act is divided into Parts and Divisions as follows:-

PART I-PRELIMINARY (SS. 1-4);

PART II-THE RAINE ISLAND CORPORATION (SS. 5-22);

Division I-Constitution;

Division 2-Functions and Powers;

Division 3-Proceedings and Business;

PART III-FINANCIAL PROVISIONS (SS. 23-31);

PART IV-GENERAL PROVISIONS (SS. 32-37).

4. Meaning of terms. In this Act save where a contrary intention appears-

"Corporation" means the Raine Island Corporation constituted as prescribed by this Act.

"Director" in relation to-

(a) National Parks and Wildlife; and

(b) Aboriginal and Islanders Advancement, ,

includes any person who at the material time is performing the duties of that office;

"Director-General and Under Secretary" in relation to the Department of Primary Industries includes any person who at the material time is performing the duties of that office;

"Maclennan Cay" means the coral cay situated at the intersection of 11 °22' South Latitude and 143°48' East Longitude;

"Minister" means the Minister for Toun'sm, National Parks, Sport and The Arts or other Minister of the Crown who at the material time is charged with the administration of this Act: the term includes a Minister of the Crown who is temporarily performing the duties of the Minister;

"Pandora Cay" means the coral cay situated at the intersection of 11 °26' South Latitude and 144°00' East Longitude;

"Raine Island" means the coral cay situated at the intersection of 11 °37' South Latitude and 144°01' East Longitude;

"Secretary" in relation to the Queensland National Parks and Wildlife Service includes any person who at the material time is performing the duties of that office;

"Torres Strait Islands" means those islands lying north of 11 ° South Latitude that are part of the State of Queensland.

PART II-THE RAINE ISLAND CORPORATION

Division i-Constitution

5. Constitution of Corporation. (1) There shall be constituted from time to time as prescribed by this Act a body corporate under the name and style "Raine Island Corporation" which, by that name and style, shall have perpetual succession and a common seal, and shall be capable in law of suing and being sued and of acquiring, holding and disposing of land and other property, of granting and taking leases of land and other property, and of doing and suffering all such other acts and things as bodies corporate may in law do and suffer.

(2) All courts, judges and persons acting judicially shall take judicial notice of the common seal of the Corporation affixed to any document and shall presume that it was duly affixed.

(3) The common seal of the Corporation shall be kept in such custody as the Corporation directs and shall not be used except as authorized by the Corporation.

6. Members of Corporation. (1) The Corporation shall consist of seven members, being-

(a) the Director for the time being of National Parks and Wildlife who shall be a member ex officio and who shall be the chairman;

(b) a person who, in the opinion of the Minister, holds- (i) pre-eminent scientific qualifications; or

in the conservation field,

who shall be the deputy chairman;

(c) the Director-General and Under Secretary for the time being of the Department of Primary Industnes who shall be a member ex officio;

(d) the Director for the time being of Aboriginal and Islanders Advancement who shall be a member ex officio;

(e) a person who is a descendant of an indigenous inhabitant of the Torres Strait Islands;

(f) two other persons being-

(i) Doctor Wilmer Edward George Butler a sometime trustee of the Benjamin Meaker Charities Trust or, in the event that Doctor Butler ceases for any reason to be a member of the Corporation his wife, Elizabeth Maxwell Butler;

and

(ii) his son, David Angus Butler; or

(iii) lineal descendants of the said Doctor Wilmer Edward George Butler.

(2) A person referred to in paragraph (a), (c) or (d) of subsection (1) may appoint a person who is an officer of his department to be his deputy as a member of the Corporation.

(3) A person appointed as a deputy of a member of the Corporation under subsection (2) shall act instead of the member whose deputy he is during the absence of that member from any cause and whilst so acting shall have and may exercise the powers and authorities and shall perform the functions and duties of a member of the Corporation:

Provided that a person appointed as the deputy of the Director, National Parks and Wildlife shall not, by virtue of that appointment only, act as the chairman of the Corporation.

7. Term of appointment of members. Every member of the Corporation, other than a member ex officio shall be appointed for a term of three years and, if he is duly nominated for a second or subsequent appointment, shall be eligible for further appointment to membership of the Corporation, but in every case, unless his office is sooner vacated as prescribed, his appointment shall be deemed to continue until his successor, duly appointed in accordance with this Act, assumes his office as a member.

S. Appointment of members. (1) The members of the Corporation, other than a member ex officio, shall be appointed by the Governor in Council, on the nomination of the Minister, by notification published in the Gazette.

(2) The term of appointment of persons to be members of the Corporation first constituted shall commence on the date on which this Act commences pursuant to Proclamation.

(3) The Corporation may be first constituted at any time after the passing of this Act and, if in so constituting the Corporation the provisions of this Division are complied with the Corporation shall be taken to have been thereby validly constituted.

9. Vacating member's office. (1) A member of the Corporation, other than a member ex officio may, by writing addressed to the Minister, resign his office at any time.

(2) The Governor in Council may at any time remove from office a member of the Corporation, other than a member ex officio.

(3) A member of the Corporation shall be deemed to have vacated his office-

(a) in the event of his resignation, upon the receipt by the Minister of his notice of resignation;

(b) in the event of his removal, upon the issue by the Minister of notice of his removal;

(c) in the event of his absence without the Corporation's leave first obtained from three consecutive ordinary meetings of the Corporation of which notice has been' duly given to him.

(4) For the purposes of subsection (3)-

(a) the non-attendance of a member at the time and place appointed for any ordinary meeting shan not constitute absence from such meeting unless a meeting of the Corporation at which a quorum is present is actually held on that day;

(b) the attendance of a member at the time and place appointed for an ordinary meeting shall be deemed to constitute presence at an ordinary meeting notwithstanding that by reason of the lack of 3, quorum a meeting is not actually held on that day;

(c) the names of the members who attend at the time and place appointed for an ordinary meeting shall be entered in the minute book provided pursuant to this Act.

10. Casual vacancy in member's office. (1) A casual vacancy shall be taken to arise in the office of a member of the Corporation, other than a member ex o./ficio-

(a) if he dies in office; or

(b) if his office becomes vacant as prescribed by section 9 (3).

(2) If a casual vacancy occurs in the office of a member of the Corporation during the currency of his term of appointment another person may be appointed to fill that office in accordance with section 8.

(3) The term of appointment of a person appointed to fill a casual vacancy shall continue for as long as the appointment of his predecessor had the casual vacancy not occurred.

11. Allowances. (1) Subject to subsection (2) each member of the Corporation shall be paid such allowances, if any, as are from time to time prescribed by Order in Council.

(2) An allowance shan not be paid by the Corporation to a member who is an officer of the Public Service of Queensland for attendance at any meeting of the Corporation held during the ordinary office working hours of that officer.

(3) Each member of the Corporation shall be paid such expenses as are necessarily incurred by him in the discharge of his duties as a member and as the Corporation approves.

12. Holders of office not affected by restrictive employment provisions.

A provision of any enactment requiring the holder of an office to devote the whole of his tlme to the duties of his office or prohibiting him frorn engaging in employment outside the duties of his office shaH not operate to hinder his holding that office and also-

(a) that of member of the Corporation; or

(b) subject to section 11 (2) his acceptance and retention of any allowance payable under this Act.

Division 2-Functions and Powers 13. Functions. The function of the Corporation are-

(a) to promote research in respect of the nature and the environment of.-

(i) Raine Island; and

(ii) Pandora and Maclennan Cays, and the surrounding seas;

(b) to promote, by whatever means may be appropriate and practicable, the preservation and protection of the nature and the environment of.-

(i) Raine Island; and

(ii) Pandora and Maclennan Cays, and the surrounding seas;

(c) to promote the development and application of science and technology for the purpose of the preservation and protection of the nature and the environment of.-

(i) Raine Island; and

(ii) Pandora and Maclennan Cays, and the surrounding seas;

(d) to investigate the feasibility of restoring or preserving any improvements or relics situated on Raine Island; and

(e) to promote, through the publication of the results of the research conducted, the conservation of the nature and the environment of the regions of the Great Barrier Reef Province of the South-West Pacific Ocean.

14. Powers. The Corporation may do all things:w'hich are necessary or convenient to be done for or in connexion with or incidental to the performance of its functions and in particular-

(a) may cause such restoration or preservation work to be carried out in respect of any improvements or relics situated on Raine Island as appears to it to be desirable; and (b) may establish such research facilities on or in relation to

Raine Island as appear to it to be necessary for the proper performance of its functions.

Division 3-Proceedings and Business

15. Conduct of business. Subject to this Act, the Corporation shan conduct its business and proceedings at meetings in such manner as it determines from time to time.

1.6. Quorum. (1) A quorum of the Corporation shall consist of four members including at least one of the persons referred to in paragraph (f) of section 6 (1).

(2) A duly convened meeting of the Corporation at which a quorum is present shall be competent to transact any business of the Corporation and shall have and may exercise all the power, authorities, functions and duties by this Act conferred or imposed upon the Corporation.

17. Meetings. (1) The Corporation shall meet at such times and places as it determines.

(2) Notice of every meeting or adjourned meeting, save a meeting adjourned to a later hour of the same day on which it was appointed to be held, shall be in writing and shall, together with a copy of the agenda, be given to every member at least seven days prior to the date appointed for that meeting.

(3) A notice of a meeting or an adjourned meeting may be given to a member by prepaid post letter addressed to his place of residence or business last known to the chainnan.

(4) The members present at a meeting of the Corporation may from time to time adjourn the meeting.

(5) If a quorum is not present at a meeting of the Corporation within 15 minutes after the time appointed for the commencement of the meeting, the member or members present or the majority of them if more than two are present or the secretary of the Corporation if the members present are equally divided on the issue may adjourn the meeting to a time and date not later than seven days from the date of the adjournment.

(6) The provisions of subsection (5) shall be construed so as not to prevent the adjournment of a meeting to a later hour of the same day on which the meeting was appointed to be held.

18. Presiding at meetings. (1) The chairman of the Corporation shall preside at every meeting of the Corporation at which he is present and, in his absence, the deputy chairman of the Corporation shall so preside, if he is present.

(2) If both the chairman and deputy chairman are absent from any meeting the members of the Corporation who are present, if they constitute a quorum, may appoint one oftheir number to act as chairman of the meeting and such appointee may preside at the meeting and exercise the powers and functions of the chairman.

190 Conduct of affairs. (1) The Corporation shan exercise or perform a power or function by a majority vote of its members present at the meeting and voting on the business in question.

(2) The person who is duly presiding at a meeting shall have a deliberative vote and, in the event of an equality of votes, a casting vote.

(3) The Corporation shall cause to be recorded in a book provided for the purpose (in this Act called the minute book), kept under the superintendence of the chairman of the Corporation-

(a) particulars of all proceedings of the Corporation;

(b) the names of the members present at each meeting of the Corporation;

(c) the names of all members voting on any question before the Corporation on which a division is called,

(4) Every entry in the minute book shall be signed ,at the meeting of the Corporation next following the meeting at which the proceedings to which the entry relates were taken by the chairman or other person who duly presides at such next following meeting.

20. Validity of proceedings. No act or proceeding oftlle Corporation shall be invalidated or prejudiced by reason only of the fact that at the time when such act or proceeding was done, taken or commenced there was a vacancy in the office of any member, there '.vas a defect in appointment of a member or a person not qualified or having ceased to be qualified may have acted as a member.

21. Secretary of and assignment of officers etc. toCorpo:ration., (1) The Secretary, Queensland National Parks and Wildlife Service shall be the secretary of the Corporation.

(2) The Director of National Parks and Wildlife may designate and assign such officers and employees of the Queensland National Parks and Wildlife Service to perfonn such duties as in the opinion of the

Corporation are required for the exercise of the powers and the performance of the functions of the Corporation.

(3) A person who is required to perform duties on behalf of the Corporation pursuant to this section may perfOlm those duties in conjunction with any other duties he is required to perform by reason of his being an officer of the Public Service of Queensland.

22. Protection of members. A person who is or has been a member of the Corporation is not personally liable for any'"t4ing done or omitted in good faith in, or in connexion with the exercise ofimy power conferred or the performance of any function imposed on the Corporation by this Act, or reasonably believed by that person to have been conferred or imposed by this Act.

PART III-FINANCIAL PROVISIONS

23. Trust Fund. (1) The Corporation shall establish and at all times keep a Trust Fund.

(2) There shall be paid into the Trust Fund of the Corporation all moneys paid to the Corporation for any purpose in connexion with the exercise of its powers or the performance of its functions,

(3) The Corporation shall apply the money from time to time standing to the credit of the Trust Fund to the use or purpose for which it was paid to the Corporation.

(4) Where no use or purpose is specified in relation to any money paid to the Corporation that money may be used for any special project approved by resolution of the Corporation.

(5) Notwithstanding the provisions of subsections (3) and (4) or the terms of any trust upon which money is held by the Corporation, moneys standing to the credit of the Trust Fund may be applied in payment of expenses of the Corporation incurred in or in connexion with the cany1ng out of its functions.

24. Investment of funds. (1) The Corporation may invest moneys which are surplus in the Trust Fund kept by it in one or more of the following investments:-

(a) deposit at a bank;

(b) securities of or guaranteed by the Government of the Commonwealth or of the State;

(c) with an authorized and approved dealer; or

(d) other securities approved by the Governor in Council by Order in Council on the recommendation of the Treasurer.

Every such security, safe custody acknowledgement or other document evidencing title in respect of any investment shall be held either by the Corporation or to its account by its bank.

(2) For the purposes of this section the expression "authorized and approved dealer" means a person who-

(a) is an authorized dealer in the short term money market with established lines of credit with the Reserve Bank of Australia as a lender of last resort; and

(b) is approved by the Governor in Council by Order in Council.

25. Bud.get of Corporation. (1) As soon as practicable after the commencement of this Act the Corporation shall frame, adopt and present to the Minister a budget in respect of the Trust Fund maintained by it showing its estimates of its receipts and disbursements in respect of the balance of the financial year in which the budget is presented and thereafter the Corporation shall before 31 August of each succeeding financial year or such later date as the Minister (who is thereunto authorized) rnay on the application of the Corporation permit, frame, adopt and present to the Minister a budget in respect of the Trust Fund maintained by it showing its estimates of its receipts and disbursements in respect of that succeeding financial year.

(2) In framing the budget for its Trust Fund the Corporation shall estimate in respect of the financial year for which the budget is being framed and shall therein show-

(a) the amounts to be disbursed upon the several works, matters and things to which the fund is applicable; and

(b) the amounts expected to be received from the several sources of income and other moneys of the Corporation which income or other moneys are required by this Act to be paid to the fund.

(3) In any budget-

(a) the estimates of receipts shall be set out, as nearly as may be, separately in accordance with the several sources of receipts required by this section to be shown in the budget;

(b) the estimates of disbursements required by this section to be shown in the budget shall be set out, as nearly as may be, in accordance with each power or function of the Corporation;

(c) the estimates of receipts and disbursements that relate to common powers or functions shall be set out, as nearly as may be, opposite each other.

(4) Each budget shall show-

(a) estimates of receipts and disbursements adopted for the financial year previous to that for which the budget is framed;

and

(b) actual receipts and disbursements for the financial year previous to that for which the budget is framed,

(5) A budget of the Corporation shall be of no force or effect until it is approved by the Minister.

(6) When the Minister has approved of a budget of the Corporation the budget as approved shall be binding upon the Corporation.

26. Observance of budget. (1) Subject to subsection (2), the Corporation shall confine its disbursements throughout a financial year within the items and amounts contained in its budget for that financial year as approved by the Minister. /

(2) If during any financial year it appears to the Corporation that an extraordinary circumstance has arisen which requires the Corporation to make a disbursement in that financial year that was not provided for in the budget (as approved) for that financial year or that exceeds the amount estimated in respect of that disbursement in the budget (as approved) for that financial year the Corporation shall, before making the disbursement or excess disbursement-

(a) by resolution, approve that the disbursement or excess disbursement be made; and

(b) obtain the approval of the Minister for an amendment to the budget (the Minister being hereby authorized to grant such approval).

(3) The Corporation shall ensure that the budget as amended and approved will not then be exceeded in particular or" in total by the disbursement or excess disbursement referred to in subsection (2).

(4) If the Corporation makes a disbursement in any financial year from its Trust Fund that has not been provided for in the approved budget relating to that fund for that financial year, then except where the disbursement has been made in emergent or extraordinary circumstances, the members of the Corporation who knowingly voted fot such expenditure shall be jointly and severally liable to repay to the Corporation the amount of the disbursement and such amount may be recovered by action in a court of competent jurisdiction as a debt due and owing by all and each of such members to the Corporation.

27. Treatment of ordinary expenditure, surplus and deficit. (1) Any disbursement of the Corporation in any financial year prior to the adoption of the budget framed for that financial year is authorized and shall be shown as a disbursement in the budget framed for that financial year.

(2) If at the close of any financial year for which a budget is framed there is a surplus or deficit the same shall be carried forward and taken into account in framing the budget for the next following financial year.

(3) At the close of each financial year for which a budget is framed

an

authorizations of expenditure and votes of money for any item provided for in the budget so framed shall lapse but may be re-authorized or re-voted, as the case may be.

28. Accounts to be kept. The Corporation shall cause proper accounts to be established and faithfully and properly kept in accordance with this Act.

29. Statement of accounts of fund. The secretary of the Corporation shall present to each ordinary meeting of the Corporation statements of the accounts in relation to the budget for the period of the financial year from commencement to the close of the month last concluded.

These statements of account shall show both estimated receipts and disbursements and actual receipts and disbursements with such explanations as will ~ive a true indication of the progressive state of the votes provided In the budget and, in addition, the statements submitted to the first meeting of the Corporation held after the last day of December and March shall include an estimate of the anticipated position at the end of the financial year.

30. Annual accounts of Corporation. (1) The secretary of the Corporation shall cause the accounts of the Corporation to be balanced and to be truly prepared and laid before the Corporation on or before 31 August in each financial year the following statements as at the close of the preceeding financial year-

(a) an annual statement of receipts and disbursements in respect of the Trust Fund in the same form as is used for framing the budget of that fund;

(b) a statement of debts due by or to the Corporation at the close of the financial year in question; and

(c) a balance sheet at the close of the financial year in question.

(2) Every statement of account referred to in subsection (1) shall be sign.ed as correct by the Chairman and secretary of the Corporation and sealed with the seal of the Corporation.

(3) Forthwith upon completion of the preparation of the statements and balance sheet specified in subsection (1) the Corporation shall lay the same and the accounts of the Corporation balanced as aforesaid (accompanied by proper vouchers in support thereof and all books, papers, writings and records of the Corporation relating thereto) before the auditor appointed under this Act to examine the accounts of the Corporation,

31. Audit @f accounts. (1) The accounts of the Corporation shall be audited by the Auditor-General or an authorized officer within the meaning of the Financial Administration and Audit Act 1977-1978 directed by the Auditor-General, each of whom shall have with respect to such audit and accounts all the powers and authorities conferred on him by that Act as if the Corporation was a department ofthe Government of the State.

The fee payable by the Corporation in respect of the audit shall be fixed by the Auditor-General.

(2) The Auditor-General shall certify whether the statements of account prepared on behalf of the Corporation-

(a) are, where applicable, prepared in the form required by this Act;

(b) are in agreement with the accounts; and

(c) in his opinion fairly set out the financial transactions for the period to which they relate and show a true and fair view of the state of affairs at the close of that period on a basis consistent with that applied in respect of the financial year last preceding.

(3) The Auditor-General shall, at least once in ~ach year, report to the Minister through the Treasurer the results of each audit carried out pursuant to this section and shall, if he thinks fit, include with the report recommendations to the Minister with respect to the financial statements and the manner of operating and maintaining the accounts in question.

A copy of such report and recommendations (if any) shall be furnished to the Chairman of the Corporation.

The Minister Of, as the case may be, the Chairman shall give due consideration to the report and the recommendations (if any) of the Auditor-General made pursuant to this subsection.

(4) The Auditor-General shall include in his annual report to Parliament such matters with respect to the financial transactions of the Corporation as he thinks fit: Provided that if in the opinion of the Auditor-General, the circumstances so warrant, he may make an additional or special report to Parliament at any time.

(5) The report of the Auditor-General together with the account~

certified as aforesaid by him shall be submitted to the members of the Corporation at the first ordinary meeting held after the report becomes available to the Chainnan.

PART IV-GENERAL PROVISIONS

32. Power to accept gifts etc. (1) The Corporation may accept a gift (whether by devise, bequest or gift, inter vivos) of any real or personal property and may agree to any condition pertaining to any such gift.

(2) For the purposes of the application of the rule of law known as the rule against perpetuities to any gift to the Corporation it shall be deemed that the purposes of the Corporation are charitable purposes.

33. Exemption from duty. Notwithstanding the provisions of any other Act or law any instrument, agreement or contract executed or decree or order made whereby any property is transferred to the Corporation shall be exempt from stamp duty.

34. Consultants. (1) The Corporation may engage persons having suitable qualifications and experience as consultants to the Corporation.

(2) The terms and conditions of the engagement of a person under subsection (1) are such as are determined by the Corporation.

35. Annual report. (1) The Corporation shall as soon as practicable, but not more than three months after the end of each financial year,

cause a report on its operations throughout the year to be prepared and furnished to the Minister.

(2) The report shall include such statements of account and other financial and relevant infomlation as may be prescribed, together with the certificate of the Auditor-General referred to in section 31 (2).

(3) The Minister shall lay the report of the Corporation before the Legislative Assembly within 14 sitting days of its receipt by him.

36. Corporation to notify AuditoIr·-General and police in certain circumstances. Whenever it appears to, or comes to the knowledge of the Corporation that any money or other property of or received by the Corporation has been stolen or has not been accounted for, the Corporation shall forthwith give notice thereof to the Auditor-General and to a member of the Police Force of Oueensland of the rank of sergeant of police or of higher rank. ~

37. RegulatioRlls. Regulations may be made by the Governor in Council for the purpose of prescribing the matters referred to in section 35 (2).
