The Implementation of the Improvement of Polytechnic Management
Indonesian Polytechnics (group of Indonesian polytechnics) hereinafter referred to as the IP and The Association of Dutch Universities of Professional hereinafter referred to as the HBO-Raad. Both of them hereinafter referred to as "the Parties";
Desiring to expand and to intensify mutually beneficial co-operation in the field of higher professional education, training and research between their participating institutions;
Considering their common interest in promoting the quality of education in Indonesian Polytechnics;
Referring to the Letter of Intent between. Directorate General of Higher Education, Ministry of National Education, Republic of Indonesia (DGHE) and The Netherlands Association of Universities of Professional Education (HBO-Raad) to further promote the cooperation in the field of higher professional education, training, and research, signed on March

Objectives
The objectives of this Cooperation are to enhance synergy and cohesion, and to widen cooperation on human resources and institutional development between the Parties and their respective individual members.
Article
Scope and Form of Cooperation
2.
Subject to the prevailing rules and regulations in both countries, the Parties will
implement the cooperation by conducting the following activities:
a. Exchange of Polytechnics students, lecturers and staff managements;
b. Organize training and seminars to enhance the professional knowledge and
competencies of professional education and development staff;
c. Explore the possibility to undertake joint and collaborative applied
research;
Organize internship/ apprenticeship programs in related institutions in the
Netherlands;
e. Explore the possibility to mutually recognize their degrees.
Article
Responsibility of the Parties
1.
The
I Pwill, subject to its personnel and budgetary limitations
:
a) Provide and select suitable candidates to participate in the agreed activities;
b) Initiate and formulate joint and collaborative applied research activities;
c) Improve access to relevant information and data;
d) Make communication within and across the polytechnics in Indonesia and the
Netherlands;
2.
The
HBO-Raad
will,
subject
to
its
personnel
and
budgetary
limitations
:
a)
Facilitate
bilateral
cooperation
mentioned
in
this
partnership
to
its
member
institutions,
the
Ministry
of
Education,
Culture
and
Science,
and
other related
stakeholders;
b)
Conduct
training
seminars
to
enhance
the professional
knowledge
and
competencies
of
professional
education
and
development
staff;
c)
Support
research-based
Industry;
d)
Improve
access
to
relevant information
and
data;
e) Initiate
and
formulate
joint and
collaborative
applied
research
activities;
Make
communication
within
and
across
the polytechnics
in
the
Netherlands
and
Indonesia.

LimitationofPersonnelActivities
2. The HBO-Raad ensures that its personnel in the activities under this Cooperation will not engage in political affairs and any ventures or activities in Indonesia outside the programme of cooperation under this partnership.
Article V
Intellectual Property Rights, Results and Publications
1. Any intellectual property right brought by one of the Parties for the implementation of the cooperative activities under this partnership will remain the property of the Party. However, that Party will indemnify that the intellectual property right does not result from the infringement of any third party's legitimate rights. Further, that Party will be liable for any claim made by any third party on the ownership and legality of the use of the intellectual property rights which is brought in by the aforementioned Party for the implementation of the cooperative activities under this partnership;
2. Any intellectual property right, processed data and information resulting from research activities conducted under this Cooperation will be jointly owned by the two Parties, and both Parties will be allowed to use such property for non-commercial ーオイーッウセ@ free of royalty. Should the intellectual property right, data and information result from the cooperative activities under this partnership be used for commercial purposes by one Party, the other Party will be entitled to the royalties obtained from the exploitation of such property on the basis of the principle of equitable contribution. In such a case, the object of the research activities conducted under this Cooperation will constitute a part of the contribution of the party from which the object derives. The value of the object as part of contribution will be measured by taking into account the following factors:
a. the scarcity of the object (the rarer the object is, the higher its value will be); b. the commercial value of the result of the research (the higher its commercia l
value is, the higher the value of the object as part of the contribution will be);
3. If either of the Parties wishes to the disclose confidential data and/ or information resulting from the cooperative activities under this partnership to any third party, the disclosing Party must obtain prior written consent from the other Party before any disclosure can 「セ@ made;
4. Whenever either Party requires the cooperation of another party outside Indonesia or the Netherlands for any commercial undertaking resulting from intellectual property cover by this Cooperation, this Party will give first preference for the cooperation to the other Party under this partnership, which will be waived, if the other Party is unable to participate in a mutually beneficial manner;
Article VI Implementation
The Parties will appoint a committee to implement this Cooperation and make a report annually to the higher authorities of their respective organization on the progress of on going projects.
Article VII
Settlement of Differences
Any differences arising out of the interpretation and/or the implementation of this Cooperation will be settled amicably through consultation and/or negotiations between the Parties.
Article VIII Amendment
The amendment of this· Cooperation can only be made after consultation by mutual written consent of the Parties. Such amendment will form an integral part of this Cooperation and will enter into force on such a date as may be determined by the Parties.
Article IX
Entry into Force, Duration and Termination
1. This Cooperation will enter into force on the date of its signing. 2. This Cooperation will remain in force for a period of 2 (two) years.
3. This Cooperation may be renewed, extended, altered or terminated by written notice given at least 3 (three) months in advance.
IN WITNESS WHEREOF, the undersigned have signed this Cooperation.
