Tentang Alam Sutera
PT Alam Sutera Realty Tbk (“Perusahaan”) didirikan pada tanggal 3 Nopember 1993 dengan nama PT Adhihutama Manunggal oleh Harjanto Tirtohadiguno beserta keluarga yang memfokuskan kegiatan usahanya di bidang properti.
Perusahaan mengganti nama menjadi PT Alam Sutera Realty Tbk dengan akta tertanggal 19 September 2007 No.71 dibuat oleh Misahardi Wilamarta, S.H., Notaris di Jakarta. Pada 18 Desember 2007 Perusahaan menjadi perusahaan publik dengan melakukan penawaran umum di Bursa Efek Indonesia.
Setelah lebih dari 19 tahun sejak didirikan, Perusahaan telah menjadi pengembang properti terintegrasi yang memfokuskan kegiatan usahanya dalam pembangunan dan pengelolaan perumahan, kawasan komersial, kawasan industri, dan juga pengelolaan pusat perbelanjaan, pusat rekreasi dan perhotelan (pengembangan kawasan terpadu).

PT Alam Sutera Realty Tbk (“Company”) was incorporated on November 3, 1993 under the name PT Adhihutama Manunggal by Harjanto Tirtohadiguno and their families that focuses its business activities in the field of property.
Company changes its name to PT Alam Sutera Realty Tbk by deed dated 19 September 2007 made by Misahardi Wilamarta 71, SH, Notary in Jakarta. At December 18, 2007 The Company became a public company with a public offering in Indonesia Stock Exchange.
After more than 19 years since its founding, the Company has become an integrated property developer that focuses its business activities in the construction and management of residential, commercial areas, industrial areas, and also the management of shopping centers, recreation centers and hospitality (mixed used development).

Pada tahun 1994, Perusahaan mulai mengembangkan proyek pertama di sebuah kawasan terpadu bernama Alam Sutera yang terletak di Serpong, Tangerang.
Pengembangan tahap pertama dari Alam Sutera sudah selesai dilakukan, dan saat ini Perusahaan memfokuskan untuk pengembangan tahap kedua yang lebih menitik beratkan kepada pembangunan area komersial. Seiring dengan pengembangan Alam Sutera tahap kedua, pada tahun 2012 Perusahaan juga memasarkan beberapa cluster baru di proyek Suvarna Padi Golf Estate, Pasar Kemis, Tangerang dan melakukan akuisisi atas beberapa aset di lokasi strategis di Bali dan gedung perkantoran di Jakarta.

** Setiap 1 (satu) saham baru diberikan secara cuma-cuma 1 (satu) waran seri I dengan nilai nominal Rp 100 per saham dan harga pelaksanaan Rp 110 per saham. Total waran yang di konversi menjadi saham sebanyak 734.291.888 lembar, dengan total nilai Rp 80.772.107.680. Sebanyak 20% dari dana hasil konversi waran akan digunakan untuk modal kerja, dan sisanya untuk pengembangan usaha.

Sesuai dengan perundang-undangan yang berlaku, pembayaran dividen harus disetujui oleh pemegang saham dalam Rapat Umum Pemegang Saham Tahunan berdasarkan usulan dari Direksi. Berdasarkan ketentuan Anggaran Dasar Perusahaan, apabila Perusahaan membukukan laba bersih pada satu tahun buku, maka Perusahaan dapat membagikan dividen kepada pemegang saham berdasarkan rekomendasi dari direksi dengan persetujuan Rapat Umum Pemegang Saham.
In accordance with applicable legislation, payment of dividends must be approved by shareholders at the Annual General Meeting of Shareholders on the recommendation of the Board of Directors. Based on the Company’s Articles of Association, if the Company posted a net profit in one financial year, the Company may distribute dividends to shareholders based on the recommendation of the directors with the approval of the General Shareholders Meeting.

First of all please allow us to offer our praise and thanks to the Almighty God for the guidance and protection so we were all able to went through the year of 2012 with the full blessing and grace.
In general it can be said that the crisis in the US and European countries still affected the growth of the world economic slowdown. Meanwhile, the position of locomotive for economic growth in the world has been taken over by China, India and some other developing countries.
Referring to the number of Foreign Direct Investment of US$ 23 billion, it can be said that the year 2012 is the year of investment for Indonesia. This achievement inseparable from the success of maintain a stable political situation in Indonesia as well as the favorable economic weather reflected by the GDP growth of 6.3% while the rate of inflation increasing to 4.3%.

Pertama-tama perkenankanlah kami untuk memanjatkan segala puji dan syukur kepada Tuhan Yang Maha Kuasa atas bimbingan dan perlindunganNya sehingga kami semua mampu melalui tahun 2012 ini dengan penuh berkat dan karunia.
Secara umum dapat dikatakan bahwa kondisi krisis di Amerika dan negara-negara Eropa masih berdampak atas perlambatan pertumbuhan ekonomi dunia. Sementara itu, posisi lokomotif bagi pertumbuhan ekonomi dunia telah diambil alih oleh China, India dan beberapa negara berkembang lainnya.
Mengacu pada angka Foreign Direct Investment sebesar US$ 23 miliar, dapat dikatakan bahwa tahun 2012 adalah tahun investasi bagi Indonesia. Prestasi ini tidak terlepas dari keberhasilan Indonesia mempertahankan situasi politik yang stabil serta kondisi ekonomi yang kondusif yang antara lain tercermin dengan pertumbuhan Produk Domestik Bruto sebesar 6,3% dan tingkat inflasi sebesar 4,3%.
The escalation of income and the purchasing power of the people in general, as well as household consumption for the necessities in particular, make the property industry in Indonesia flourish, along with the Company. A significant increase in the Company’s performance reflected both in terms of sales and profits.

Dear Shareholders,
In 2012 the Company continued to offer its products for residential cluster such as; Aruna, Mahony, Mentari, Orlanda, Puri Ayu and Tiara, as well as commercial products such as Crystal Lane shophouses, and Synergy Tower office building, and Mall @ Alam Sutera. The Company’s products are well received by the public. This reflected in the achievement of the Company’s marketing sales of Rp 3.6 trillion, with revenue of Rp 2.4 trillion. Furthermore, the earnings per share increased significantly from Rp 33.7 in 2011 to Rp 61.19 this year.
In this year the Company also consistently purchased lands in strategic areas, such as Serpong, Pasar Kemis and Jakarta’s Golden Triangle. In addition, the Company had taken over and become the majority shareholder of PT Garuda Adhimatra Indonesia, the owner and management of Garuda Wisnu Kencana project.
The achievement is inseparable from the preparation and implementation of the Company’s policies as a township developer, where the Company continues to offer innovative residential and commercial products, as needed, as well located in a strategic location and easy access. These achievements will not be completed without several awards such as Best Share Issuer by Indonesia Stock Exchange, Best Performance for Issuer

The year 2012 was a good year, because of the hard work we managed to increase sales significantly and was awarded several awards from different institutions.
Tahun 2012 merupakan tahun yang baik, karena kerja keras kami berhasil dengan peningkatan angka penjualan yang
signifikan dan dianugrahkan beberapa penghargaan dari berbagai institusi.
Para Pemegang Saham yang terhormat,
Di tahun 2012 Perseroan kembali menawarkan produk- produk residensial seperti cluster Aruna, Mahoni, Mentari, Orlanda, Puri Ayu dan Tiara; serta produk-produk komersial seperti rumah toko Crystal Lane, gedung perkantoran Synergy Building dan Mall @ Alam Sutera. Produk- produk Perseroan tersebut mendapat sambutan baik dari masyarakat. Hal tersebut tercermin dari pencapaian Perseroan dalam membukukan penjualan pemasaran sebesar Rp 3,6 triliun, pendapatan usaha sebesar Rp 2,4 triliun. Disamping itu laba per saham pun meningkat secara signifikan dari Rp 33,7 di tahun 2011 menjadi Rp 61,19 di tahun ini.

Pencapaian ini terasa kian lengkap dengan diperolehnya beberapa penghargaan seperti Emiten Saham Terbaik dari Bursa
Company by Investor Magazine, 50 Best Companies by Forbes Magazine, one of the Best Developers Company by BCI Asia, as well as the best Master Plan by FIABCI Prix d ‘Excellence.
In the coming year the Company will continue the development of residential and commercial products, both in Alam Sutera - Serpong, Suvarna Padi and Suvarna Sutera - Pasar Kemis. As a continuation of the successful launching of the office building, the Company will launch an office building in Jakarta’s golden triangle area and another office building in Alam Sutera-Serpong.
The Company will also start the process of building the statue and renovations in Garuda Wisnu Kencana Cultural Park area.
We believe that the achievement of the Company is the fruits of hard work of all the employees and supported by the Board of Commissioners as well as the trust that has been given by the shareholders and other stakeholders.

Lahir di Jambi pada tahun 1943 (69 tahun). Meraih gelar Sarjana Ekonomi dari Universitas Gajah Mada di tahun 1969 dan Master of Arts in Economic dari Duke University, Durham North Carolina, United States of America di tahun 1975. Menjabat Komisaris Utama Perusahaan sejak 2007.
Beberapa posisi penting yang pernah dijabat antara lain adalah Dewan Komisaris Bank Bumi Daya (1981-1987), Dewan Komisaris Bank Dagang Negara Indonesia (1983-1989), Ketua Badan Pelaksana Pasar Modal (1988- 1991),Komisaris Perum Astek (1989-1992), Sekretaris Menteri Negara Pendayagunaan BUMN RI (1998), Menteri Pariwisata, Seni, dan Budaya RI (1998-1999),Menteri Negara Investasi / Kepala BKPM RI (1999), Menteri Perhubungan ad Interim RI (2001), Menteri Kehakiman Republik Indonesia ad Interim RI (2001), Komisaris Utama PT Bank Ganesha (2004), Komisaris Independen PT Sari Husada Tbk (2004).

He started his career in 1987-1988 as a Sales Representative at PT Argo Pantes, in 1988–1989 as Marketing Manager in PT Alfa Goldland Realty, from 1990–1993 as Deputy General Managerat PT Indonesia Development Megalopolis Manunggal, from 2007 until now as Director in PT Alfa Goldland Realty. Appointed as Commissioner of the Company in 2007.

Beberapa posisi penting yang saat ini dijabatnya adalah sebagai Direktur di PT Sumber Baja Makmur di tahun 1988 hingga sekarang, menjabat sebagai Komisaris Perusahaan sejak tahun 2007.

Several positions are currently held including Director of PT Sumber Makmur Steel, from 1988 to the present, and has served as a Commissioner of the Company since 2007.
